Agreement for the Administration of the Multilateral Investment Fund II

Whereas, the Multilateral Investment Fund (the ‘‘MIF I’’) was created by the Agreement Establishing the Multilateral Investment Fund, dated February 11, 1992 (the ‘‘MIF I Agreement’’), and is administered by the Inter-American Development Bank (the ‘‘Bank’’) pursuant to the Agreement for the Administration of the Multilateral Investment Fund dated the date thereof (the ‘‘MIF I Administration Agreement’’);

Whereas, the MIF I Agreement was renewed until December 31, 2007 pursuant to Article V, Section 2 thereof;

Whereas, the MIF I Administration Agreement was concurrently renewed, and shall remain in force as long as the MIF I Agreement remains in force, as contemplated in Article VI, Section 2 thereof;

Whereas, as of the date hereof, the Agreement Establishing the Multilateral Investment Fund II (the ‘‘MIF II Agreement’’) has been entered into by the prospective donors listed in Schedule A thereto (each, a ‘‘Prospective Donor’’ and, upon adherence thereto as contemplated in Article II, Section 1(a) thereof, a ‘‘Donor’’), to ensure the continuation of the MIF I’s activities beyond December 31, 2007 and provide for an enhanced MIF I (the ‘‘MIF II’’ or the ‘‘Fund’’) in the Bank;

Whereas, the Prospective Donors also wish to adopt this Agreement for the Administration of the Multilateral Investment Fund II (the ‘‘MIF II Administration Agreement’’), which, upon the entry into force of the MIF II Agreement, shall replace the MIF I Administration Agreement;

Whereas, the Fund can continue to complement the work of the Bank, the Inter-American Investment Corporation (the ‘‘IIC’’) and other multilateral development banks pursuant to the terms of the MIF II Agreement; and

Whereas, the Bank, to fulfill its purposes and in pursuit of its objectives, has agreed to continue to administer the Fund pursuant to and in accordance with the MIF II Agreement.

Now, therefore, the Bank and the Prospective Donors hereby agree as follows:

Article I. Administration of the Fund

The Bank shall continue to be the administrator of the Fund. The Bank shall administer the Fund and carry out its operations in accordance with the MIF II Agreement and provide depositary and other services in connection therewith. The Bank shall maintain the Office of the Multilateral Investment Fund as the office within the Bank organization entrusted with administering and carrying out Fund operations and programs as contemplated in this MIF II Administration Agreement.

Article II. Operations of the Fund

  • Section 1. Operations

    • a) In administering the Fund and carrying out its operations, the Bank shall undertake the following duties:

      • (i) to identify, develop, prepare and propose, or arrange for the identification, development and preparation of, operations to be financed with the resources of the Fund;

      • (ii) to prepare, or make available, memoranda or information regarding proposed activities of the Donors Committee (as defined in Article II, Section 1(d) of the MIF II Agreement), to be transmitted or made available to the Board of Executive Directors of the Bank not less than every quarter for its information;

      • (iii) to present proposals for specific operations to the Donors Committee for final approval;

      • (iv) to identify and present areas of strategic focus, consistent with the MIF II Agreement, for consideration by the Donors Committee;

      • (v) to execute and oversee, or arrange for the execution and oversight, of all operations approved by the Donors Committee;

      • (vi) to implement a system for measuring results of operations based on the criteria contemplated in Article III, Section 3(h) of the MIF II Agreement;

      • (vii) to administer the accounts of the Fund, including investment of the funds as specified in Article IV, Section 1(c) hereof; and

      • (viii) to disseminate lessons learned from Fund operations and activities for the purposes of furthering the sharing of knowledge, improving project design, building the capacity of private-sector partners and engaging the private sector in the development process.

    • b) Subject to approval of the Donors Committee, the Bank may request that the IIC administer or execute operations or individual programs when those operations and programs fall within the capabilities and expertise of the IIC.

    • c) The President of the Bank shall be the Chairman ex officioof the Donors Committee. The Secretary of the Bank shall be secretary of the Donors Committee and shall provide secretarial services, facilities and other support services to facilitate the work of the Donors Committee. In that capacity the Secretary shall also call meetings of the Donors Committee, and at a minimum of 14 days prior to a meeting shall distribute the principal documents for the meeting and an agenda to the representative of each Donor designated pursuant to Article IV, Section 1 of the MIF II Agreement.

  • Section 2. Limitations on Commitments The Bank shall restrict commitments to the extent directed by a Donor pursuant to Article II, Section 1(d) of the MIF II Agreement.

Article III. Depositary functions

  • Section 1. Depositary for Agreements and Documents The Bank shall be depositary for this MIF II Administration Agreement, the MIF II Agreement, the Instruments of Acceptance and Contribution (as defined in Article II, Section 1(a) of the MIF II Agreement) and all other Fund-related documents.

  • Section 2. Establishment of Accounts The Bank shall establish an account or accounts of the Bank as administrator of the Fund, to receive payments from Donors pursuant to Article II, Section 2 of the MIF II Agreement. The Bank shall administer such accounts in accordance with this MIF II Administration Agreement.

Article IV. Authority of the Bank and other matters

  • Section 1. Basic Authority

    • a) The Bank represents that it has authority under Article VII, Section 1(v) of the Agreement Establishing the Inter-American Development Bank (the ‘‘Charter’’) to carry out the provisions of this MIF II Administration Agreement and that the activities undertaken pursuant hereto will help fulfill the purposes of the Bank.

    • b) Except as provided otherwise in this MIF II Administration Agreement, the Bank shall have the authority to perform all acts and enter into all contracts necessary to carry out its functions hereunder.

    • c) The Bank shall invest monies of the Fund, not needed in its operations, in the same type of securities in which it invests its own funds under its investment authority.

  • Section 2. Standard of Care The Bank shall exercise the same care in the discharge of its functions under this MIF II Administration Agreement as it exercises with respect to the administration and management of its own affairs.

  • Section 3. Expenses of the Bank

    • a) The Bank shall be fully reimbursed from the Fund for both direct and indirect costs for its activities related to the Fund and those of the IIC, including remuneration of the staff of the Bank for the time actually dedicated to the administration of the Fund, travel, per diem, communication expenses and other similar, directly-identifiable expenses, calculated and recorded separately as expenses of administering the Fund and carrying out its operations.

    • b) The procedure for determining and calculating the expenses to be reimbursed to the Bank, and the criteria governing reimbursement of the costs described in paragraph (a) agreed by the Bank and the Donors Committee pursuant to the MIF I Administration Agreement shall continue in force hereafter and may be reviewed from time to time at the proposal of the Bank or the Donors Committee, and the application of any changes resulting from such review shall require agreement of the Bank and the Donors Committee.

  • Section 4. Cooperation with National and International Organizations In the administration of the Fund, the Bank may consult and cooperate with national and international organizations, both public and private, operating in the fields of social and economic development, when that would help achieve the purpose of the Fund or maximize efficiency in the use of the resources of the Fund.

  • Section 5. Project Evaluation In addition to evaluations requested by the Donors Committee, the Bank shall evaluate the operations it has undertaken under this MIF II Administration Agreement and report those evaluations to the Donors Committee as provided in Article IV, Section 5 of the MIF II Agreement.

Article V. Accounting and reporting

  • Section 1. Separation of Accounts The Bank shall keep separate accounts and records of the resources and operations of the Fund, and the Small Enterprise Investment Fund referred to in Article III, Section 2(b) of the MIF II Agreement (the ‘‘SEIF’’), in such a way as to permit the identification of the assets, liabilities, income, costs and expenses pertaining to the Fund, and the SEIF, separate and independent of all other operations of the Bank. The accounting system used shall also permit the identification and recording of the origin of the various resources received by virtue of this MIF II Administration Agreement and the funds generated by them, as well as their application. The books of the Fund shall be kept in dollars of the United States of America, for which purpose translations between currencies shall be made at the rate of exchange in effect and used by the Bank at the time of each transaction.

  • Section 2. Reporting

    • a) As long as the present MIF II Administration Agreement shall remain in force, the Administration of the Bank shall present the following information each year in an annual information statement to the Donors Committee within 90 days after the close of its fiscal year:

      • (i) a statement of assets and liabilities of the Fund and the SEIF, a statement of cumulative receipts and expenditures to the Fund and the SEIF and a statement of the origin and use of resources of the Fund and the SEIF, with such explanatory notes as may be pertinent;

      • (ii) information on the progress and results of the projects, programs and other operations of the Fund and the SEIF and on the status of applications presented to the Fund and the SEIF; and

      • (iii) information on the results of Fund operations based on the criteria contemplated in Article III, Section 3(h) of the MIF II Agreement.

    • b) The statements referred to in paragraph (a) of this Section shall be prepared according to the accounting principles used by the Bank in its own operations, and shall be presented together with an opinion issued by the same independent firm of public accountants as designated by the Board of Governors of the Bank for the auditing of the financial statements of the Bank. The fees of the independent firm of accountants shall be charged to the resources of the Fund.

    • c) The Bank shall produce an annual report and quarterly reports containing information with respect to the receipts and disbursement of, and balances in, the Fund and the SEIF.

    • d) The Donors Committee may also require the Bank, or the firm of public accountants referred to in paragraph (b), to provide other reasonable information concerning the operations of the Fund and the audit statements presented.

    • e) The SEIF shall be accounted for separately from other resources of the Fund.

Article VI. Term of the MIF II Administration Agreement

  • Section 1. Entry into Force This MIF II Administration Agreement shall enter into force on the date the MIF II Agreement enters into force.

  • Section 2. Duration

    • a) This MIF II Administration Agreement shall remain in force as long as the MIF II Agreement remains in force. Upon termination of the MIF II Agreement, or upon termination of this MIF II Administration Agreement under Section 3 of this Article, this MIF II Administration Agreement nevertheless shall remain in force until the Bank completes duties relating to the winding up of Fund operations or the settlement of accounts pursuant to Article VI, Section 4(a) of the MIF II Agreement.

    • b) Prior to the end of the initial period contemplated in Article V, Section 2 of the MIF II Agreement, the Bank shall consult with the Donors Committee about the advisability of extending the operations of the Fund or the SEIF for the renewal period specified thereunder.

  • Section 3. Termination by the Bank The Bank shall terminate this MIF II Administration Agreement in the event that it suspends its own operations under Article X of the Charter, or in the event that it terminates its operations under that Article of the Charter. The Bank shall terminate this MIF II Administration Agreement in the event the MIF II Agreement is amended so as to require the Bank, in fulfilling the obligations of this MIF II Administration Agreement, to act in contravention of the Charter.

  • Section 4. Winding up of Fund Operations Upon termination of the MIF II Agreement or the SEIF the Bank shall cease all operations under this MIF II Administration Agreement or the SEIF, as the case may be, except those incident to the orderly realization, conservation and preservation of assets and the settlement of obligations. After all relevant liabilities of the Fund or the SEIF are discharged or provided for, the Bank shall make such allocations or distributions of remaining assets as directed by the Donors Committee under Article V, Section 4 of the MIF II Agreement.

Article VII. General provisions

  • Section 1. Contracts and Documents of the Bank on behalf of the Fund In the contracts it signs in administering the resources of the Fund and carrying out its operations, and in all other Fund-related documents, the Bank shall indicate clearly that it is acting as the administrator of the Fund.

  • Section 2. Responsibilities of the Bank and the Donors The earnings, profits or benefits arising from financing, investment and other operations carried out with the resources of the Fund shall in no case benefit the Bank. No financing, investment or operation of any kind carried out with the resources of the Fund shall involve the financial obligation or responsibility of the Bank to the Donors, and accordingly, any loss or deficit that may arise as a result of an operation shall not entitle the Donors to claim indemnification from the Bank, except in cases in which the Bank has departed from the written instructions of the Donors Committee or has failed to act with the same care as it takes in the management of its own resources.

  • Section 3. Adherence to this MIF II Administration Agreement Any member of the Bank which is not listed on Schedule A of the MIF II Agreement may adhere to this MIF II Administration Agreement by signing it, after adhering to the MIF II Agreement pursuant to Article VI, Section 1 thereof. The Bank shall adhere to this MIF II Administration Agreement by signature by a duly authorized representative.

  • Section 4. Amendment This MIF II Administration Agreement may be amended only by agreement between the Bank and the Donors Committee, which shall reach decision by a vote of at least two-thirds of the Donors representing three-quarters of the total voting power of the Donors. The approval of all Donors shall be required for an amendment to this Section or which involves any financial or other obligations of Donors.

  • Section 5. Settlement of Disputes Any disputes arising under this MIF II Administration Agreement between the Bank and the Donors Committee, which are not resolved by consultation, shall be settled by arbitration pursuant to Annex A hereof. Any arbitral award shall be final and shall be implemented by a Donor, Donors or the Bank in accordance with its or their constitutional procedures or the Charter, respectively.

  • Section 6. Limitations on Liability In the operations of the Fund, the financial liability of the Bank shall be limited to the resources and reserves (if any) of the Fund, and the liability of Donors as Donors shall be limited to the unpaid portion of their respective contributions that has become due and payable under the MIF II Agreement.

  • Section 7. Withdrawal of a Donor from the MIF II Agreement On the date its notice of withdrawal has become effective under Article VI, Section 4(a) of the MIF II Agreement, a Donor submitting such a notice shall be deemed to have withdrawn from this MIF II Administration Agreement. Without prejudice to Article VI, Section 4(b) of the MIF II Agreement, the Bank, subject to the approval of the Donors Committee, shall enter into an arrangement with such a Donor for the settlement of their respective claims and obligations.

IN WITNESS WHEREOF, the Bank and each of the Prospective Donors, each acting through its authorized representative, have signed this MIF II Administration Agreement.

DONE in Okinawa, Japan on the 9th day of April, 2005, in a single original, whose English, French, Portuguese and Spanish texts are equally authentic, which shall be deposited in the archives of the Bank which shall transmit a duly certified copy to each of the Prospective Donors listed in Schedule A of the MIF II Agreement.

ANNEX A A. Arbitration procedures

Article I. Composition of the Tribunal

The Arbitration Tribunal to resolve disputes under Article VII, Section 5 of the Agreement for the Administration of the Multilateral Investment Fund II (the ‘‘MIF II Administration Agreement‘‘) shall be composed of three members to be appointed in the following manner: one by the Bank, another by the Donors Committee, and a third, hereinafter called the ‘‘Referee’’, by direct agreement between the parties or through their respective arbitrators. If the parties or the arbitrators fail to agree on who shall be the Referee, or if one of the parties should not designate an arbitrator, the Referee shall be appointed, at the request of either party, by the Secretary General of the Organization of American States. If either of the parties fails to appoint an arbitrator, one shall be appointed by the Referee. If either of the appointed arbitrators or Referee is unwilling or unable to act or continue to act, a successor shall be appointed in the same manner as for the original appointment. The successor shall have the same functions and faculties as the predecessor.

Article II. Initiation of the procedure

In order to submit the dispute to arbitration, the claimant shall address to the other party a written communication setting forth the nature of the claim, the satisfaction or compensation which it seeks, and the name of the arbitrator it appoints. The party receiving such communication shall, within 45 days, notify the adverse party of the name of the person it appoints as arbitrator. If within 30 days after delivery of such notification to the claimant, the parties have not agreed as to the person who is to act as Referee, either party may request the Secretary General of the Organization of American States to make the appointment.

Article III. Convening of the Tribunal

The Arbitration Tribunal shall be convened in Washington, District of Columbia, United States of America, on the date designated by the Referee, and, once convened, shall meet on the dates which the Tribunal itself shall establish.

Article IV. Procedure

  • a) The Tribunal shall be competent to hear only the matters in dispute. It shall adopt its own procedures (which may be the procedures of a renowned arbitration association) and may on its own initiative designate whichever experts it considers necessary. In any case, it shall give the parties the opportunity to make oral presentations.

  • b) The Tribunal shall proceed ex aequo et bono, basing itself on the terms of the MIF II Administration Agreement, and shall issue an award even if either party should fail to appear or present its case.

  • c) The award shall be in writing and shall be adopted with the concurrent vote of at least two members of the Tribunal. It shall be handed down within approximately 60 days from the date on which the Referee has been appointed, unless the Tribunal determines that, due to special and unforeseen circumstances, such period should be extended. The award shall be notified to the parties by means of a communication signed by at least two members of the Tribunal.

Article V. Costs

The fees of each arbitrator shall be paid by the party which appointed such arbitrator and the fees of the Referee shall be paid by both parties in equal proportion. Prior to the convening of the Tribunal, the parties shall agree on the remuneration of the other persons who by mutual agreement they deem should take part in the arbitration proceedings. If such agreement is not reached in a timely manner, the Tribunal itself shall determine the compensation which may be reasonable for such persons under the circumstances. Each party shall defray its own expenses in the arbitration proceedings, but the expenses of the Tribunal shall be borne equally by the parties. Any doubt regarding the division of costs or the manner in which they are to be paid shall be determined, without appeal, by the Tribunal. Any fees or expenses due from the Donors Committee under this Article shall be paid from the Fund administered under the MIF II Administration Agreement.

Verdrag inzake het beheer van het Multilateraal Investeringsfonds II

Overwegend dat het Multilateraal Investeringsfonds (het „MIF I’’) is opgericht bij het Verdrag tot oprichting van het Multilateraal Investeringsfonds van 11 februari 1992 (het „MIF I-verdrag’’) en wordt beheerd door de Inter-Amerikaanse Ontwikkelingsbank (de „Bank’’) ingevolge het Verdrag inzake het beheer van het Multilateraal Investeringsfonds van dezelfde datum (het „MIF I-beheerverdrag’’);

Overwegend dat het MIF I-verdrag overeenkomstig artikel V, afdeling 2, daarvan werd verlengd tot 31 december 2007;

Overwegend dat het MIF I-beheerverdrag tegelijkertijd werd verlengd en van kracht blijft zolang het MIF I-verdrag van kracht blijft, zoals bepaald in artikel VI, afdeling 2, daarvan;

Overwegend dat met ingang van deze datum, het Verdrag tot oprichting van het Multilateraal Investeringsfonds II (het „MIF II-verdrag’’) aangegaan is door de toekomstige donoren vermeld in Schema A daarbij (alle „toekomstig donoren’’ en na toetreding ertoe als bepaald in artikel II, afdeling 1, onderdeel a, daarvan, een „donor’’) teneinde de voortzetting van de werkzaamheden van MIF I na 31 december 2007 te waarborgen en te voorzien in een verbeterd MIF I (het „MIF II’’ of het „Fonds’’) bij de Bank;

Overwegend dat de toekomstige donoren dit Verdrag inzake het beheer van het Multilateraal Investeringsfonds II (het „MIF II-beheerverdrag’’) wensen te aanvaarden, dat, na de inwerkingtreding van het MIF II-verdrag, het MIF I-beheerverdrag zal vervangen;

Overwegend dat het Fonds de werkzaamheden van de Bank, de Inter-Amerikaanse Investeringsmaatschappij (de „IIC’’) en andere multilaterale ontwikkelingsbanken overeenkomstig de voorwaarden van het MIF II-verdrag kan blijven aanvullen; en

Overwegend dat de Bank ter verwezenlijking van haar doelstellingen en hetgeen zij ermee beoogt ermee heeft ingestemd het Fonds te beheren in overeenstemming met het MIF II-verdrag.

Komen de Bank en de toekomstige donoren derhalve thans het volgende overeen:

Artikel I. Beheer van het Fonds

De Bank blijft beheerder van het Fonds. De Bank beheert het Fonds en verricht haar werkzaamheden in overeenstemming met het MIF II-verdrag en verleent diensten als depositaris en andere daarmee verband houdende werkzaamheden. De Bank handhaaft het kantoor van het Multilateraal Investeringsfonds als kantoor binnen de organisatie van de Bank belast met het beheren en verrichten van de werkzaamheden en programma’s van het Fonds zoals bepaald in dit MIF II-beheerverdrag.

Artikel II. Werkzaamheden van het Fonds

  • Afdeling 1. Werkzaamheden

    • a. Bij het beheren van het Fonds en het verrichten van haar werkzaamheden aanvaardt de Bank de volgende taken:

      • i. identificeren, ontwikkelen, voorbereiden en voorstellen of het treffen van maatregelen ten behoeve van het identificeren, ontwikkelen en voorbereiden van werkzaamheden, te financieren uit de middelen van het Fonds;

      • ii. opstellen of beschikbaar maken van memoranda of informatie inzake voorgestelde werkzaamheden van het Donorencomité (zoals omschreven in artikel II, afdeling 1, onderdeel d, van het MIF II-verdrag) die ten minste eenmaal per kwartaal aan de Raad van Bewindvoerders van de Bank worden voorgelegd of ter beschikking gesteld;

      • iii. presenteren van voorstellen voor specifieke werkzaamheden aan het Donorencomité voor definitieve goedkeuring;

      • iv. identificeren en presenteren van gebieden van strategisch belang conform het MIF II-verdrag ter bestudering door het Donorencomité;

      • v. uitvoeren van en houden van toezicht op, of het treffen van maatregelen ten behoeve van de uitvoering en het toezicht houden op alle door het Donorencomité goedgekeurde werkzaamheden;

      • vi. uitvoeren van een systeem voor het meten van resultaten van werkzaamheden op basis van de criteria bedoeld in artikel III, afdeling 3, onderdeel h, van het MIF II-verdrag;

      • vii. beheren van de rekeningen van het Fonds, met inbegrip van het investeren van fondsen zoals omschreven in artikel IV, afdeling 1, onderdeel c; en

      • viii. doorgeven van de ervaringen met de werkzaamheden en activiteiten van het Fonds ter bevordering van de uitwisseling van kennis, verbetering van de opzet van projecten, capaciteitsopbouw van partners in de private sector en het betrekken van de private sector in het ontwikkelingsproces.

    • b. Op voorwaarde van goedkeuring door het Donorencomité, kan de Bank de ICC verzoeken werkzaamheden of individuele programma’s te beheren of uit te voeren wanneer deze werkzaamheden en programma’s behoren tot de mogelijkheden en deskundigheid van de ICC.

    • c. De President van de Bank is ambtshalve voorzitter van het Donorencomité. De Secretaris van de Bank is secretaris van het Donorencomité en verleent secretariaatsdiensten, faciliteiten en andere ondersteunende diensten om het werk van het Donorencomité te vergemakkelijken. In die hoedanigheid roept de Secretaris tevens vergaderingen van het Donorencomité bijeen en verspreidt hij, ten minste veertien dagen voorafgaand aan een vergadering, de voornaamste documenten voor de vergadering en een agenda onder de vertegenwoordigers van de uit hoofde van artikel IV, afdeling 1, van het MIF II-verdrag, aangewezen donoren.

  • Afdeling 2. Beperkingen inzake verplichtingen De Bank beperkt verplichtingen in de door een donor aangegeven mate ingevolge artikel II, afdeling 1, onderdeel d, van het MIF II-verdrag.

Artikel III. Taken van de depositaris

  • Afdeling 1. Depositaris voor verdragen en documenten De Bank is depositaris voor dit MIF II-beheerverdrag, het MIF II-verdrag, de akten van aanvaarding en bijdrage (omschreven in artikel II, afdeling 1, onderdeel a, van het MIF II-verdrag) en alle overige aan het Fonds gerelateerde documenten.

  • Afdeling 2. Openen van rekeningen De Bank opent als beheerder van het Fonds een rekening of rekeningen van de Bank voor de ontvangst van betalingen van donoren uit hoofde van artikel II, afdeling 2, van het MIF II-verdrag. De Bank beheert deze rekeningen in overeenstemming met dit MIF II-beheerverdrag.

Artikel IV. Bevoegdheden van de Bank en andere aangelegenheden

  • Afdeling 1. Primaire bevoegdheid

    • a. De Bank verklaart ingevolge artikel VII, afdeling 1, onder v, van de Overeenkomst tot oprichting van de Inter-Amerikaanse Ontwikkelingsbank (het „Handvest’’) bevoegd te zijn tot uitvoering van de bepalingen van dit MIF II-beheerverdrag en dat de uit hoofde van dit Verdrag ondernomen activiteiten zullen bijdragen aan het vervullen van de doelstellingen van de Bank.

    • b. Tenzij in dit MIF II-beheerverdrag anders wordt bepaald, is de Bank bevoegd alle handelingen te verrichten en alle overeenkomsten aan te gaan om haar taken ingevolge dit Verdrag te vervullen.

    • c. De Bank investeert gelden van het Fonds, die niet nodig zijn voor de werkzaamheden daarvan, in zekerheden van dezelfde aard als waarin zij haar eigen fondsen investeert ingevolge haar investeringsbevoegdheid.

  • Afdeling 2. Zorgvuldigheidsnorm De Bank neemt bij het verrichten van haar taken ingevolge dit MIF II-beheerverdrag dezelfde zorgvuldigheid in acht die zij in acht neemt ten aanzien van het beheer van haar eigen zaken.

  • Afdeling 3. Uitgaven van de Bank

    • a. De Bank ontvangt volledige terugbetaling uit het Fonds van directe en indirecte kosten gemaakt voor haar activiteiten met betrekking tot het Fonds en die van de IIC, met inbegrip van de bezoldiging van het personeel van de Bank voor feitelijk aan het beheer van het Fonds bestede tijd, reiskosten per dag, kosten van communicatie en overige direct vast te stellen uitgaven, afzonderlijk berekend en vastgelegd als beheerkosten voor het Fonds en de uitvoering van zijn werkzaamheden.

    • b. De procedure voor het vaststellen en berekenen van de aan de Bank terug te betalen kosten en de criteria voor terugbetaling van de in onderdeel a omschreven kosten die zijn overeengekomen door de Bank en het Donorencomité ingevolge het MIF I-beheerverdrag blijven van kracht en kunnen van tijd tot tijd worden herzien op voorstel van de Bank of van het Donorencomité en de toepassing van wijzigingen die uit de herziening voortvloeien behoeft goedkeuring van de Bank en van het Donorencomité.

  • Afdeling 4. Samenwerking met nationale en internationale organisaties Bij het beheren van het Fonds kan de Bank overleggen en samenwerken met publieke en private nationale en internationale organisaties die werkzaam zijn op het gebied van sociale en economische ontwikkeling, wanneer dat dienstig is voor het verwezenlijken van de doelstelling van het Fonds of voor optimale, doelmatige aanwending van de middelen van het Fonds.

  • Afdeling 5. Evaluatie van projecten Naast evaluaties waar om verzocht wordt door het Donorencomité, evalueert de Bank de werkzaamheden die zij heeft ondernomen ingevolge dit Verdrag en brengt van deze evaluaties verslag uit aan het Donorencomité zoals bepaald in artikel IV, afdeling 5, van het MIF II-verdrag.

Artikel V. Administratieve verantwoording en verslaglegging

  • Afdeling 1. Afzonderlijke administratie De Bank houdt een afzonderlijke administratie en dossiers bij van de middelen en werkzaamheden van het Fonds en van het Investeringsfonds voor kleine ondernemingen als bedoeld in artikel III, afdeling 2, onderdeel b, van het MIF II-verdrag („SEIF’’) op zodanige wijze dat de passiva, activa, inkomsten, kosten en uitgaven betreffende het Fonds en het SEIF afzonderlijk en onafhankelijk van alle andere werkzaamheden van de Bank kunnen worden vastgesteld. Met het gebruikte stelsel van administratieve verantwoording dient het tevens mogelijk te zijn de herkomst van de verschillende uit hoofde van dit MIF II-beheerverdrag ontvangen middelen en de daardoor gegenereerde fondsen, alsmede hun toepassing vast te stellen en vast te leggen. De boeken van het Fonds worden bijgehouden in Amerikaanse dollars, voor welk doel de valuta’s worden omgezet tegen de ten tijde van elke transactie geldende en door de Bank gehanteerde wisselkoers.

  • Afdeling 2. Verslaglegging

    • a. Zolang dit MIF II-verdrag van kracht blijft, presenteert de administratie van de Bank jaarlijks binnen 90 dagen na het sluiten van haar boekjaar de volgende informatie in een informatief jaarverslag aan het Donorencomité:

      • i. een verklaring omtrent de activa en passiva van het Fonds en van het SEIF, een verklaring omtrent cumulatieve ontvangsten en uitgaven voor het Fonds en het SEIF en een verklaring omtrent de herkomst en het gebruik van de middelen van het Fonds en het SEIF, met toelichtende nota’s voorzover deze ter zake dienend kunnen zijn;

      • ii. informatie omtrent voortgang en resultaten van de projecten, programma’s en andere werkzaamheden van het Fonds en het SEIF en over de status van de bij het Fonds en het SEIF ingediende aanvragen; en

      • iii. informatie over de resultaten van de werkzaamheden van het Fonds op basis van de criteria bedoeld in artikel III, afdeling 3, onderdeel h, van het MIF II-verdrag.

    • b. De in onderdeel a van deze afdeling bedoelde verklaringen worden opgesteld overeenkomstig de door de Bank voor haar eigen werkzaamheden gehanteerde boekhoudkundige beginselen en worden gepresenteerd tezamen met een verklaring afgegeven door dezelfde onafhankelijke openbare accountantsfirma die is aangewezen door de Raad van Bestuur van de Bank voor de accountantscontrole van de financiële verslagen van de Bank. De honorering van de accountantsfirma wordt ten laste van de middelen van het Fonds gebracht.

    • c. De Bank stelt een jaarverslag en kwartaalverslagen op die informatie bevatten ten aanzien van de ontvangsten en uitgaven uit en saldi in het Fonds en het SEIF.

    • d. Het Donorencomité kan eveneens verlangen dat de Bank of de in onderdeel b bedoelde openbare accountantsfirma andere redelijke informatie verstrekt betreffende de werkzaamheden van het Fonds en de overgelegde accountantsverklaringen.

    • e. Van het SEIF wordt afzonderlijk van de andere middelen van het Fonds verslag uitgebracht.

Artikel VI. Duur van het MIF II-beheerverdrag

  • Afdeling 1. Inwerkingtreding Dit MIF II-Beheerverdrag treedt in werking op de datum waarop het MIF II-verdrag in werking treedt.

  • Afdeling 2. Duur

    • a. Dit MIF II-beheerverdrag blijft van kracht zolang het MIF II-verdrag van kracht blijft. Bij beëindiging van het MIF II-verdrag of bij beëindiging van dit MIF II-beheerverdrag ingevolge afdeling 3 van dit artikel, blijft dit MIF II-beheerverdrag niettemin van kracht totdat de Bank haar taken met betrekking tot de liquidatie van de werkzaamheden van het Fonds of de vereffening van rekeningen uit hoofde van artikel VI, afdeling 4, onderdeel a, van het MIF II-verdrag heeft voltooid.

    • b. Voorafgaand aan het einde van het eerste tijdvak bedoeld in artikel V, afdeling 2, van het MIF II-verdrag, overlegt de Bank met het Donorencomité omtrent de wenselijkheid van het uitbreiden van de werkzaamheden van het Fonds of het SEIF voor het daarin omschreven tijdvak van verlenging.

  • Afdeling 3. Beëindiging door de Bank De Bank beëindigt dit MIF II-beheerverdrag ingeval zij haar eigen werkzaamheden staakt ingevolge artikel X van het Handvest, of ingeval zij haar werkzaamheden beëindigt ingevolge dat artikel van het Handvest. De Bank beëindigt dit MIF II-beheerverdrag ingeval het MIF II-verdrag zodanig wordt gewijzigd dat van de Bank verlangd wordt dat zij, bij het nakomen van de verplichtingen ingevolge dit MIF II-beheerverdrag, handelt in strijd met het Handvest.

  • Afdeling 4. Liquidatie van werkzaamheden van het Fonds Bij beëindiging van het MIF II-verdrag of het SEIF staakt de Bank alle werkzaamheden ingevolge dit MIF II-beheerverdrag of het SEIF, naar gelang hetgeen van toepassing is, uitgezonderd die welke nodig zijn voor het regelmatig te gelde maken, instandhouden en handhaven van activa en de vereffening van de verplichtingen. Nadat aan alle relevante verplichtingen van het Fonds of het SEIF is voldaan of daarin is voorzien, verricht de Bank zodanige toewijzingen of verdelingen van resterende activa als door het Donorencomité worden aangegeven ingevolge artikel V, afdeling 4, van het MIF II-verdrag.

Artikel VII. Algemene bepalingen

  • Afdeling 1. Contracten en documenten van de Bank ten behoeve van het Fonds In de overeenkomsten die de Bank ondertekent bij het beheren van de middelen van het Fonds en bij het verrichten van haar werkzaamheden en in alle overige aan het Fonds gerelateerde documenten geeft zij duidelijk aan dat zij handelt in de hoedanigheid van beheerder van het Fonds.

  • Afdeling 2. Verantwoordelijkheid van de Bank en de donoren De inkomsten, winsten of voordelen die voortvloeien uit financieringen, investeringen en andere met de middelen van het Fonds uitgevoerde werkzaamheden komen in geen geval ten goede aan de Bank. Uit geen enkele met de middelen van het Fonds uitgevoerde financiering, investering of werkzaamheid vloeit een financiële verplichting of verantwoordelijkheid van de Bank jegens de donoren voort en dienovereenkomstig geeft geen enkel verlies of tekort dat het gevolg kan zijn van een werkzaamheid de donoren recht op een schadevergoeding van de Bank, uitgezonderd in gevallen waarin de Bank is afgeweken van de schriftelijke instructies van het Donorencomité of heeft nagelaten te handelen met dezelfde zorgvuldigheid als zij in acht neemt bij het beheren van haar eigen middelen.

  • Afdeling 3. Toetreding tot dit MIF II-beheerverdrag Elk niet in Schema A van het MIF II-verdrag vermeld lid van de Bank kan toetreden tot dit MIF II-beheerverdrag na toetreding tot het MIF II-verdrag ingevolge artikel VI, afdeling 1, van dat Verdrag. De Bank treedt toe tot dit MIF II-verdrag door ondertekening door een naar behoren gemachtigde vertegenwoordiger.

  • Afdeling 4. Wijziging Dit MIF II-beheerverdrag kan slechts worden gewijzigd bij overeenkomst tussen de Bank en het Donorencomité, dat een besluit neemt door middel van een stemming door ten minste twee derde van de donoren die ten minste drie vierde van het totale aantal stemmen van de donoren vertegenwoordigen. De instemming van alle donoren is vereist voor een wijziging van deze afdeling of waarbij een financiële of andere verplichting van donoren betrokken is.

  • Afdeling 5. Beslechting van geschillen Ingevolge dit MIF II-beheerverdrag rijzende geschillen tussen de Bank en het Donorencomité, die niet door overleg worden opgelost, worden geregeld door arbitrage uit hoofde van Bijlage A bij dit Verdrag. Elke arbitrageuitspraak is onherroepelijk en wordt uitgevoerd door een donor, donoren of de Bank in overeenstemming met zijn of hun grondwettelijke procedures, respectievelijk met het Handvest.

  • Afdeling 6. Beperkingen van aansprakelijkheid Bij de werkzaamheden van het Fonds is de financiële aansprakelijkheid van de Bank beperkt tot de middelen en reserves (indien aanwezig) van het Fonds en de aansprakelijkheid van donoren als donor is beperkt tot het onbetaalde deel van hun respectieve bijdragen dat ingevolge het MIF II-verdrag verschuldigd en betaalbaar is geworden.

  • Afdeling 7. Opzegging door een donor van het MIF II-verdrag Op de datum waarop zijn kennisgeving van opzegging van kracht is geworden ingevolge artikel VI, afdeling 4, onderdeel a, van het MIF II-verdrag wordt een donor die een dergelijke kennisgeving doet geacht dit MIF II-beheerverdrag te hebben opgezegd. Onverminderd artikel VI, afdeling 4, onderdeel b, van het MIF II-verdrag, komt de Bank, afhankelijk van de goedkeuring van het Donorencomité, tot een regeling met bedoelde donor ter vereffening van zijn respectieve vorderingen en verplichtingen.

TEN BLIJKE waarvan de Bank en elk van de toekomstige donoren, elk handelend door tussenkomst van zijn bevoegde vertegenwoordiger, dit MIF II-beheerverdrag hebben ondertekend.

GEDAAN te Okinawa, op 9 april 2005, in een enkel oorspronkelijk exemplaar, waarvan de Engelse, Franse, Portugese en Spaanse teksten gelijkelijk authentiek zijn, dat zal worden nedergelegd in het archief van de Bank die een naar behoren gewaarmerkt afschrift aan elk van de in Schema A van het MIF II-verdrag vermelde toekomstige donoren doet toekomen.

BIJLAGE A. Arbitrageprocedure

Artikel I. Samenstelling van het Scheidsgerecht

Het scheidsgerecht voor het oplossen van geschillen ingevolge artikel VII, afdeling 5, van het Verdrag inzake het beheer van het Multilateraal Investeringsfonds II (het „MIF II-beheerverdrag’’) is samengesteld uit drie leden die op de volgende wijze worden benoemd: een door de Bank, een ander door het Donorencomité en een derde, hierna genoemd de voorzitter, bij rechtstreekse overeenkomst tussen de partijen of door tussenkomst van hun respectieve scheidsmannen. Indien de partijen of de scheidsmannen geen overeenstemming bereiken over wie de voorzitter wordt, of indien één van de partijen geen scheidsman aanwijst, wordt de voorzitter op verzoek van één van de partijen, benoemd door de Secretaris-Generaal van de Organisatie van Amerikaanse Staten. Indien één van de partijen verzuimt een scheidsman te benoemen, wordt er een benoemd door de voorzitter. Indien één van beide benoemde scheidsmannen of de voorzitter niet bereid of niet in staat is op te treden of te blijven optreden, wordt zijn opvolger benoemd op dezelfde wijze als bij de oorspronkelijke benoeming. De opvolger heeft dezelfde taken en bevoegdheden als zijn voorganger.

Artikel II. Inleiding van de procedure

Om het geschil aan arbitrage te onderwerpen, zendt de eisende partij de andere partij een schriftelijke mededeling waarin de aard van de vordering, de gevorderde genoegdoening of schadevergoeding die zij wenst en de naam van de scheidsman die zij benoemt worden omschreven. De partij die bedoelde mededeling ontvangt, stelt de wederpartij binnen 45 dagen in kennis van de naam van de persoon die zij tot scheidsman benoemt. Indien binnen 30 dagen na bezorging van bedoelde kennisgeving aan de eisende partij, partijen geen overeenstemming hebben bereikt over de persoon die zal optreden als voorzitter, kan elk van beide partijen de Secretaris-Generaal van de Organisatie van Amerikaanse Staten verzoeken de benoeming te verrichten.

Artikel III. Bijeenroepen van het Scheidsgerecht

Het scheidsgerecht wordt bijeengeroepen in Washington, D.C., Verenigde Staten van Amerika, op de door de voorzitter aangewezen datum en indien bijeengeroepen, komt het bijeen op de data die het scheidsgerecht zelf vaststelt.

Artikel IV. Procedure

  • a. Het scheidsgerecht is slechts bevoegd kennis te nemen van hetgeen in geschil is. Het neemt zijn eigen procedureregels aan (die afkomstig kunnen zijn van een bekende arbitrage-instelling) en kan op eigen initiatief die deskundigen aanwijzen die het noodzakelijk acht. In elk geval stelt het de partijen in de gelegenheid een mondelinge toelichting te geven.

  • b. Het scheidsgerecht oordeelt ex aequo et bono, op grond van hetgeen in het MIF II-beheerverdrag is bepaald en doet uitspraak ook indien één van beide partijen nalaat te verschijnen of haar zaak voor te dragen.

  • c. De uitspraak is schriftelijk en wordt aangenomen met eensluidende stemmen van ten minste twee leden van het scheidsgerecht. De uitspraak wordt gedaan binnen ongeveer 60 dagen na de datum waarop de voorzitter is benoemd, tenzij het scheidsgerecht bepaalt dat, tengevolge van bijzondere en onvoorziene omstandigheden bedoeld tijdvak dient te worden verlengd. De uitspraak wordt ter kennis van de partijen gebracht door middel van een mededeling die door ten minste twee leden van het scheidsgerecht is ondertekend.

Artikel V. Kosten

De bezoldiging van elke scheidsman wordt betaald door de partij die hem heeft benoemd en de bezoldiging van de voorzitter wordt in gelijke delen betaald door beide partijen. Voorafgaand aan het bijeenkomen van het scheidsgerecht komen de partijen de beloning overeen van de andere personen die zij in onderlinge overeenstemming wensen te laten deelnemen aan de arbitrageprocedure. Indien bedoelde overeenstemming niet tijdig wordt bereikt, bepaalt het scheidsgerecht zelf de vergoeding die voor bedoelde personen in deze omstandigheden redelijk kan zijn. Elke partij bekostigt haar eigen uitgaven in de arbitrageprocedure, maar de uitgaven van het scheidsgerecht worden gelijkelijk door de partijen gedragen. Over elke vraag betreffende de verdeling van de kosten of de wijze waarop deze moeten worden betaald wordt, zonder de mogelijkheid van beroep, beslist door het scheidsgerecht. Alle door het Donorencomité ingevolge dit artikel verschuldigde bezoldigingen of uitgaven worden betaald uit het ingevolge het MIF II-beheerverdrag beheerde Fonds.
