Verdrag ter bevordering van de economische betrekkingen tussen het Koninkrijk der Nederlanden, ten behoeve van Aruba, en de Regering van IJsland

Agreement to promote economic relations between the Kingdom of the Netherlands, in respect of Aruba, and the Government of Iceland

The Kingdom of the Netherlands, in respect of Aruba,

and

the Government of Iceland,

Whereas the Kingdom of the Netherlands, in respect of Aruba, and the Government of Iceland (“the Parties”) have signed an Agreement for the Exchange of Information with Respect to Taxes;

Whereas both the Kingdom of the Netherlands, in respect of Aruba, and the Government of Iceland are committed to work towards an international financial system that is free of distortions created through lack of transparency and lack of effective exchange on information in tax matters;

Whereas the Government of Iceland wishes to assist the Kingdom of the Netherlands, in respect of Aruba, in diversifying its economy;

Now, therefore, the Parties have agreed as follows:

Article 1. Definitions

  • 1 For the purpose of this Agreement, unless the context otherwise requires:

    • a) the term “Iceland” means Iceland and, when used in a geographical sense, means the territory of Iceland, including its territorial sea, and any area beyond the territorial sea within which Iceland, in accordance with international law, exercises jurisdiction or sovereign rights with respect to the sea bed, its subsoil and its superjacent waters, and their natural resources;

    • b) the term “Aruba” means that part of the Kingdom of the Netherlands that is situated in the Caribbean area and consisting of the Island of Aruba;

    • c) the term “competent authority” means:

      • (i) in the case of Iceland, the Minister of Finance or the Minister’s authorised representative;

      • (ii) in the case of Aruba, the Minister of Finance and Economic Affairs or an authorised representative of the Minister;

    • d) the term “company” means any body corporate or any entity that is treated as a body corporate for tax purposes.

  • 2 As regards the application of this Agreement at any time by a Party, any term not defined therein shall, unless the context otherwise requires, have the meaning that it has at that time under the law of that Party, any meaning under the applicable tax laws of that Party prevailing over a meaning given to the term under other laws of that Party.

Article 2. Residence

  • 1 For the purposes of this Agreement, the terms “company resident in Iceland” and “company resident in Aruba” mean any company which under the laws of a Party, is liable to tax therein by reason of its domicile, residence, place of management or any other criterion of a similar nature. The terms “company resident in Iceland” and “company resident in Aruba” do not include any company which is liable to tax in a Party in respect of only income from sources in that Party.

  • 2 Where by reason of the provisions of paragraph 1 a company is resident of both Parties, the competent authorities of the Parties shall endeavour to settle the question by mutual agreement.

Article 3. Permanent establishment income

When a company resident in Iceland has a permanent establishment in Aruba, Iceland shall exempt profits, which are attributable to that establishment from tax, provided that the profits are derived from activities listed in Article 5.

Article 4. Dividends

When a company resident in Iceland directly holds shares representing 100 per cent of the voting power in a company resident in Aruba, Iceland shall exempt from tax dividends distributed from the last-mentioned company, provided that the profits of the last mentioned company are derived from activities listed in Article 5.

Article 5. Activities covered

  • 1 Articles 3 and 4 apply to the following activities (excluding financial activities other than those in line with the ordinary course of business) carried out in Aruba:

    • a) industrial and manufacturing activities, including assembly activities;

    • b) tourism (including hotels);

    • c) a building site or a construction, assembly or installation project;

    • d) aquaculture and agriculture;

    • e) medical services;

    • f) repair, maintenance, certification of ship and aircraft; and

    • g) operation or maintenance of fixed or mobile telecommunication systems.

  • 2 The right of any company resident in Iceland to engage in Aruba in the activities listed in the preceding paragraph remains subject to the domestic legislation in force in Aruba.

Article 6. Mutual agreement procedure

  • 1 Where a company resident in Iceland considers that the actions of one or both of the Parties result or will result for it in taxation not in accordance with the provisions of this Agreement, it may, irrespective of the remedies provided by the domestic law of those Parties, present its case to the competent authority of Iceland. The case must be presented within three years from the first notification of the action resulting in taxation not in accordance with the provisions of this Agreement.

  • 2 The competent authority shall endeavour, if the objection appears to it to be justified and if it is not itself able to arrive at a satisfactory solution, to resolve the case by mutual agreement with the competent authority of Aruba, with a view to the avoidance of taxation which is not in accordance with this Agreement. Any agreement reached shall be implemented notwithstanding any time limits in the domestic law of the Parties.

  • 3 The competent authorities of the Parties shall endeavour to resolve by mutual agreement any difficulties arising as to the interpretation or application of this Agreement.

  • 4 The competent authorities of the Parties may communicate with each other directly for the purpose of reaching an agreement in the sense of the preceding paragraphs.

Article 7. Duration

This Agreement shall apply for a period of ten years from the date when this Agreement becomes applicable. This period may be extended by mutual agreement between the competent authorities of the Parties.

Article 8. Entry into force

This Agreement shall enter into force on the first day of the second month after each Party has notified the other in writing, through diplomatic channels, that the internal procedures required by that Party for the entry into force of the Agreement have been complied with. This Agreement shall apply to income earned in any tax year beginning on or after the first day of January of the calendar year next following that in which this Agreement enters into force.

Article 9. Termination

  • 1 This Agreement shall remain in force until terminated by one of the Parties. Either Party may terminate this Agreement by giving notice of termination in writing through diplomatic channels at least six months before the end of any calendar year. In such event, this Agreement shall cease to have effect for taxable years and periods beginning after the end of the calendar year in which the notice of termination has been given.

Het Koninkrijk der Nederlanden, ten behoeve van Aruba,

en

de Regering van IJsland,

Overwegend dat het Koninkrijk der Nederlanden, ten behoeve van Aruba, en de Regering van IJsland („de partijen”) een verdrag inzake de uitwisseling van informatie betreffende belastingen hebben ondertekend;

Aangezien zowel het Koninkrijk der Nederlanden, ten behoeve van Aruba, als de Regering van IJsland zich verplicht heeft zich in te zetten voor een internationaal financieel stelsel dat vrij is van verstoringen ten gevolge van een gebrek aan transparantie en het ontbreken van een doeltreffende uitwisseling van informatie bij belastingzaken;

Aangezien de Regering van IJsland het Koninkrijk der Nederlanden, ten behoeve van Aruba, wenst bij te staan bij het diversifiëren van zijn economie;

Zijn de partijen thans het volgende overeengekomen:

Artikel 1. Begripsomschrijvingen

  • 1 Voor de toepassing van dit Verdrag, tenzij de context anders vereist:

    • a. wordt verstaan onder de uitdrukking „IJsland“ IJsland; gebezigd in geografische zin omvat deze uitdrukking het grondgebied van IJsland, met inbegrip van zijn territoriale zee en elk gebied buiten de territoriale zee waarbinnen IJsland, in overeenstemming met het internationale recht, rechtsmacht of soevereine rechten uitoefent met betrekking tot de zeebodem, de ondergrond daarvan en de bovengelegen wateren en hun natuurlijke rijkdommen;

    • b. wordt verstaan onder de uitdrukking „Aruba” dat deel van het Koninkrijk der Nederlanden dat is gelegen in het Caribische gebied en bestaat uit het eiland Aruba;

    • c. wordt verstaan onder de uitdrukking „bevoegde autoriteit”:

      • i. wat IJsland betreft, de minister van Financiën of de bevoegde vertegenwoordiger van de minister;

      • ii. wat Aruba betreft, de minister van Financiën en Economische Zaken of een bevoegde vertegenwoordiger van de minister;

    • d. wordt verstaan onder de uitdrukking „lichaam“ elke rechtspersoon of elke eenheid die voor de belastingheffing als een rechtspersoon wordt behandeld.

  • 2 Wat betreft de toepassing van dit Verdrag, op enig moment, door een partij, heeft, tenzij de context anders vereist, elke daarin niet omschreven uitdrukking de betekenis welke die uitdrukking op dat tijdstip heeft volgens de wetgeving van die partij, waarbij elke betekenis volgens de toepasselijke belastingwetgeving van die partij prevaleert boven een betekenis die volgens andere wetgeving van die partij aan die uitdrukking wordt gegeven.

Artikel 2. Woonplaats

  • 1 Voor de toepassing van dit Verdrag wordt verstaan onder „lichaam dat inwoner is van IJsland“ en „lichaam dat inwoner is van Aruba“ elk lichaam dat uit hoofde van het recht van een partij aldaar aan belasting is onderworpen op grond van zijn woonplaats, verblijf, plaats van leiding of enige andere soortgelijke omstandigheid. Onder de uitdrukkingen „lichaam dat inwoner is van IJsland“ en „lichaam dat inwoner is van Aruba“ worden niet verstaan lichamen die in een partij uitsluitend aan belasting zijn onderworpen op grond van inkomsten uit bronnen in die partij.

  • 2 Indien een lichaam ingevolge de bepalingen van het eerste lid inwoner is van beide partijen, trachten de bevoegde autoriteiten van de partijen de aangelegenheid in onderling overleg te regelen.

Artikel 3. Inkomsten uit vaste inrichtingen

Indien een lichaam dat inwoner is van IJsland een vaste inrichting heeft op Aruba, stelt IJsland de aan die vaste inrichting toe te rekenen voordelen vrij van belasting, mits de voordelen verkregen zijn uit de activiteiten genoemd in artikel 5.

Artikel 4. Dividenden

Indien een lichaam dat inwoner is van IJsland onmiddellijk aandelen bezit die honderd percent vertegenwoordigen van het aantal stemmen in een lichaam dat inwoner is van Aruba, stelt IJsland door het laatstgenoemde lichaam uitgekeerde dividenden vrij van belasting, mits de voordelen van het laatstgenoemde lichaam verkregen zijn uit de activiteiten genoemd in artikel 5.

Artikel 5. Activiteiten waarop dit Verdrag van toepassing is

  • 1 De artikelen 3 en 4 zijn van toepassing op de volgende activiteiten (met uitzondering van financiële activiteiten anders dan in lijn met de normale uitoefening van het bedrijf) verricht op Aruba:

    • a. industriële en productieactiviteiten, met inbegrip van assemblagewerkzaamheden;

    • b. toerisme (met inbegrip van hotels);

    • c. een bouwterrein of constructie-, assemblage-, of installatiewerkzaamheden;

    • d. aquacultuur en landbouw;

    • e. medische diensten;

    • f. reparatie, onderhoud, certificering van schepen en luchtvaartuigen; en

    • g. de exploitatie of het onderhoud van vaste of mobiele telecommunicatiesystemen.

  • 2 Op het recht van een lichaam dat inwoner is van IJsland zich op Aruba bezig te houden met de activiteiten genoemd in het vorige lid blijft de nationale wetgeving van toepassing dat van kracht is op Aruba.

Artikel 6. Procedure voor onderling overleg

  • 1 Indien een lichaam dat inwoner is van IJsland van oordeel is dat de maatregelen van een of van beide partijen voor hem leiden of zullen leiden tot een belastingheffing die niet in overeenstemming is met de bepalingen van dit Verdrag, kan het, ongeacht de rechtsmiddelen waarin de nationale wetgeving van die partijen voorziet, zijn geval voorleggen aan de bevoegde autoriteit van IJsland. Het geval moet worden voorgelegd binnen drie jaar nadat de maatregel die leidt tot een belastingheffing die niet in overeenstemming is met de bepalingen van dit Verdrag, voor het eerst te zijner kennis is gebracht.

  • 2 De bevoegde autoriteit tracht, indien het bezwaar haar gegrond voorkomt en indien zij niet zelf in staat is tot een bevredigende oplossing te komen, het geval in onderling overleg met de bevoegde autoriteit van Aruba op te lossen teneinde belastingheffing die niet in overeenstemming is met dit Verdrag te vermijden. De bereikte overeenstemming wordt ten uitvoer gelegd niettegenstaande de verjaringstermijnen in de nationale wetgeving van de partijen.

  • 3 De bevoegde autoriteiten van de partijen trachten moeilijkheden die mochten rijzen met betrekking tot de uitlegging of de toepassing van dit Verdrag in onderling overleg op te lossen.

  • 4 De bevoegde autoriteiten van de partijen kunnen zich rechtstreeks met elkaar in verbinding stellen teneinde de overeenstemming als bedoeld in de voorgaande leden te bereiken.

Artikel 7. Duur

Dit Verdrag geldt voor een tijdvak van tien jaar vanaf de datum waarop dit Verdrag van kracht wordt. Dit tijdvak kan in onderling overleg tussen de bevoegde autoriteiten van de partijen worden verlengd.

Artikel 8. Inwerkingtreding

Dit Verdrag treedt in werking op de eerste dag van de tweede maand nadat beide partijen elkaar langs diplomatieke weg schriftelijk ervan in kennis hebben gesteld dat aan hun interne procedures vereist voor de inwerkingtreding van het Verdrag is voldaan. Dit Verdrag is van toepassing op inkomsten verkregen in enig belastingjaar dat aanvangt op of na 1 januari van het kalenderjaar dat volgt op het jaar waarin dit Verdrag in werking treedt.

Artikel 9. Beëindiging

  • 1 Dit Verdrag blijft van kracht totdat het door een van de partijen wordt beëindigd. Elk van de partijen kan dit Verdrag beëindigen door ten minste zes maanden voor het eind van enig kalenderjaar langs diplomatieke weg schriftelijk kennis te geven van beëindiging. In dat geval houdt dit Verdrag op van toepassing te zijn voor belastingjaren en -tijdvakken die aanvangen na het einde van het kalenderjaar waarin de kennisgeving van de beëindiging is gedaan.

  • 2 Dit Verdrag vormt een aanvulling op het Verdrag inzake de uitwisseling van informatie betreffende belastingen tussen de partijen. Niettegenstaande de bepalingen van het eerste lid, wordt dit Verdrag na ontvangst langs diplomatieke weg van een schriftelijke kennisgeving van beëindiging van het Verdrag inzake de uitwisseling van informatie betreffende belastingen beëindigd en houdt het op van kracht te zijn op de datum waarop het Verdrag inzake de uitwisseling van informatie betreffende belastingen tussen de partijen beëindigd wordt.

TEN BLIJKE WAARVAN de ondergetekenden, daartoe naar behoren gemachtigd door hun onderscheiden regeringen, dit Verdrag hebben ondertekend.
