1. Algemeen

In artikel 26 van de Overeenkomst tussen Nederland en de VS van Amerika van 18 december 1992, zoals gewijzigd bij het Protocol van 13 oktober 1993 (boekwerk IFZ nr. 50.00.00); in het vervolg: het Verdrag) worden nadere eisen gesteld aan personen die aanspraak willen maken op toepassing van het Verdrag. Deze nadere voorwaarden gelden zowel ten aanzien van inwoners van Nederland die aanspraak willen maken op toepassing van het Verdrag door de VS van Amerika, als voor inwoners van de VS van Amerika die aanspraak willen maken op toepassing van het Verdrag door Nederland (zie uitvoeringsregeling nr. IFZ93/1292 van 30 september 1993 en mededeling 23, nr. IFZ93/1331 van 20 december 1993). In deze resolutie wordt alleen ingegaan op de situatie waarbij inwoners van Nederland aanspraak willen maken op toepassing van het Verdrag door de VS van Amerika.

Een persoon die op de voet van artikel 4 van het Verdrag wordt aangemerkt als inwoner van Nederland en inkomen verkrijgt uit de VS van Amerika, is alleen gerechtigd tot de voordelen van het Verdrag indien wordt voldaan aan een van de in artikel 26 neergelegde toetsen, dan wel indien een beroep op de zogenoemde vangnetbepaling door de Amerikaanse bevoegde autoriteiten is gehonoreerd. Aan in Nederland woonachtige natuurlijke personen en de Nederlandse Staat, of een staatkundig onderdeel of een plaatselijk publiekrechtelijk lichaam daarvan, worden in artikel 26 geen nadere voorwaarden voor de verdragsgerechtigdheid gesteld. Van andere dan de hiervoor genoemde Nederlandse personen die aanspraak maken op de voordelen van het Verdrag kan door de Amerikaanse belastingautoriteiten worden verlangd, dat aannemelijk wordt gemaakt, dat zij op basis van een van de toetsen van artikel 26 gerechtigd zijn tot die voordelen.

Aan personen die voldoen aan de in artikel 26 van het Verdrag gestelde nadere voorwaarden voor vedragsgerechtigdheid en die uit de VS van Amerika rente- of royalty-inkomsten ontvangen die zijn toe te rekenen aan een vaste inrichting van die personen in een derde staat (zogenoemde triangular cases) worden in artikel 12, lid 8, en in artikel 13, lid 6, van het Verdrag nadere eisen gesteld ingeval die personen, ter zake van deze inkomensbestanddelen aanspraak willen maken op een vrijstelling van bronbelasting in de VS van Amerika. Ook in deze gevallen kan door de Amerikaanse belastingautoriteiten worden verlangd dat de betrokken personen aannemelijk maken dat wordt voldaan aan de voorwaarden van artikel 12, lid 8, respectievelijk artikel 13, lid 6.

De verdragsluitende partijen hebben onderkend dat het leveren van bewijs een zware administratieve last kan leggen op belastingplichtigen. De bevoegde autoriteiten hebben daarom in onderling overleg een procedure ontwikkeld die door belastingplichtige kan worden gebruikt voor het verstrekken van de informatie benodigd om de gerechtigdheid tot de verdragsvoordelen in de VS van Amerika (bij de inhoudingsplichtige en de belastingdienst) aannemelijk te maken. Daarbij is ernaar gestreefd te komen tot een relatief eenvoudige procedure, waarbij bovendien de frequentie van de plicht tot informatieverstrekking voor belastingplichtigen zoveel mogelijk is beperkt. Deze procedure geldt vooralsnog tot eind 1997.

Voor Nederlandse belastingplichtigen is het formulier ‘IB 93 USA’ ontwikkeld (zie bijlage 1) dat dient te worden beschouwd als hulpmiddel om verdragsgerechtigdheid in de VS van Amerika te kunnen onderbouwen. Bij het invullen van dit formulier kan gebruik worden gemaakt van het in bijlage I bij het formulier opgenomen doorloopschema (zie bijlage 2). Het formulier ‘IB 93 USA’ wordt na invulling en ondertekening door belastingplichtige geviseerd door de in zijn geval bevoegde Inspecteur van de Belastingdienst. De door de bevoegde Inspecteur ondertekende zgn. ‘artikel-26-verklaring’ kan door de belastingplichtige worden gebruikt om in de VS van Amerika (bij de inhoudingsplichtige en de belastingdienst) aannemelijk te maken dat hij gerechtigd is tot de voordelen van het Verdrag.

Het exemplaar van de artikel-26-verklaring voor de Amerikaanse belastingautoriteiten dient vergezeld te worden door een door belastingplichtige ingevulde list van geschatte jaarlijkse ontvangsten aan dividend-, interest- en royalty-inkomen uit al zijn Amerikaanse bronnen gezamenlijk (deze lijst is gevoegd achter het eerste exemplaar van het formulier ‘IB 93 USA’). Deze lijst wordt niet door de bevoegde Inspecteur geviseerd. Daarnaast dient het exemplaar van de artikel-26-verklaring voor de Amerikaanse bevoegde autoriteiten vergezeld te worden door een door de bevoegde Inspecteur ingevulde lijst van ‘verklaringen en bij de visering van het formulier ‘IB 93 USA’ gebruikte bewijsmiddelen‘ (zie bijlage 3). In die gevallen waar geen visering van de gebruikte bewijsmiddelen is vereist, dient de Inspecteur door middel van een vink aan te geven dat er geen reden is om te veronderstellen dat er een relevante wijziging in feiten en omstandigheden heeft plaatsgevonden sedert het moment waarop visering wel heeft plaatsgevonden en dient hij voorts door middel van een vink aan te geven welke bewijsmiddelen hij destijds wel heeft geviseerd. Een kopie van de door de bevoegde Inspecteur ingevulde lijst van ‘verklaringen en bij de visering van het formulier “IB 93 USA” gebruikt bewijsmiddelen’ dient te worden gedeponeerd in het op de eenheid aanwezige dossier van belastingplichtige. Deze informatie kan immers van belang zijn bij een eventueel later verzoek om inlichtingen van de Amerikaanse bevoegde autoriteiten. Elke afgegeven artikel-26-verklaring zal door de bevoegde Inspecteur worden voorzien van een dergelijke lijst van ‘verklaringen en bij de visering van het formulier “IB 93 USA” gebruikte bewijsmiddelen’. Voor alle duidelijkheid zij nog opgemerkt dat niet alle op de lijst vermelde mogelijke bewijsstukken behoeven te worden overgelegd. Uiteraard moet wel sprake zijn van voldoende materiaal om de aanspraak op verdragsgerechtigdheid te kunnen onderbouwen; hoe beter het bewijs, hoe kleiner de kans dat de Amerikaanse bevoegde autoriteiten de toekenning van verdragsvoordelen opnieuw ter discussie zullen stellen.

Het is niet zo dat de Amerikaanse fiscus zonder meer gehouden is aan een door de Nederlandse Inspecteur afgegeven artikel-26-verklaring. Zoals gebruikelijk, is het de VS van Amerika, zijnde de staat waarvan een fiscale tegemoetkoming wordt gevraagd, die uiteindelijk bepaalt of de verdragsvoordelen inderdaad worden toegekend. In dit opzicht biedt de artikel-26-verklaring dus geen garantie voor verdragsgerechtigdheid. Wel mag de inhoudingsplichtige, tenzij hij beter weet of behoort te weten, afgaan op een artikel-26-verklaring, hetgeen betekent dat die inhoudingsplichtige is gevrijwaard van navorderingen en sancties ingeval de Amerikaanse fiscus bij toetsing achteraf tot de conclusie komt dat er geen sprake was van verdragsgerechtigdheid. Voorts is de verklaring uiteraard ook bedoeld als hulpmiddel voor de Amerikaanse fiscus zelf om tot een (positief) oordeel te kunnen komen in gevallen waarin men het verlenen van verdragsvoordelen (achteraf) wil toetsen. De verwachting is echter dat verschillen van inzicht slechts in incidentele gevallen zullen ontstaan.

Door een ieder, anderen dan in Nederland woonachtige natuurlijke personen en de Nederlandse Staat, of een staatkundig onderdeel of een plaatselijk publiekrechtelijk lichaam daarvan, die een verzoek doet om toekenning van de verdragsvoordelen en voor iedere inhoudingsplichtige dient, indien men van dit hulpmiddel gebruik wil maken, een afzonderlijk formulier ‘IB 93 USA’ te worden ingevuld.

2. Geldigheidsduur van de verklaring en periodieke toetsing

De verklaring is geldig voor het gehele kalenderjaar waarvoor deze is afgegeven, tenzij zich in de loop van dat kalenderjaar voor het afgeven van deze verklaring relevante wijzigingen in feiten en omstandigheden voordoen.

Indien zich geen relevante wijzigingen in feiten en omstandigheden voordoen, zal belastingplichtige niet elk jaar opnieuw, door middel van het overleggen van bewijsstukken jegens de bevoegde Inspecteur aannemelijk hoeven te maken dat hij tot de voordelen gerechtigd is; er vindt slechts een periodieke toetsing plaats. Indien zich geen relevante wijzigingen in feiten en omstandigheden hebben voorgedaan, zal de bevoegde Inspecteur de verklaring jaarlijks verlengen. Ten behoeve van de periodieke toetsing dient een verzoek tot afgifte van de artikel-26-verklaring alleen in de volgende gevallen vergezeld te gaan van de onderliggende bewijsstukken:

  • indien voor de eerste maal een beroep wordt gedaan op een van de toetsen van artikel 26 of op de afgifte van een artikel-26-verklaring op basis van een door de Amerikaanse bevoegde autoriteiten gehonoreerd beroep op de in artikel 26, lid 7, neergelegde vangnetbepaling, en, voorzover van toepassing, indien voor de eerste maal ter zake van uit de VS van Amerika ontvangen rente- of royalty-inkomsten op basis van artikel 12, lid 8, respectievelijk artikel 13, lid 6, wordt verzocht om een vrijstelling van bronbelasting in de VS van Amerika en in elk derde daarop volgende jaar waarvoor om de afgifte van een artikel-26-verklaring wordt verzocht; dan wel

  • in elk jaar waarin zich een relevante wijziging in de feiten en omstandigheden heeft voorgedaan en in elk derde daarop volgende jaar waarvoor om de afgifte van een artikel-26-verklaring wordt verzocht.

Ook voor die jaren waarvoor de bewijsstukken niet behoeven te worden overgelegd aan de bevoegde Inspecteur dient de verzoeker deze bewijsstukken op een zodanige wijze in zijn administratie beschikbaar te houden dat hij de desbetreffende stukken op verzoek alsnog binnen 1 maand aan de Inspecteur kan overleggen.

De onderliggende bewijsstukken kunnen, indien de Amerikaanse bevoegde autoriteiten daarom verzoeken, op de voor het uitwisselen van inlichtingen gebruikelijke wijze (door tussenkomst van de Belastingdienst/FIOD, Inlichtingendienst/Wederzijdse Bijstand, Postbus 1603, 2003 BR Haarlem) en onder de gebruikelijke voorwaarden worden toegezonden aan de Amerikaanse bevoegde autoriteiten.

3. Afhandeling van het formulier ‘IB 93 USA’ en Centraal meldpunt

In de navolgende onderdelen van deze aanschrijving wordt een toelichting gegeven op de afhandeling van het formulier ‘IB 93 USA’ door de Belastingdienst. Opgemerkt zij dat het formulier en het bijbehorende doorloopschema (bijlage I bij het formulier ‘IB 93 USA’; bij deze resolutie gevoegd als bijlage 2) zijn gebaseerd op een gestileerde weergave van de inhoud van artikel 26 van het Verdrag en op de tekst van artikel 12, lid 8, en artikel 13, lid 6, van het Verdrag. Ten behoeve van de eenvoud is afgezien van een uitputtende behandeling van de tekst van artikel 26 en de tekst van de artikelen 12 en 13. De toelichting is bedoeld nadere duidelijkheid te bieden voor de meer gecompliceerde situaties waarover de tekst van het Verdrag, het memorandum van overeenstemming, de briefwisselingen van 18 december 1992 en 13 oktober 1993, het formulier en het daarin opgenomen doorloopschema geen c.q. onvoldoende duidelijkheid verschaffen.

De toelichting sluit nauw aan bij het formulier ‘IB 93 USA’ en het bijbehorende doorloopschema en dient in samenhang daarmee te worden gelezen. De in de toelichting gebruikte nummers verwijzen naar de onderdelen en vragen opgenomen in het bijbehorende doorloopschema.

Mochten er vraagpunten blijven bestaan, waarover noch deze toelichting, noch de tekst van het Verdrag, de tekst van het memorandum van overeenstemming of de briefwisselingen van 18 december 1992 en 13 oktober 1993 uitsluitsel geeft, dan kan de Inspecteur zich wenden tot:

Daarnaast is de Directie Internationale Fiscale Zaken ook als centraal meldpunt aangewezen voor eventuele vragen van Inspecteurs op ander onderdelen van het Verdrag, waarover noch de tekst van het Verdrag, de tekst van de memorandum van overeenstemming of de briefwisselingen van 18 december 1992 en 13 oktober 1993, noch de nota van toelichting, noch de nadere uitleg gegeven tijdens de behandeling van het Verdrag in de Staten-Generaal uitsluitsel geeft.

Na visering van de overlegde bewijsstukken stuurt de bevoegde Inspecteur het eerste exemplaar van de door hem ondertekende artikel-26-verklaring, tezamen met de door belastingplichtige ingevulde lijst van geschatte jaarlijkse ontvangsten aan dividend-, interest- en royalty-inkomen uit al zijn Amerikaanse bronnen gezamenlijk (deze lijst is gevoegd achter het eerste exemplaar van het formulier ‘IB 93 USA’) en door de bevoegde inspecteur ingevulde lijst van ‘verklaringen en bij de visering van het formulier “IB 93 USA” gebruikte bewijsmiddelen’ (zie bijlage 3), naar de Belastingdienst/FIOD, Inlichtingsdienst/Wederzijdse Bijstand, Postbus 1603, 2003 BR Haarlem, die deze documenten zal doorgeleiden naar de Amerikaanse belastingautoriteiten. De bevoegde Inspecteur retourneert het tweede en het vierde exemplaar van de door hem ondertekende artikel-26-verklaring aan belastingplichtige. Belastingplichtige gebruikt het tweede exemplaar om zijn verdragsgerechtigdheid jegens inhoudingsplichtige aannemelijk te maken. De bevoegde Inspecteur deponeert het derde exemplaar in het op de eenheid aanwezige dossier van belastingplichtige.

4. Termijn afhandeling verzoeken

De afhandeling van het ‘IB 93 USA’ formulier door de Belastingdienst dient te worden gerealiseerd binnen een termijn van uiterlijk 8 weken na de datum van ontvangst bij de Belastingdienst van het desbetreffende door de belastingplichtige ingevulde en ondertekende formulier plus vereiste bijlagen. Als de vereiste bijlage(n) ontbreken, wordt belastingplichtige per ommegaande bericht. Indien de afhandeling van het ‘IB 93 USA’ formulier niet binnen de daartoe gestelde termijn kan plaatsvinden dient de bevoegde Inspecteur de belastingplichtige hiervan tijdig onder vermelding van de reden voor de optredende vertraging bij de behandeling schriftelijk op de hoogte te stellen.

In die gevallen waarbij van tevoren vaststaat op welke datum belastingplichtige de uit de VS van Amerika afkomstige inkomensbestanddelen ontvangt en waarbij derhalve van tevoren vaststaat op welke datum het formulier ‘IB 93 USA’, indien belastingplichtige daarvan gebruik wil maken, uiterlijk aan de inhoudingsplichtige ter beschikking gesteld moet zijn, doet belastingplichtige er uiteraard verstandig aan om zijn verzoek om afgifte van een artikel-26-verklaring tijdig in te dienen.

5. Halfjaarlijkse rapportage aan de Staten-Generaal

In verband met de aan de Staten-Generaal toegezegde halfjaarlijkse rapportage over de toepassing van het Verdrag worden de desbetreffende eenheden van de belastingdienst verzocht de Directie Grote Ondernemingen te Diemen twee keer per jaar, te weten in mei en oktober, te informeren over in de uitvoeringspraktijk naar voren gekomen aandachtspunten en/of knelpunten inzake de toepassing van het Verdrag, alsmede over eventuele onduidelijkheden die in de praktijk bij het gebruik van het formulier IB 93 USA, het bijbehorende doorloopschema en deze aanschrijving blijken. Naast deze kwalitatieve rapportage worden de desbetreffende eenheden van de belastingdienst tevens verzocht om in mei en oktober van elk jaar aan de Directie Grote Ondernemingen te Diemen een lijst over te leggen waarop is aangegeven het totale aantal tijdens de afgelopen zes maanden bij de desbetreffende eenheden ingediende verzoeken tot afgifte van een artikel-26-verklaring, hoeveel daarvan binnen 1 maand, respectievelijk 2 maanden, konden worden afgedaan, hoeveel van het totale aantal in deze periode ontvangen verzoeken zijn toegewezen en, zo ja, op grond van welke toets, hoeveel van deze verzoeken zijn afgewezen en, zo ja, voor welke toets deze afwijzing heeft plaatsgevonden, hoeveel van deze verzoeken nog niet zijn afgedaan en tenslotte hoeveel van elk van deze drie categorieën zijn voorgelegd aan de Directie Internationale Fiscale Zaken van het Ministerie.

De Directie Grote Ondernemingen te Diemen zal deze gegevens uiterlijk eind mei en eind oktober doorsturen naar de Directie Internationale Fiscale Zaken.

Ten behoeve van deze kwalitatieve en kwantitatieve rapportage is een standaard rapportageformulier opgesteld (zie bijlage 4).

6. Gehanteerde uitdrukkingen

In het navolgende worden enkele in het Verdrag gehanteerde, en bij het invullen van het formulier en bij het gebruik van het in bijlage 2 opgenomen doorloopschema van belang zijnde, uitdrukkingen nader omschreven.

Bruto inkomen

De uitdrukking bruto inkomen betekent omzet minus de directe kosten van het verkochte produkt, zoals directe kosten inkoop en directe loonkosten.

Aftrekbare betalingen

De uitdrukking aftrekbare betalingen omvat alle betalingen die bij de vaststelling van het onzuiver inkomen als kosten in aanmerking genomen mogen worden, met uitzondering van de directe kosten van het verkochte produkt (welke uitdrukking omvat directe kosten van inkoop en directe loonkosten) en met uitzondering van overige betalingen voor de aankoop, het gebruik of het recht tot gebruik van lichamelijke zaken die voortvloeien uit de normale bedrijfsuitoefeningen en beloningen voor diensten in de vestigingsstaat van het lichaam, mits ‘at arm’s length’ (zie artikel 26, lid 5, onder c). In de praktijk zal de uitdrukking aftrekbare betalingen met name interest- en royaltybetalingen omvatten.

Certificaten van aandelen

Certificaten van aandelen kunnen worden beschouwd dezelfde rechten te bezitten als de aandelen waarvoor zij in de plaats treden, inclusief de stemrechten van die aandelen (zie art. 26, lid 8, onder b en punt I van de op 13 oktober 1993 door de Regeringen van de verdragsluitende Staten ondertekende briefwisseling (hierna: briefwisseling)).

Gekwalificeerde persoon

De uitdrukking ‘gekwalificeerde persoon’ ziet op in Nederland dan wel de VS van Amerika woonachtige natuurlijke persoenen, de Nederlandse en Amerikaanse overheid, andere in Nederland of in de VS van Amerika woonachtige personen die op grond van de in de onderdelen I, II, III, IV of VI beschreven toetsen aanspraak kunnen maken op de voordelen van het Verdrag, alsmede op staatsburgers van de VS van Amerika (zie art. 26, lid 8, onder g).

Lidstaat van de Europese Gemeenschap

Onder het begrip ‘lidstaat van de Europese Gemeenschap’ wordt zowel Nederland, als iedere ander lidstaat van de Europese Unie verstaan waarmee Nederland en de VS van Amerika een algemeen belastingverdrag zijn overeengekomen. In de praktijk betekent dit, dat dit begrip alle lidstaten van de Europese Unie omvat met uitzondering van Portugal (zie art. 26, lid 8, onder h).

Inwoner van een lidstaat van de Europese Gemeenschap

Als ‘inwoner van een lidstaat van de Europese Gemeenschap’ wordt globaal gesproken aangemerkt de persoon, die in een lidstaat van de Europese Unie woont of is gevestigd én die

  • als gekwalificeerd persoon in de zin van het Nederlands-Amerikaanse Verdrag voor verdragstoepassing in aanmerking zou komen als hij, ware die lidstaat Nederland geweest, op grond van de beginselen van artikel 4 geacht zou worden inwoner van Nederland te zijn, én

  • die anderszins gerechtigd is (met name m.b.t. inwonerschap en ‘beneficial ownership’) tot de voordelen van het verdrag tussen de staat waarvan hij in werkelijkheid inwoner is en de VS van Amerika. Aan de in dat verdrag opgenomen bepaling inzake de beperking van de voordelen hoeft die persoon niet te voldoen, tenzij die bepaling elementen bevat die niet in artikel 26 zijn opgenomen (zie art. 26, lid 8, onder i en punt VII van de briefwisseling).

Toelichting op formulier ‘IB 93 USA’

  • 1. Belastingplichtige dient bij vraag 1 naam, adres, telefoonnummer en Landelijk Vast Nummer op te geven. De artikel-26-verklaring kan slechts worden afgegeven aan personen die inwoner van Nederland zijn in de zin van artikel 4 van het Verdrag. Dit dient te worden gecontroleerd alvorens het verzoek om een verklaring verder wordt behandeld.

    Volledigheidshalve zij opgemerkt dat een belastingplichtige niet verplicht is om bij een verzoek om toekenning van de verdragsvoordelen gebruik te maken van het formulier ‘IB 93 USA’.

  • 2. Indien reeds eerder een artikel-26-verklaring ten behoeve van een belastingplichtige is afgegeven, dan behoeft die belastingplichtige niet bij elk volgend verzoek tot afgifte van een artikel-26-verklaring opnieuw, door middel van het overleggen van de onderliggende bewijsstukken, jegens de bevoegde Inspecteur aannemelijk te maken dat wordt voldaan aan de voorwaarden van artikel 26, en, in voorkomende gevallen, aan de voorwaarden van artikel 12, lid 8, respectievelijk artikel 13, lid 6, van het Verdrag (zie inleiding, punt 2.2 (geldigheidsduur van de verklaring en periodieke toetsing)).

    Het geval kan zich voordoen, dat een belastingplichtige niet voldoet aan de voorwaarden van artikel 26 en zich met een beroep op artikel 26, lid 7 – de vangnetbepaling – tot de Amerikaanse belastingautoriteiten heeft gewend met een verzoek de voordelen van het Verdrag alsnog toe te kennen (zie onderdeel X). Indien de Amerikaanse belastingautoriteiten zo’n verzoek om toepassing van de vangnetbepaling hebben ingewilligd, dan zal, overeenkomstig de mogelijkheid tot verlenging van een door de bevoegde Inspecteur reeds eerder afgegeven artikel-26-verklaring op basis van een van de in artikel 26 neergelegde toetsen (zie inleiding, punt 2.2 (geldigheidsduur van de verklaring en periodieke toetsing)) een daaropvolgend verzoek om afgifte van een artikel-26-verklaring door de Inspecteur worden gehonoreerd, mits zich sinds de beslissing van de Amerikaanse bevoegde autoriteiten geen relevant wijziging in feiten en omstandigheden hebben voorgedaan en mits de schriftelijke bevestiging van die beslissing wordt overgelegd. In dit geval moet worden getoetst of zich sedert de positieve beslissing van de Amerikaanse bevoegde autoriteiten geen relevante wijzigingen in feiten en omstandigheden hebben voorgedaan. Deze artikel-26-verklaring kan door belastingplichtige in de VS van Amerika (jegens de inhoudingsplichtige en de belastingdienst) worden gebruikt om aannemelijk te maken dat hij gerechtigd is tot de voordelen van het Verdrag.

  • 3/4. Hetgeen belastingplichtige heeft verklaard bij vraag 3 en 4 van het formulier moet (periodiek) worden getoetst. Deze controle zal moeten plaatsvinden aan de hand van de door belastingplichtige verstrekte stukken. Zie de inleiding (punt 2.2) voor de frequentie waarin de verzoeken tot afgifte van een artikel-26-verklaring vergezeld dienen te gaan van de onderliggende bewijsstukken. Bij de meeste onderdelen is aangegeven aan de hand van welke stukken belastingplichtige aannemelijk kan maken, dat aan de gestelde voorwaarden wordt voldaan. In plaats daarvan zijn andere stukken evenwel toegestaan.

    Ofschoon volgens de tekst van artikel 26 in voorkomende gevallen moet worden uitgegaan van gegevens in het lopende belastingjaar, kan, bij invulling van het formulier, worden uitgegaan van gegevens van het voorafgaande belastingjaar. Dit tenzij verzoeker weet, dan wel redelijkerwijs kan verwachten, dat zich in het lopende belastingjaar wijzigingen hebben voorgedaan, danwel zullen voordoen, welke van invloed zouden kunnen zijn op de op basis van dit formulier door de bevoegde Inspecteur af te geven verklaring.

  • 5. Ingeval ook vraag 5 is ingevuld zal tevens (periodiek) moeten worden getoetst of de door belastingplichtige uit de VS van Amerika ontvangen rente- of royalty-inkomsten inderdaad niet zijn toe te rekenen aan een vaste inrichting van verzoeker en een derde staat. Indien deze inkomensbestanddelen wel aan zulk een vaste inrichting zijn toe te rekenen dient (periodiek) te worden getoetst of wordt voldaan aan de voorwaarden van artikel 12, lid 8, respectievelijk artikel 13, lid 6. Ook deze controle zal moeten plaatsvinden aan de hand van door belastingplichtige te verstrekken stukken (zie inleiding, punt 2.2 (geldigheidsduur van de verklaring en periodieke toetsing)).

Toelichting op de afzonderlijke onderdelen van het in bijlage 2 opgenomen doorloopschema

De in hoofdstuk 4.1 tot en met 4.11 gehanteerde nummeringen volgt die van de afzonderlijke onderdelen van het doorloopschema.

Onderdeel I. De directe beurstoets; artikel 26, eerste lid, onder c, i

  • 1. De voornaamste aandelensoort moet zijn genoteerd op een erkende effectenbeurs in Nederland of de VS van Amerika.

    In het algemeen zullen de gewone aandelen van een lichaam kunnen worden aangemerkt als de voornaamste aandelensoort, aangezien deze aandelen doorgaans de vereiste meerderheid van het totale aantal stemmen in en van de waarde van het lichaam zullen vertegenwoordigen. Mocht geen van de aandelensoorten als zodanig kunnen worden aangemerkt, dan worden de aandelensoorten in aanmerking genomen, die tezamen meer dan 50 procent van het stemrecht in en van de waarde van het lichaam vertegenwoordigen.

    Ingeval er naast deze voornaamste aandelensoort sprake is van een aandelensoort die recht geeft op een ten opzichte van de gewone aandelen onevenredig hoger aandeel, door middel van dividend, afkoopsommen of op andere wijze, in het inkomen dat het dividenduitdelende lichaam met behulp van bepaalde activa of activiteiten in zijn staat van vestiging realiseert (een zgn. disproportionate class of shares), dan bestaan er twee voornaamste aandelensoorten. In zo’n geval dienen beide voornaamste aandelensoorten afzonderlijk te voldoen aan het noteringsvereiste. Aandelen in portefeuille worden voor de bepaling van het stemrechtcriterium niet meegeteld.

    Het verdrag biedt de bevoegde autoriteiten van beide staten de mogelijkheid om in onderling overleg vast te stellen welke gewicht aan de geplaatste aandelen moet worden toegekend, ingeval een lichaam aandelen met een beperkt stemrecht heeft geëmitteerd (artikel 26, achtste lid, onder a). Indien deze situatie zich voordoet, dient het geval ter beroordeling aan de Directie internationale Fiscale Zaken van het Ministerie te worden voorgelegd.

  • 2. De voornaamste aandelensoort moet in voldoende mate en regelmatig worden verhandeld op een of meer erkende effectenbeurzen.

    Maandelijks dient ten minste een meer dan minimale handel in de voornaamste aandelensoort plaats te vinden en jaarlijks moet in totaal ten minste 6% van de in dat jaar gemiddeld geplaatste aandelen van die soort worden verhandeld op een of meer van de erkende effectenbeurzen (artikel 26, achtste lid, onder d en f). Indien de voornaamste aandelensoort uit meer dan een aandelensoort bestaat, kan in beginsel voor het geheel worden bezien of wordt voldaan aan dit vereiste. Indien er twee voornaamste aandelensoorten zijn (ingeval er ook sprake is van een disproportionate class of shares), dan geldt dat voor beide voornaamste aandelensoorten afzonderlijk aan dit vereiste moet worden voldaan.

    Indien uit bewijsstukken blijkt dat de wijze waarop een aandeel wordt verhandeld slechts plaatsvindt om aan het omzetvereiste te voldoen, dan dient het lichaam zo nodig deze bewijzen te weerleggen (artikel XXIV Memorie van Overeenstemming; hierna: MvO). Is het lichaam daartoe niet in staat, dan worden de desbetreffende transacties niet meegeteld bij de bepaling van de omvang van de handel.

    Voor de toepassing van de beursttoets worden als erkende effectenbeurzen aangemerkt de door de Securities and Exchange Commission (SEC) erkende Amerikaanse beurzen, de Amsterdamse Effectenbeurs, de Amerikaanse NASDAQ en de parallelmarkt van de Amsterdamse Effectenbeurs, alsmede de beurzen van Frankfurt, Londen, Parijs, Brussel, Hamburg, Madrid, Milaan, Sydney, Tokyo en Toronto (artikel XXII MvO en punt VI van de briefwisseling).

    Bij ‘lichamen met een kleine kring van aandeelhouders’ worden de NASDAQ en de parallelmarkt echter niet als erkende effectenbeurzen aangemerkt. De handel in aandelen van dergelijke lichamen die op deze beurzen plaatsvindt, wordt niet meegeteld bij toepassing van de directe beurstoets van onderdeel I. Van een ‘lichaam met een kleine kring van aandeelhouders’ is sprake, indien ten minste 50% van de voornaamste aandelensoort wordt gehouden door andere dan gekwalificeerde personen of inwoners van lidstaten van de Europese Unie dien, alleen of tezamen met gelieerde lichamen, ieder meer dan 5% van die aandelen gedurende ten minste 30 dagen in het belastingjaar bezitten (artikel 26, achtste lid, onder d en e).

Onderdeel II. De indirecte beurstoets; artikel 26, eerste lid, onder c, ii of iii

  • 1. Lichamen die direct of indirect worden beheerst door beursgenoteerde lichamen voldoen aan de indirecte beurstoets, indien meer dan 50% van het totale aantal stammen en van de waarde van alle aandelen onmiddellijk of middellijk wordt gehouden door ten hoogste vijf lichamen die in een van beide staten zijn gevestigd en voldoen aan de voorwaarden van de directe beurstoets van onderdeel I (artikel 26, eerste lid, onderdeel c, ii) of

  • 2. Wordt niet aan het 50%-criterium van vraag 1 voldaan, dan voldoet het lichaam toch aan de indirecte beurstoets, indien ten minste 30% van het totale aantal stemmen en van de waarde van de aandelen onmiddellijk of middellijk wordt gehouden door ten hoogste vijf in Nederland gevestigde lichamen die voldoen aan de voorwaarden van de directe beurstoets van onderdeel I (artikel 26, eerste lid, onder c, iii, A) en

  • 3. Ten minste 70% onmiddellijk of middellijk wordt gehouden door ten hoogste vijf lichamen die zijn gevestigd in de VS van Amerika of een van de lidstaten van de Europese Unie (waaronder Nederland) en waarvan de voornaamste aandelensoorten in voldoende mate en regelmatig worden verhandeld op een of meer erkende effectenbeurzen (artikel 26, eerste lid, onder c, iii, B).

  • 4. Waar een belang in een lichaam niet rechtstreeks wordt gehouden, moeten bij toepassing van de indirecte beurstoets alle lichamen, die zijn geschakeld tussen de ter beurze genoteerde moeder en de kleindochter die om een artikel-26-verklaring verzoekt, zijn gevestigd in de VS van Amerika, Nederland, of een andere lidstaat van de Europese Unie (artikel 26, achtste lid, onder k). Een kleindochter zal voor het verkrijgen van verdragsvoordelen geen beroep op de indirecte beurstoets kunnen doen, indien de aandelen worden gehouden via tussenschakeling van een lichaam gevestigd in een ander dan de genoemde landen.

    Een uitzondering op het voorgaande is mogelijk bij verwerving van een groep van dochter- en kleindochterondernemingen, waarbij het belang in een daarbij verkregen Nederlandse kleindochter tijdelijk wordt gehouden van een niet-kwalificerend lichaam in een derde staat. Indien uit een reorganisatieplan blijkt dat de verworven kleindochter binnen een redelijke overgangstermijn aanspraak kan maken op verdragstoepassing op grond van de indirecte beurstoets zal voor de tussenliggende periode een beroep op verdragstoepassing voor de verkregen kleindochter kunnen worden gehonoreerd op grond van de vangnetbepaling (artikel XXV van de MvO). Voor de vangnetbepaling zij verwezen naar onderdeel X.

  • 5. Aan de indirecte beurstoets wordt niet voldaan, indien er sprake is van een zogenoemd doorstroomlichaam, waarvan tevens de Nederlandse heffingsgrondslag in te sterke mate wordt uitgehold. Een doorstroomlichaam wordt omschreven als een onderneming die aftrekbare betalingen verricht tot een bedrag van nagenoeg alle – 90% of meer van de – ontvangen interest, royalty’s en soortgelijke opbrengsten (artikel 26, achtste lid, onder m). Dit 90%-criterium is dus niet beperkt tot de ontvangsten vanuit de VS van Amerika. Indien is komen vast te staan dat sprake is van een doorstroomlichaam, dan voldoet zo’n lichaam pas dan niet aan de indirecte beurstoets als bovendien aan de hand van de indirecte beurstoets voor doorstroomlichamen (onderdeel III) is komen vast te staan, dat het lichaam zijn heffingsgrondslag in te sterke mate afroomt.

    Lichamen die als bank of verzekeringsmaatschappij actief zijn, zijn van het begrip doorstroomlichamen uitgesloten, indien het lichaam wordt bestuurd door gelieerde, gekwalificeerde personen. Een lichaam is als bank actie, indien regelmatig stortingen worden ontvangen van of leningen worden verstrekt aan het publiek (d.w.z. aan andere dan gelieerde vennootschappen). Een lichaam is als verzekeringsmaatschappij actief, indien het bruto-inkomen voornamelijk bestaat uit verzekerings- en herverzekeringspremies en uit beleggingsinkomsten die aan die premies zijn toe te rekenen (artikel XIII MvO).

Onderdeel III. De indirecte beurstoets voor doorstroomlichamen; artikel 26, eerste lid, onder c, iv

  • 2. Verwezen wordt naar de toelichting op vraag 2 van onderdeel IV.

  • 3. Verwezen wordt naar de toelichting op vraag 3 van onderdeel IV.

  • 4. Verwezen wordt naar de toelichting op vraag 4 van onderdeel IV.

Met betrekking tot de vragen 1, 2, 3 en 4 zij het volgende opgemerkt.

Anders dan bij de aandeelhouderstoets van onderdeel IV is er bij doorstroomlichamen slechts sprake van een uitholling van de heffingsgrondslag, indien

  • de aftrekbare betalingen worden gedaan aan gelieerde ondernemingen, waarbij

  • deze aftrekbare betalingen bij deze gelieerde ondernemingen zijn onderworpen aan een belastingheffing van minder dan 50% van het algemeen geldende Nederlandse tarief voor de vennootschapsbelasting (artikel 26, vijfde lid, onder d); dus minder dan 17%.

Er is in dit verband niet slechts van gelieerdheid sprake bij een deelneming in het bestuur, beheer of vermogen van de onderneming. Uitdrukkelijk is aangegeven, dat het begrip gelieerdheid in dit verband tevens van toepassing is in de situatie waarin er een schuldverhouding bestaat, waarbij de schuldvordering de houder daarvan het recht geeft deel te nemen in het bestuur, beheer of vermogen van de onderneming die de schuldvordering heeft uitgegeven, of indien de houder in de praktijk deelneemt in dat bestuur, beheer of vermogen (artikel XIV MvO).

Voor alle duidelijkheid zij er op gewezen dat, voor de toepassing van de indirecte beurstoets voor doorstroomlichamen, betalingen aan niet-gelieerde ondernemingen, alsmede betalingen aan gelieerde ondernemingen die zijn onderworpen aan een belastingheffing van ten minste 50% van het algemeen geldende Nederlandse tarief voor de vennootschapsbelasting, de grondslag niet uithollen (artikel 26, vijfde lid, onder d). Bij een beoordeling of de heffingsgrondslag wordt uitgehold, worden dergelijke betalingen derhalve niet als aftrekbare betalingen meegenomen.

Onderdeel IV. De aandeelhouderstoets; artikel 26, eerste lid, onder d

  • 1. Het belang in de persoon die een beroep op de verdragsvoordelen doet dient onmiddellijk of middelijk voor meer dan 50% te worden gehouden door gekwalificeerde personen. Betreft dit een lichaam met een in aandelen verdeeld kapitaal dan moet het belang van gekwalificeerde personen daarin meer dan 50% van het totale aantal stemmen en van de waarde van alle aandelen omvatten (artikel 26, eerste lid, onder d, i).

    Ingeval ook sprake is van een disproportionate class of shares (zie onderdeel I, punt 1), dan dienen de gekwalificeerde personen ook voor die aandelensoort afzonderlijk aan het bezitsvereiste van meer dan 50% te voldoen.

    Aan beleggingsinstellingen in de zin van artikel 28 van de Wet op de vennootschapsbelasting 1969 wordt de mogelijkheid geboden om de omvang van het door inwoners van Nederland gehouden belang in de beleggingsinstelling aan te tonen aan de hand van de gegevens die op grond van het eerste lid, onderdeel b, van dat artikel beschikbaar zijn voor de teruggaaf van buitenlandse bronbelasting op dividend en interest (artikel XI MvO).

  • 2. Belastingplichtige voldoet aan deze toets indien hij onmiddellijk of middellijk aftrekbare betalingen verricht aan anderen dan gekwalificeerde personen tot een bedrag van minder dan 50% van het bruto-inkomen (artikel 26, vijfde lid, onder a, i).

  • 3. Wordt 50% of meer van het bruto-inkomen gebruikt voor het doen van aftrekbare betalingen, dan is toch aan deze toets voldaan, indien onmiddellijk of middellijk tot een bedrag van minder dan 70% van het bruto-inkomen aftrekbare betalingen worden verricht aan anderen dan gekwalificeerde personen (artikel 26, vijfde lid, onder a, ii, A) én

  • 4. Tot een bedrag van minder dan 30% van het bruto-inkomen, onmiddellijk of middellijk, aftrekbare betalingen worden verricht aan anderen dan gekwalificeerde personen of inwoners van lidstaten van de Europese Unie (artikel 26, vijfde lid, onder a, ii, B).

Voor de bepaling van het bruto-inkomen wordt in beginsel uitgegaan van het bruto-inkomen van het belastingjaar voorafgaande aan het belastingjaar waarin wordt verzocht om een artikel-26-verklaring. Om te voorkomen dat een onderneming als gevolg van schommelingen in het inkomen door incidentele verliezen in een bepaald belastingjaar niet aan deze voorwaarden voldoet, mag bij deze toets ook worden uitgegaan van het gemiddelde bruto-inkomen van de vier voorafgaande belastingjaren (artikel 26, vijfde lid onder b).

Onderdeel V. De EU-aandeelhouderstoets; artikel 26, vierde lid

  • 1. Aan deze toets die alleen ziet op de verdragsvoordelen van artikel 10, 11, 12 en 13 wordt voldaan, indien meer dan 30% van het totale aantal stemmen en van de waarde van alle aandelen middellijk of onmiddellijk wordt gehouden door gekwalificeerde persoen die inwoner zijn van Nederland (artikel 26, vierde lid, onder a, i) én

  • 2. Meer dan 70% van het totale aantal stemmen en van de waarde van alle aandelen middellijk of onmiddellijk wordt gehouden door gekwalificeerde personen en door personen die inwoner zijn van lidstaten van de Europese Unie (artikel 26, vierde lid, onder a, ii).

    Ingeval ook sprake is van een disproportionate class of shares (zie onderdeel I, punt 1), dan dienen de in punt 1 bedoelde in de Nederland woonachtige gekwalificeerde personen, onderscheidenlijk de in punt 2 bedoelde gekwalificeerde personen en personen die inwoner zijn van lidstaten van de Europese Unie, voor deze aandelensoort afzonderlijk te voldoen aan het bezitsvereiste van meer dan 30%, respectievelijk van meer dan 70%.

    Een inwoner van een andere EU-lidstaat dan Nederland mag slechts als aandeelhouder worden meegeteld, indien de uit de VS van Amerika aan een inwoner van Nederland betaalde inkomsten niet naar een gunstiger tarief worden belast, dan wanneer deze inkomsten zouden zijn betaald aan een inwoner van de desbetreffende lidstaat.

    Om te bepalen of een aandeelhouder uit een andere EU-lidstaat mag worden meegeteld, is het dus van belang te weten welk soort inkomen vanuit de VS van Amerika is ontvangen. Vervolgens moet worden nagegaan of de door de VS van Amerika in de relatie met Nederland over die inkomenssoort toegepaste bronheffing gunstiger is, dan de bronheffing die de VS van Amerika toepast onder het belastingverdrag met de woonstaat van de EU-aandeelhouder. Een vergelijkend overzicht van de bronheffingspercentages op dividenden, inkomsten van vaste inrichtingen, interest en royalty’s is als bijlage 5 bij deze toelichting opgenomen (artikel 26, vierde lid, onder b).

  • 3. Verwezen wordt naar de toelichting op vraag 2 van onderdeel IV.

Onderdeel VI. De toets voor vrijgestelde organisaties; artikel 26, eerste lid, onder e

  • 1. Aan deze toets kunnen niet-winstbeogende instellingen voldoen, die van belastingheffing naar het inkomen zijn vrijgesteld. Het zal doorgaans lichamen betreffen die op de voet van artikel 5 of 6 van de Wet op de vennootschapsbelasting 1969 van belastingheffing zijn vrijgesteld (artikel 26, eerste lid, onder e). Echter, ook instellingen als bedoeld in artikel 36 van het Verdrag, die niet belastingplichtig zijn voor de vennootschapsbelasting omdat zij geen onderneming drijven (vergelijk niet nijvere stichtingen) kunnen hieronder vallen.

  • 2. Meer dan de helft van de gerechtigden, leden of deelnemers, zo die er zijn, moeten gekwalificeerde personen zijn (artikel 26, eerste lid, onder e). Voor de toepassing van artikel 26, eerste lid, onder e, kan een van de hiervoor bedoelde personen worden beschouwd als een gekwalificeerde persoon indien deze persoon in Nederland een adres heeft.

Instellingen die ten doel hebben uitkeringen te doen aan werknemers bij pensionering of invaliditeit of andere met een dienstbetrekking samenhangende uitkering, zijn in ieder geval verdragsgerechtigd indien de organisatie die bijdraagt in de fondsvorming van zo’n pensioenfonds zelf voor verdragsvoordelen in aanmerking komt. (artikel 26, achtste lid, onder j).

In mededeling nr. 23 van 20 december 1993 (IFZ93-1331) is aangegeven welke procedure een in Nederland gevestigde, alhier van belastingheffing vrijgestelde organisatie moet volgen om te worden aangemerkt als een organisatie als bedoeld in artikel 36 van het Verdrag.

Onderdeel VII. De activiteitentoets; artikel 26, tweede lid

  • 1. Voor de vraag of een persoon betrokken is bij de uitoefening van bedrijfsmatige activiteiten wordt uitgegaan van de activiteiten van het bedrijf van de persoon die verdragsvoordelen claimt. Een persoon is betrokken bij de uitoefening van bedrijfsmatige activiteiten, indien die persoon daarbij als dan niet als vennoot direct betrokken is (artikel 26, tweede lid, onder d en e).

    Het is niet vereist dat de persoon die om een artikel-26-verklaring verzoekt, zelf in Nederland betrokken is bij de uitoefening van bedrijfsmatige activiteiten. Er zijn namelijk vijf mogelijkheden om de activiteiten van bedrijven, waarmee de persoon die verdragstoepassing claimt is verbonden, aan die persoon toe te rekenen (artikel 26, tweede lid, onder d en e zie punt 4 hierna).

    Het beleggen en het beheren van beleggingen (waaronder bij voorbeeld concernfinancieringen en portfolio beleggingen) worden niet beschouwd als het uitoefenen van bedrijfsmatige activiteiten tenzij het activiteiten van een bank of verzekeraar betreffen, welke worden uitgeoefend in hun normale bedrijfsuitoefening (artikel 26, tweede lid onder a en punt III van de briefwisseling; zie voor de begrippen bank en verzekeringsmaatschappij onderdeel II, punt 5).

  • 2. De inkomengenererende activiteit in de VS van Amerika moet een onderdeel vormen van of een aanvulling zijn op de bedrijfsmatige activiteiten van de persoon die het inkomen in Nederland ontvangt (artikel 26, tweede lid, onder a, i, en b).

    Deze eis vormt geen belemmering voor een Nederlands lichaam om in de VS van Amerika te diversificeren in andere takken van bedrijvigheid, mits die enigermate verwant zijn aan de activiteiten van het eigen bedrijf.

    Mocht de diversificatie betrekking hebben op een geheel nieuwe, bedrijfsvreemde activiteiten en het daarmee verkregen inkomen niet samenhangen met de activiteiten van de ontvangende persoon in Nederland, dan kan een verzoek om verdragstoepassing worden voorgelegd aan de belastingautoriteiten van de VS van Amerika op grond van de vangnetbepaling (zie onderdeel X hierna).

  • 3. De activiteiten van de ontvanger van het inkomen moeten voorts, indien het inkomen wordt verkregen van een in de VS van Amerika gevestigd lichaam waarin de ontvanger zelf, dan wel een met hem verbonden persoon in de zin van lid 2, onder e, iii tot en met vii, aandelen bezit, of van een vaste inrichting van de ontvanger in de VS van Amerika, wezenlijk van omvang zijn (artikel 26, tweede lid, onder a, i, c en artikel XV MvO). Dit vereiste van een wezenlijke omvang geldt echter niet wanneer het aandelenbezit voor de ontvanger inkomen van bijkomstige aard genereert. Met andere woorden, in de volgende situaties behoeft niet te worden voldaan aan het wezenlijkheidsvereiste en is het derhalve voldoende indien de vragen 1 en 2 van onderdeel VII positief zijn beantwoord:

    • 1. Het inkomen uit de VS van Amerika wordt niet ontvangen van een in de VS van Amerika gevestigd lichaam waarin de ontvanger zelf, dan wel een met hem verbonden persoon in de zin van lid 2, onder e, iii tot en met vii, aandelen bezit;

    • 2. Het inkomen uit de VS van Amerika wordt wel ontvangen van een in de VS van Amerika gevestigd lichaam waarin de ontvanger zelf, dan wel een met hem verbonden persoon in de zin van lid 2, onder e, iii tot en met vii, aandelen bezit, maar het aandelenbezit genereert voor de ontvanger inkomen van bijkomstige aard; of

    • 3. Het inkomen uit de VS van Amerika wordt niet ontvangen van een vaste inrichting van de ontvanger in de VS van Amerika.

    Of sprake is van wezenlijke activiteiten kan in beginsel op subjectieve wijze worden getoetst. Om in deze situaties aan belastingplichtige zekerheid te bieden kunnen ook de hierna onder punt 4 tot en met 8 opgenomen kwantitatieve toetsen worden toegepast.

  • 4. Om te beoordelen of de activiteiten wezenlijk van omvang zijn, worden in de toetsen van punt 4 tot en met 8 de activiteiten van de ontvanger van het inkomen in Nederland afgezet tegen de activiteiten van het inkomensgenererende bedrijf in de VS van Amerika. De activiteiten van de laatste worden meegeteld naar rato van het belang dat in dit bedrijf wordt gehouden.

    Bij toepassing van deze toets worden aan de minimale omvang van de activiteiten van de Nederlandse persoon nadere voorwaarden gesteld, welke zijn uitgedrukt in een drietal verhoudingsgetallen. De waarde van de activa (vraag 4), het bruto-inkomen (vraag 5) en de loonkosten van het bedrijf (vraag 6) in de staat van de ontvanger van het inkomen (Nederland) worden daartoe bezien in verhouding tot deze elementen van het bedrijf in de staat waar het inkomen wordt gegenereerd (de VS van Amerika). De Nederlandse activiteiten, gemeten aan de hand van deze drie criteria, moeten elk ten minst 7,5% bedragen van de activiteit in de VS van Amerika.

    Voor ieder van de drie ratio’s wordt uitgegaan van de gegevens van het voorafgaande belastingjaar, maar indien een ratio niet voldoet aan het 7,5%-criterium, dan mag het gemiddelde van de voorafgaande drie jaar worden genomen.

    Het gemiddelde van de drie ratio’s moet echter meer dan 10% zijn (artikel 26, tweede lid, onder c en artikel XV MvO; vraag 7).

    Zoals reeds bij punt 1 vermeld, bestaat de mogelijkheid om in Nederland verrichte activiteiten van verbonden personen toe te rekenen aan de persoon die verdragsvoordelen claimt (artikel 26, tweede lid, onder e). Het betreft de volgende mogelijkheden:

    • de Nederlandse activiteiten van een lichaam (de moeder) dat de zeggenschap heeft in lichaam dat verdragsvoordelen claimt (de dochter), kunnen worden toegerekend aan de dochter (artikel 26, tweede lid, onder e, iii);

    • de Nederlandse activiteiten van ten hoogste vijf lichamen die deel uitmaken van een groep die de zeggenschap heeft in een persoon die aanspraak maakt op verdragstoepassing, kunnen aan die persoon worden toegerekend (artikel 26, tweede lid, onder e, iv). voor een groep is het zo mogelijk te participeren in een Nederlandse joint venture, die inkomsten uit de VS van Amerika ontvangt waarvoor verdragstoepassing wordt gevraagd.

      De in Nederland verrichte activiteiten van de afzonderlijke lichamen die deel uitmaken van de groep mogen alleen aan de joint venture worden toegerekend, indien deze een onderdeel vormen van of direct verband houden met de door die lichamen in Nederland in het kader van die joint venture verrichte activiteiten. De hier vereiste samenhang is nauwer dan de samenhang waarvan onder punt 2 sprake is;

    • de Nederlandse activiteiten die worden verricht door een lichaam dat onderdeel is van een groep van ondernemingen die een fiscale eenheid vormen of zouden kunnen vormen als de ondernemingen in Nederland zouden zijn gevestigd, kunnen worden toegerekend aan het lichaam dat verdragsvoordelen claimt (artikel 26, tweede lid, onder e, v). In dit geval kunnen de in Nederland verrichte activiteiten van groepsleden worden toegerekend aan het Nederlandse lichaam dat verdragsinkomsten uit de VS van Amerika ontvangt zonder rekening te houden met de plaats van vestiging of de plaats van oprichting van de groepsleden;

    • de Nederlandse activiteiten van een persoon (de dochter), waarin een groep van ten hoogste vijf lichamen (moeders) de zeggenschap heeft, kunnen worden toegerekend aan die vijf moeders (artikel 26, tweede lid, onder e, vi);

    • de Nederlandse activiteiten van een persoon (een zuster) kunnen worden toegerekend aan de persoon die verdragsvoordelen claimt, indien de zeggenschap in beide lichamen wordt gehouden door dezelfde moeder of door een groep van ten hoogste vijf moeders (artikel 26, tweede lid, onder e, vii).

    In de twee laatste situaties is er sprake van een groep van houdstervennootschappen. Deze groep behoeft niet alleen te bestaan uit gekwalificeerde personen maar daarvan kunnen tevens deel uitmaken inwoners van een andere EU-lidstaat of een andere staat waarmee Nederland een regeling heeft die voorziet in de uitwisseling van inlichtingen.

    De lijst van staten waarmee Nederland op dit moment een regeling heeft die voorziet in de uitwisseling van inlichtingen is opgenomen in bijlage 6.

    Wellicht ten overvloede zij opgemerkt, dat de activiteiten kunnen worden toegerekend aan de persoon die verdragvoordelen claimt, naar rato van het belang dat door, dan wel in die persoon wordt gehouden (artikel XII MvO).

    Van zeggenschap is in vorengenoemde situaties sprake, indien de moeder (of de groep van moeders) als uiteindelijke gerechtigde, een middellijk of onmiddellijk belang houdt dat meer dan 50% van het totale aantal stemmen in en van de waarde van de (klein)dochter vertegenwoordigt. Met middellijke belangen wordt rekening gehouden indien in elke schakel het belang in het onderliggende lichaam groter is dan 50%. De door de afzonderlijke leden van de groep gehouden onmiddellijke belangen dienen ten minste 10% van het totale aantal stemmen in en van de waarde van de dochter te vertegenwoordigen (artikel 26, tweede lid, onder f en g).

    Onderdeel XV van het Memorandum van overeenstemming bij het Verdrag bevat een voorbeeld van de wijze waarop de toerekening van activiteiten dient te geschieden.

  • 8. Bij de berekening van de ratio’s onder punt 4 tot en met 7 mogen alleen de in Nederland verrichte activiteiten in aanmerking worden genomen bij de persoon die verdragstoepassing claimt. Het is evenwel mogelijk de activiteiten die in andere lidstaten van de Europese Unie worden verricht mee te tellen, mits die activiteiten een onderdeel vormen van of direct verband houden met het in Nederland uitgeoefende bedrijf (artikel 26, tweede lid, onder h). De vereiste samenhang is nauwer dan de onder punt 2 genoemde samenhang, waar ook sprake kan zijn van aanvullende activiteiten. Zowel de via een vaste inrichting, als de door verbonden personen in andere EU-lidstaten verrichte activiteiten kunnen worden meegeteld. De onder punt 4 beschreven toerekeningsregels (artikel 26, tweede lid, onder e, iii t/m vii) zijn ook hier van toepassing.

    Indien wordt geopteerd voor het meetellen van de EU-activiteiten, moeten de vragen 4 tot en met 7 worden beantwoord, waarbij de omvang van de EU-activiteiten wordt gerelateerd aan de omvang van de activiteit van het inkomengenererende bedrijf in de VS van Amerika (artikel 26, tweede lid, onder h). De vereiste ratio’s van de vragen 4, 5 en 6 dienen in dat geval te worden gesteld op 50% (De EU-activiteit moet per ratio ten minste 50% bedragen van de VS-activiteit). Het gemiddelde van de drie ratio’s, zoals bedoeld in vraag 7, dient in dit geval op 60% te worden gesteld. Daarnaast moeten ook de vragen 4 tot en met 6 worden beantwoord, waarbij de omvang van de Nederlandse activiteiten wordt gerelateerd aan de omvang van de totale EU-activiteiten. De vereiste ratio’s van de vragen 4 tot en met 6 dienen in dat geval te worden gesteld op tenminste 15%.

  • 9. Indien de inkomengenererende activiteit in de VS van Amerika niet samenhangt met de activiteiten van de persoon die het inkomen in Nederland ontvangt of indien laatstbedoelde activiteiten niet wezenlijk zijn (vragen 2 tot en met 8), dan kan wellicht toch aanspraak worden gemaakt op een artikel-26-verklaring, indien dat inkomen van bijkomstige aard is (artikel 26, tweede lid, onder a, ii en d).

    Het inkomen dan vanuit de VS van Amerika wordt verkregen, staat in dat geval los van de activiteiten van het eigen bedrijf en kan bijvoorbeeld voortvloeien uit de tijdelijke belegging van overtollige kasmiddelen.

    Mocht een inwoner van Nederland in andere EU-lidstaten bedrijfsmatig actief zijn en uit de VS van Amerika inkomsten van bijkomstige aard verkrijgen die mede uit deze EU-activiteiten voortvloeien, dan mag het inkomen van bijkomstige aard niet meer dan vier keer zo groot zijn als het inkomen dat geacht zou worden van bijkomstige aard te zijn, indien alleen van de in Nederland verrichte activiteiten zou zijn uitgegaan (artikel 26, tweede lid, onder d). Een voorbeeld waarbij deze limiet een rol kan spelen is de volgende situatie. Om met betrekking tot dividenden afkomstig van zijn Amerikaanse dochtervennootschap een beroep te kunnen doen op de activiteitentoets, neemt een in Nederland gevestigd lichaam ook de activiteiten van zijn in het Verenigd Koninkrijk gevestigde zustervennootschap in aanmerking. Het Nederlandse lichaam heeft 10 mln. aan overtollige kasmiddelen; het in het Verenigd Koninkrijk gevestigde lichaam 20 mln. Het Nederlandse lichaam wil tijdelijk beleggen in Amerikaanse obligaties. Het lichaam kan, wil het ter zake van de met die belegging te realiseren incidentele inkomsten een beroep kunnen doen op de verdragsvoordelen op grond van de activiteitentoets, in theorie tot maximaal vier maal het bedrag van zijn eigen overtollige kasmiddelen, te weten (4 x 10 mln. =) 400 mln., als zodanig beleggen, maar is in de praktijk beperkt tot een belegging van maximaal 30 mln., het gezamenlijke bedrag aan overtollige kasmiddelen.

Onderdeel VIII. De toets voor hoofdkantoren; artikel 26, derde lid

  • 1. De genoemde functies zijn bedoeld als aanduiding van de soorten werkzaamheden die een hoofdkantoor geacht wordt te verrichten. De werkzaamheden waarnaar in deze bepaling wordt verwezen moeten worden verricht in Nederland. De opsomming is niet uitputtend.

    De werkzaamheden mogen mede omvatten, maar niet hoofdzakelijk bestaan uit concernfinanciering (artikel 26, derde lid, onder a). Om dit vast te stellen behoeft niet alleen te worden uitgegaan van een vergelijking van het bedrag van het bruto-inkomen dat het hoofdkantoor voor de verschillende werkzaamheden ontvangt. De beoordeling van dit criterium behoeft niet alleen plaats te vinden aan de hand van de bruto-inkomensstroom, maar kan tevens plaatsvinden aan de hand van andere elementen, zoals het aantal personeelsleden, de loonkosten verbonden aan de diverse door het hoofdkantoor verrichte functies en de totale omvang van de activa (artikel XXVIII MvO).

    Het hoofdkantoor moet in Nederland gevestigd zijn en moet als zodanig een reële betekenis hebben binnen de groep. Dit betekent, dat de werkzaamheden van het hoofdkantoor voor de concernonderdelen wezenlijk dienen te zijn in vergelijking met dezelfde werkzaamheden die door gehele multinationale groep voor die concernonderdelen worden verricht. Onderdeel XVIII van het MvO biedt een voorbeeld ter verduidelijking.

  • 2. Een directe aandeelhoudersrelatie tussen het hoofdkantoor en de groepsleden, waarvoor het hoofdkantoor activiteiten verricht, is niet vereist. Men is vrij in zijn keuze bij de samenstelling van de groep van vijf landen (artikel 26, derde lid onder b).

  • 3. Om aan het 10%-vereiste te voldoen mogen landen worden samengeteld, waarbij de samengetelde landen als één van de vijf landen mogen worden meegeteld. De VS van Amerika hoeven niet één van deze vijf landen te zijn (artikel 26, derde lid, onder b).

  • 6. De toets voor hoofdkantoren is niet bedoeld voor (regionale) hoofdkantoren die geheel afhankelijk zijn van een in een derde land gevestigd hoofdkantoor, dat de algemene leiding van de groep uitoefent (artikel 26, derde lid, onder e; zie tevens het voorbeeld in onderdeel XVIII van het MvO).

  • 7. Voor de vraag of de uit de VS van Amerika verkregen inkomsten samenhangen met de activiteiten van de groep zij verwezen naar onderdeel VII, punt 2 en voor bijkomstige voordelen naar onderdeel VII, punt 9.

Onderdeel IX. De toets voor scheep- en luchtvaartondernemingen; artikel 26, zesde lid

In beginsel geldt voor scheep- en luchtvaartondernemingen die in het internationale verkeer werkzaam zijn dat ook zij aanspraak kunnen maken op verdragstoepassing op grond van een van de hiervoor besproken toetsen van artikel 26. Specifiek voor dit soort ondernemingen bevat deze toets nog een andere, alternatieve mogelijkheid om voor verdragstoepassing in aanmerking te komen, die aansluit bij de door de VS van Amerika onder de nationale wetgeving verleende vrijstelling voor inkomsten uit internationaal verkeer. De door de VS van Amerika nationaal gestelde voorwaarden zijn op onderdelen ruimer en kennen bijvoorbeeld een aandeelhouderstoets waarbij ook aandeelhouders die inwoner zijn van een derde staat in aanmerking kunnen worden genomen, indien die derde staat, op basis van wederkerigheid, een vrijstelling verleent voor de door een Amerikaans lichaam of een onderdaan van de VS van Amerika gerealiseerde scheep- en luchtvaartwinsten. De voorwaarden in de Amerikaanse nationale wetgeving zijn in de toets voor scheep- en luchtvaartondernemingen opgenomen.

Onderdeel X. De vangnetbepaling; artikel 26, zevende lid

De belastingplichtige die niet voldoet aan de voorwaarden van een van de voorgaande toetsen kan zich tot de Amerikaanse belastingautoriteiten wenden met een verzoek om toepassing van de vangnetbepaling. De Amerikaanse belastingautoriteiten zullen bij hun beslissing op dit verzoek laten meewegen of een van de voornaamste redenen voor de vestiging in Nederland het verkrijgen van verdragsvoordelen betreft.

Teneinde op dit punt meer duidelijkheid te verschaffen is in onderdeel XIX van het MvO een niet-limitatieve lijst opgenomen met factoren die de bevoegde autoriteiten bij de beoordeling zullen hanteren. Van belang is onder meer de duur van de vestiging in Nederland, het doel van de vestiging, het aanspraak maken op bijzondere fiscale voordelen, de wijze waarop de inkomsten worden gegenereerd en de vraag of vanuit de woonstaat van de meerderheid van de aandeelhouders vergelijkbare verdragsvoordelen zouden kunnen worden gevraagd.

Mochten de Amerikaanse belastingautoriteiten in het kader van de vangnetbepaling de verdragsvoordelen aan en inwoner van Nederland willen onthouden, dan is dit eerst mogelijk na raadpleging van de Nederlandse belastingautoriteiten.

Voor lichamen waarvan een deel van het inkomen voortvloeit uit beleggingen in de andere staat – voor Nederland valt onder meer te denken aan beleggingsinstellingen – zijn in onderdeel XX van het MvO bijzondere voorwaarden opgenomen om onder de vangnetbepaling alsnog voor verdragstoepassing in aanmerking te komen.

Voorts zijn in onderdeel XXI van het MvO richtlijnen neergelegd voor de toepassing van de vangnetbepaling op personen die niet meer voldoen aan een van de toetsen als gevolg van het vrije verkeer van kapitaal en personen in de Europese Unie.

Indien het verzoek van belastingplichtige om toekenning van de verdragsvoordelen op grond van de vangnetbepaling door de Amerikaanse belastingautoriteiten is ingewilligd, dan kan belastingplichtige de daarop volgende jaren, een verzoek indienen om afgifte van een artikel-26-verklaring, zoals in punt 2 van het onderdeel Toelichting op formulier ‘IB 93 USA’ van deze resolutie is aangegeven. Dit verzoek wordt uiteraard beoordeeld met inachtneming van de beantwoording van vraag 4 van het formulier ‘IB 93 USA’.

Onderdeel XI. De triangular cases bepaling; artikel 12, lid 8, en artikel 13, lid 6

  • 1. Indien de belastingplichtige niet voldoet aan een van de in artikel 26 van het Verdrag neergelegde toetsen (zie onderdelen I tot en met IX) en zijn beroep op toekenning van de vangnetbepaling (zie onderdeel X) niet door de Amerikaanse bevoegde autoriteiten is gehonoreerd, dan komt die belastingplichtige niet in aanmerking voor toekenning van de verdragsvoordelen en dus ook niet voor een vrijstelling van Amerikaanse bronbelasting ter zake van door belastingplichtige uit de VS van Amerika ontvangen rente- of royalty-inkomsten die zijn toe te rekenen aan een vaste inrichting van belastingplichtige in een derde staat.

  • 2. Indien de door belastingplichtige uit de VS van Amerika ontvangen rente- of royalty-inkomsten zijn toe te rekenen aan een vaste inrichting van de belastingplichtige in een derde staat, dan dient te worden beoordeeld of wordt voldaan aan de voorwaarden van artikel 12, lid 8, respectievelijk artikel 13, lid 6.

  • 3. De door belastingplichtige uit de VS van Amerika ontvangen rente- of royalty-inkomsten die zijn toe rekenen aan een vaste inrichting van belastingplichtige in een derde staat komen in aanmerking voor een vrijstelling van Amerikaanse bronbelasting indien de naar Nederlandse maatstaven vastgestelde (totale) winst van die vast inrichting (het bedrag waarvoor belastingplichtige in Nederland een vrijstelling ter voorkoming van dubbele belasting is toegekend) is onderworpen aan een belastingheffing van ten minste 17,5%.

  • 4. Ook indien de naar Nederlandse maatstaven vastgestelde winst van die vaste inrichting in een derde staat (het bedrag waarvoor belastingplichtige in Nederland een vrijstelling ter voorkoming van dubbele belasting is toegekend) is onderworpen aan een belasting van minder dan 17,5% komt belastingplichtige ter zake van zijn uit de VS van Amerika ontvangen rente- of royalty-inkomsten die zijn toe te rekenen aan die vaste inrichting in aanmerking voor een vrijstelling van Amerikaanse bronbelasting, mits:

    • de door belastingplichtige uit de VS van Amerika ontvangen rente-inkomsten worden verkregen in samenhang met door die vaste inrichting in die derde staat verrichte bedrijfsmatige activiteiten (reële activiteiten), dan wel deze rente-inkomsten voor de vaste inrichting van bijkomstige aard zijn, onderscheidenlijk

    • de door belastingplichtige uit de VS van Amerika ontvangen royalty-inkomsten worden verkregen als vergoeding voor het gebruik van of het recht tot gebruik van immateriële eigendommen welke door de vast inrichting zelve zijn voortgebracht of ontwikkeld.

    Het beleggen en het beheren van beleggingen (waaronder bij voorbeeld portfolio beleggingen, maar ook concernfinanciering worden begrepen) worden niet beschouwd als het uitoefenen van bedrijfsmatige activiteiten tenzij het bank- of verzekeringsactiviteiten betreffen, welke worden uitgeoefend door een bank of verzekeringsmaatschappij (artikel 26, tweede lid onder a en punt III van de briefwisseling; zie voor de begrippen bank en verzekeringsmaatschappij onderdeel II, punt 5).

    Voor de vraag wanneer sprake is van rente-inkomsten verkregen in samenhang met, respectievelijk rente-inkomsten die bijkomstig aan aard zijn, zij verwezen naar onderdeel VII, punt 2, onderscheidenlijk onderdeel VII, punt 9.

    Indien de naar Nederlandse maatstaven vastgestelde winst van die vaste inrichting in een derde staat (het bedrag waarvoor belastingplichtige in Nederland een vrijstelling ter voorkoming van dubbele belasting is toegekend) is onderworpen aan een belasting van minder dan 17,5% en indien:

    • de door belastingplichtige uit de VS van Amerika ontvangen rente-inkomsten niet worden verkregen in samenhang met door die vaste inrichting in die derde staat verrichte bedrijfsmatige activiteiten (reële activiteiten), dan wel deze rente-inkomsten voor de vast inrichting niet van bijkomstige aard zijn, onderscheidenlijk

    • de door belastingplichtige uit de VS van Amerika ontvangen royalty-inkomsten niet worden verkregen als vergoeding voor het gebruik van of het recht tot gebruik van immateriële eigendommen welke door de vaste inrichting zelve zijn voortgebracht of ontwikkeld,

    dan mag de VS van Amerika de uit de VS van Amerika afkomstige, aan die vaste inrichting toe te rekenen rente- en royalty-inkomsten in de belastingheffing betrekken en wel tot ten hoogste 15% van het bruto bedrag daarvan.

    Daarbij is aldus niet van belang of op grond van bepaalde omstandigheden een deel van de winst van de vaste inrichting in aanmerking moet worden genomen bij het Nederlandse hoofdkantoor. Te denken valt in dit verband bijvoorbeeld aan het bepaalde in het protocol bij het belastingverdrag Nederland-Zwitserland (ad artikel 4, onderdeel 6), op grond waarvan bij de verdeling van het inkomen tussen vaste inrichting en hoofdkantoor vooraf 10% tot 20% wordt toegerekend aan het hoofdkantoor. Ook als op grond van dergelijke bepaling in het kader van de verdeling van het inkomen tussen het hoofdkantoor en de vaste inrichting bijvoorbeeld 10% in Nederland wordt belast, blijft de grondslag waarover de VS van Amerika de bronheffing van 15% mag inhouden het volledige bruto bedrag van de aan de vaste inrichting toerekenbare interest- of royaltybetaling. In dergelijke situaties keur ik echter goed dat een met het voor de verdeling van het inkomen tussen hoofdkantoor en vaste inrichting in aanmerking genomen percentage van het inkomen dat ter belastingheffing aan Nederland is toegewezen overeenkomend percentage van de door de VS van Amerika geheven bronbelasting op de gebruikelijke wijze kan worden verrekend met de Nederlandse belasting die over het aan Nederland toegewezen deel van het inkomen is verschuldigd.

Instructions for the filling in and further processing of form ‘IB 93 USA’

1. A separate form ‘IB 93 USA’ must be used for each person claiming application of the Convention and for each withholding agent. The first copy of the form ‘IB 93 USA’ (the copy for the American tax authorities) must always be accompanied by the list of the estimated annual amounts of United States source passive income for which treaty benefits are claimed, which list is attached to the fist copy (to be filled in by the applicant) and by a list of the applicable statements and of the actual documentation reviewed by the Inspector (to be filled out by the competent Dutch Inspector).

2. Start filling in form ‘IB 93 USA’ at question 1.

3. If the US competent authority has previously agreed to grant treaty benefits on the basis of article 26, paragraph 7 (the safety-valve provision), written confirmation of this decision by the US competent authority has to be submitted if this has not already been done.

4. If the applicant does not meet one of the tests in question 4, see part X of the flow chart in annex I to form ‘IB 93 USA’ on how to apply for a determination by the US competent authority for the application of article 26, paragraph 7.

5. If the applicant does not meet one of the tests in question 4, but instead has obtained a favourable determination from the US competent authority for the application of the safety-valve provision and if the changes in facts and circumstances referred to in question 3 are such that they could affect the validity of this favourable determination, then the previously obtained favourable determination is no longer valid.

For an advance approval of the safety-valve provision based on the changed facts and circumstances you must submit a request for that purpose to the US competent authority.

6. Before filling in question 4 of this form, determine which test can be used as a basis for a request for the application of the Convention.

The flow chart in annex I to form ‘IB 93 USA’, parts I–IX can be used as a guide. These parts do not have to be filled in; simply follow the instructions after each question. All four copies of the completed and signed form ‘IB 93 USA’ (including the completed list of estimated annual amounts of passive United States source income for which treaty benefits are claimed, which list is attached to the first copy of this form) should be sent to the competent Dutch Inspector. In cases where questions 2, 4 and 5 of this form have been filled in for the first time, the applicant should enclosed with his request for the issuing of a statement documentary evidence in support of his claim to treaty benefits (see parts I through XI of the flow chart in annex I to form ‘IB 93 USA’). However, if question 3 of this form has been answered in the affirmative, the applicant should again enclose the documentary evidence. Furthermore, documentary evidence must be enclosed once every three years, starting with the first year in which a request for the issuing of a statement has been submitted, or, if appropriate, starting with the year in which question 3 of this form has been answered in the affirmative.

In cases where documentary evidence need not be enclosed, the applicant should however have the documentary evidence readily available and must submit it to the Inspector upon request. The documentary evidence may be sent by the Netherlands competent authority (Belastingdienst/FIOD, Inlichtingendienst), Wederzijdse Bijstand, Postbus 1603, 2003 BR Haarlem) to the US competent authority on the latter’s request.

8. Once the information provided has been verified, the Inspector sends the first copy of the form ‘IB 93 USA’ signed by him, together with the completed list of estimated annual amounts of passive United States source income for which treaty benefits are claimed (this list is attached to the first copy of the form and will not be verified by the Inspector) and by the listing of the applicable statements and of the actual documentation reviewed by the Inspector to the Belastingdienst/FIOD, Inlichtingendienst/Wederzijdse Bijstand, Postbus 1603, 2003 BR Haarlem, who will pass this documentation on to the American tax authorities. The Inspector sends the second and fourth copy of the form ‘IB 93 USA’ back to the applicant and he retains the third copy for his own files. The applicant passes on the second copy to the withholding agent. This statement can be used to demonstrate to the United States withholding agent (unless that agent has actual knowledge or reason to know otherwise) that, the conditions of article 26 and, if appropriate, those of paragraph 8 of article 12 and those of paragraph 6 of article 13 of the Convention have been satisfied.

In the case of dividend-income, a reduction of or an exemption of American withholding tax can be obtained by claiming treaty benefits with the withholding agent.

In the case of other income, a reduction of or an exemption of American withholding tax can be obtained only if the American 1001 form, or other appropriate form, is submitted to the withholding agent.

This flow chart may be used when filling in form ‘IB 93 USA’. The questions in parts I–X of this flow chart present the text of article 26 of the convention in simplified form and those in part XI present the text of article 12, paragraph 8, and article 13, paragraph 6, of the Convention in a simplified form. If the questions are unclear, please consult the text of the Convention, the Memorandum of Understanding and, if appropriate, the exchange of letters signed by the Governments of the Contracting States on 13 October 1993 (in the following: the exchange of letters). Wherever possible, the flow chart includes references to the relevant provisions of article 26 and to article 12, paragraph 8, and article 13, paragraph 6, of the Convention, and to the relevant provisions of the Memorandum of Understanding and the exchange of letters.

Any further questions can be addressed to the Inspector in whose jurisdiction you are resident.

Important

Data of the immediately preceding taxable year may be used, unless the applicant knows or has reason to know that changes will occur or have occurred in the facts and circumstances during the taxable year under consideration, which changes might affect the issuing of a statement for the taxable year under consideration.

The following terms are relevant when going through parts I–XI of this flow chart:

Share certificates

Share certificates will be considered to have the same rights as the rights attached to the shares which they replace, including the voting rights thereof. (see article 26, paragraph 8, subparagraph b and part I of the exchange of letters).

Deductible payments

The term ‘deductible payments’ includes all payments which may be deducted when determining the taxable income, with the exception of the direct costs of goods sold (which term includes direct costs of goods purchased and direct payroll expenses) and with the exception of other payments for the purchase, use of or the right to use tangible property in the ordinary course of business or remuneration for services performed in the state of residence of the company making the payments provided they are at arm’s length (see article 26, paragraph 5, subparagraph c).

Gross income

The term ‘gross income’ means gross receipts less direct costs of goods sold, which latter term includes direct costs of goods purchased and direct payroll expenses.

Qualified persons

The term ‘qualified persons’ refers to individuals resident in The Netherlands or in the United States of America, to the United States of America or The Netherlands or a political subdivision or local authority thereof, and to other persons resident in The Netherlands or the United States of America which may claim benefits under the Convention on the basis of parts I, II, III, IV or VI of this flow chart as well as citizens of the United States of America (see article 26, paragraph 8, subparagraph g).

Member State of the European Community

The term ‘member state of the European Community’ refers to The Netherlands and any other EC member state with which The Netherlands and United States of America have concluded a comprehensive income tax Convention. In practice this means that the term includes all member states of the European Community except Portugal (see article 26, paragraph 8, subparagraph h).

Resident of a member state of the European Community

The term ‘resident of a member state of the European Community’ refers in general to a person which

  • would be considered as a qualified person for the application of the Convention within the meaning of the Dutch-American Convention if it, had its state of residence been The Netherlands, would be considered to be a resident of The Netherlands under the principles of article 4, and

  • is otherwise entitled to benefits under the convention especially with respect to residency and beneficial ownership between the state in which it is actually resident and the United States of America. (See article 26, paragraph 8, subparagraph i, and part VII of the exchange of letters).

X. The safety-valve provision

(for persons who do not meet one of the preceding tests)

The tax authorities of the United States of America may grant the benefits of the Convention to a person who does not meet one of the preceding tests. A guideline in the decision will be whether one of the principal objectives of the establishment, acquisition or maintenance of this person or the conduct of its operations is or was to obtain benefits under the Convention. A request for an advance approval of the safety-valve provision may be submitted to the competent authority of the United States of America. (See paragraph 7 and the Memorandum of Understanding XIX and XXI.)

A person who desires to obtain an advance approval for application of paragraph 7 of article 26 of the Convention must submit a request to that purpose to the competent authority of the United States of America (Assistant Commissioner (International), Attention: Tax Treaty Division, Internal Revenue Service, PO Box 23598, Washington DC 20026, United States of America) who must consult the competent authority of The Netherlands, being the Directorate for International Fiscal Affairs of the Ministry of Finance before rejecting such a request. You are requested to indicate at question 2 of form ‘IB 93 USA’ that a favourable determination has been obtained from the US competent authority and to enclose the written confirmation of such a favourable determination and the facts and circumstances on which this favourable determination is based, so that the Inspector is able to determine whether there has been a change in faces and circumstances since the favourable determination was obtained.

Bijlage bij Onderdeel V. De EU-aandeelhouderstoets

Onder de EU-aandeelhouderstoets dient 70% van de aandelen middellijk of onmiddellijk eigendom te zijn van gekwalificeerde personen en van personen die inwoner zijn van lidstaten van de EU. Als inwoner van EU-lidstaten mogen slechts personen worden meegerekend van staten die een algemeen belastingverdrag hebben met de VS van Amerika en het dividend, het inkomen onderworpen aan de belastingheffing van vaste inrichtingen, de interest of de royalty’s onder het desbetreffende verdrag niet ongunstiger worden belast dan onder het Verdrag tussen Nederland en de VS van Amerika. Dit betekent dat als aandeelhouder uit andere EU-lidstaten mogen worden meegeteld:

  • in geval van uit de VS van Amerika afkomstig dividend de inwoners van:

    België, Duitsland, Frankrijk en het Verenigd Koninkrijk;

    Spanje, maar bij deelnemingsdividenden slechts indien ten minste 25% van het totale aantal stemmen in het Amerikaanse lichaam eigendom is van het Nederlandse lichaam dat verdragstoepassing claimt;

    Italië, als Spanje, maar slechts bij een belang van ten minste 50% in het Amerikaanse lichaam;

    Denemarken, Ierland en Luxemburg, als Spanje, maar slechts bij een belang van ten minste 95% in het Amerikaanse lichaam;

  • in geval van in de VS van Amerika aan de belastingheffing van vaste inrichtingen onderworpen inkomen de inwoners van:

    België, Denemarken, Duitsland, Frankrijk, Griekenland, Ierland, Italië, Luxemburg en het Verenigd Koninkrijk;

  • in geval van uit de VS van Amerika afkomstige interest de inwoners van:

    Denemarken, Duitsland, Frankrijk, Luxemburg en het Verenigd Koninkrijk;

    België, in geval van interest betaald op handelskredieten, bankleningen en deposito’s;

    Griekenland en Ierland, maar slechts indien niet meer dan 50% van het totale aantal stemmen in het Amerikaanse eigendom is van het ontvangende lichaam;

    Italië, in geval van interest betaald op door de staat gegarandeerde leningen;

    Spanje, in geval van interest betaald door de overheid of daarmee verbonden instellingen, interest betaald op bankleningen met een looptijd langer dan 5 jaar, of interest betaald op handelskredieten verstrekt in verband met de aankoop van industriële, commerciële, of wetenschappelijke uitrusting;

  • in geval van uit de VS van Amerika afkomstige royalty’s de inwoners van:

    België, Denemarken, Duitsland, Griekenland, Ierland, Luxemburg en het Verenigd Koninkrijk;

    Frankrijk, in geval van royalty’s betaald in verband met het gebruik of de verkoop van auteursrechten.
