Arrangement between certain European Governments and the European Space Research Organisation concerning the execution of the Ariane Launcher Programme

Preamble

The Governments of the Member States of the European Space Conference, signatories of this Arrangement (hereinafter referred to as „the Participants”),

and

the European Space Research Organisation established by the Convention opened for signature on 14 June 1962 (hereinafter referred to as „the Organisation” and „the Convention” respectively),

Recalling the Resolution adopted by the European Space Conference (ESC) on 20 December 1972, under the terms of which the ESC gives general approval for the carrying out and management within a common European framework of the launcher development project proposed by the French Government following the abandonment of the Europa-III Project, and taking into consideration the decisions taken by the European Space Conference at its meeting on 31 July 1973,

Considering that the European Space Agency referred to in the said Resolution (hereinafter referred to as „the Agency”) is intended to provide the common European framework for this programme, temporarily entrusted to the Organisation,

Considering Europe's interest in having available at the beginning of the 1980s an economically competitive capability of its own for placing satellites, particularly application satellites, in orbit,

Considering that it would be to the European States' advantage to keep in being the competence acquired in the field of launchers and to make use of the space technology existing in those States,

Having regard to the report dated 15 April 1973 submitted by the French Government to the Ministers of the ESC,

Having regard to the Declaration made on 1 August 1973 by the representatives on the Council of Organisation of the aforementioned Governments (ESRO/C/LIX/Dec. 1),

Having regard to the Resolution adopted by the Council of the Organisation at its 59th Session, agreeing the request for the execution of this programme within the framework of the Organisation, pending establishment of the European Space Agency (ESRO/C/LIX/Res. 1),

Have agreed as follows:

Article I

The Participants commit themselves to undertake, under the provisions of this Arrangement, the first phase of a programme having as its objective the development, including qualification, of a satellite launcher called Ariane intended to place payloads of the order of 1500 kg in a transfer orbit and, with the assistance of a suitable apogee motor, to place satellites of the order of 750 kg in geostationary orbit. This programme comprises a second phase which will have as its objective the production of this launcher and which will be decided upon at a later date.

Article II

  • 1 The development phase of the programme referred to in Article I above shall be executed within the framework of the Agency referred to in the ESC Resolution of 20 December 1972. Pending the establishment of the said Agency, this phase shall be undertaken within the framework of the Organisation, in conformity with the provisions of the Annexes of this Arrangement.

  • 2 Except where otherwise provided in this Arrangement or in the Agreement referred to in paragraph 3 below, this phase of the programme shall be executed in conformity with the rules and procedures in force within the Organisation.

  • 3 The Participants shall, through the medium of the Organisation, entrust the Centre National d'Etudes Spatiales (CNES), a French public body appointed by the French Government, with the execution of the first phase of the programme referred to in Article I and shall entrust control of its execution, on their behalf, to the Organisation. The Organisation and CNES shall conclude an Agreement defining the detailed arrangements for their cooperation with a view to achieving the objectives of this Arrangement.

Article III

  • 1 The objectives of the programme referred to in Article I above, a description of the launcher and a description of the development phase of the programme, are contained in Annex A to this Arrangement. The decision to proceed to the production phase of the programme shall be taken in conformity with the provisions of Article V below.

  • 2 The objectives of the definition stage of the development phase is to establish the detailed specifications of the launcher on the technical bases of Annex A to this Arrangement, to draw up a detailed development plan, to distribute work in industry and to adjust the financial contribution of each Participant to the programme in conformity with the procedure described in Article X of this Arrangement.

  • 3 The elements of the detailed analysis referred to in paragraph 2 above will enable the development phase to be carried out. The latter will be completed with qualification of the launcher following the flight tests.

Article IV

  • 1 A Programme Board, composed of representatives of the Participants, shall be responsible for the programme and shall take all decisions relating to it in conformity with this Arrangement.

  • 2 For matters affecting both the present programme and some other programme of the Organisation, the Programme Board shall be advisory to the Council of the Organisation, to which it will on such matters make all necessary recommendations.

  • 3 The Programme Board shall take all decisions concerning the programme in conformity with this Arrangement, and shall in particular:

    • (a) control the implementation of the programme and in particular of the development phase, defined in the development plan, on the basis of reports prepared by CNES and presented to the Programme Board by the Director General of the Organisation;

    • (b) monitor the overall performance of the launcher and the quality assurance provisions specific to the programme, prepared by CNES, on the basis of reports prepared by CNES and presented to the Programme Board by the Director General of the Organisation;

    • (c) be kept informed of the distribution of work among the various Participants and, during the execution of the development phase of the programme, act as the appeal body if a Participant wishes to object to a choice of contractor made by CNES;

    • (d) approve the launcher flight qualification report submitted by CNES;

    • (e) lay down the terms and conditions for participation in this of the programme by States that are not members of the Organisation, in conformity with the provisions of article XVII, paragraph 2 of this Arrangement;

    • (f) ensure that the Organisation establishes efficient coordination with the potential users of the launcher and defines the launcher and the payloads interface specifications.

  • 4 The Programme Board may establish such advisory bodies as it may deem necessary for its tasks.

  • 5 Except where otherwise provided in this Arrangement, the decisions of the Programme Board shall be taken by a simple majority of the Participants.

Article V

  • 1 The Programme Board shall establish the elements necessary for the decision by the Participants to proceed to the production phase of the programme. Those Participants that have declared that they are interested in taking part in the production phase shall conclude a new Arrangement setting out the content of this phase, the financial arrangements for its execution and the work distribution. The latter shall as far as possible be identical with that defined in respect of the development phase.

  • 2 The Participants shall endeavour to keep in being, during the production phase, the industrial facilities set up during the development phase, and, whether or not they are Participants in the new Arrangement, shall do nothing to hamper the use of these facilities.

Article VI

  • 1 The expenditure resulting from the execution of the development phase of the programme under this Arrangement shall be met by the Participants, in accordance with the provisions set out in Annex B to this Arrangement.

  • 2 The Participants agree to contribute, on the basis of a firm financial envelope of 380 391 165 accounting units, towards:

    • (a) the direct expenditure defined in paragraph 1 (a) of Annex B to this Arrangement, concerning the development phase of the programme, on the basis of an amount of 2060 million French francs, representing 370 891 165 accounting units on the basis of the conversion rate in force on 1 January 1973 (1 accounting unit representing 5.55419 French francs);

    • (b) the Organisation's internal expenditure referred to in paragraph 1 (b) of Annex B to this Arrangement, amounting to 2 500 000 accounting units; and

    • (c) the expenditure resulting from the maintenance of facilities specifically created, or made available to the Organisation for the execution of the programme under the provisions of Article XII, paragraph 2 of this Arrangement, on the basis of an amount of 7 000 000 accounting units.

    The cost of the CNES project team and technical support staff shall be borne by the French Government.

  • 3 The Participants shall contribute towards the expenditure referred to in paragraph 2 above in accordance with the scale of contributions set out in Annex B to this Arrangement and subject to the provisions of Article VII. Consequently, when the provisions of Article VII, paragraph 2, are to be applied for the expenditure specified in paragraph 2 (a) above, the overall commitment of the Participants will amount to 454.569.398 accounting units, notwithstanding the provisions of Article VII, paragraphs 1 and 2 (b) below.

  • 4 The annual budgets relating to the development phase of the programme shall be subject to the approval of the Programme Board, by a two-thirds majority of the Participants representing also at least two-thirds of the weights of vote referred to in paragraph 2.3 of Annex B, within the firm financial envelope referred to in paragraph 2 above. The Participants undertake to provide the Organisation with the funds necessary for the execution of the programme in accordance with the procedures and schedule given in Annex B to this Arrangement; this schedule is to be brought up to date and presented to the Programme Board annually at the same time as the budget.

Article VII

  • 1 In order that the financial envelope referred to in Article VI, paragraph 2, above may be revised in the event of changes in price levels, the Participants agree, except where otherwise provided in paragraph 2.4 of Annex B to this Arrangement, to:

    • (a) apply to the contribution of each country participating in the direct expenditure referred to in Article VI, paragraph revision formulas using the relevant national indices adopted by the Organisation; and

    • (b) apply to the contribution of each country participating in the expenditure referred to in Article VI, paragraphs 2 (b) and (c) the normal rules in force in the Organisation.

  • 2 If, in the opinion of the Programme Board, the amount of direct expenditure referred to in Article VI, paragraph 2 (a) above has to be revised for reasons other than changes in price levels, the following provisions shall apply:

    • (a) If the additional expenditure does not exceed 20% of mount, revised, where applicable, under the provisions of the paragraph 1 above, the Participants shall be bound to contribute to the additional expenditure in proportion to their contributions as laid down in Annex B of the present Arrangement.

    • (b) Additional expenditure exceeding 20% of the aforesaid amount shall be borne by the French Government provided it does not exceed 35%.

    • (c) No Participant may withdraw from the programme so long as the provisions of sub-paragraphs (a) and (b) of the present paragraph are operative.

    • (d) If the additional expenditure exceeds 35% of the amount direct expenditure referred to in Article VI, paragraph 2 (a) above, revised where necessary in accordance with paragraph 1 above, either in fact or according to forecasts by the Programme Board, the French Government's obligations referred to above shall cease and the Participants shall consult among themselves as to the future of the programme.

    • (e) The French Government will review the undertaking referred to in sub-paragraph (b) above should the Organisation no longer be able to provide it with the funds necessary for execution of the programme owing to the default of one or more Participants.

Article VIII

Intellectual property rights arising from the execution of the development phase of the programme, as well as access to technical information so arising, shall be reserved to the Participants, but the Organisation shall have the right to make use of them free of charge for its programmes as a whole.

Article IX

  • 1 The Participants shall make available to CNES, through the Organisation, the contract authority and payment appropriations necessary for the execution of the development phase of the programme, in conformity with the budget approved by the Programme Board and with the provisions of paragraph 2.4 of the Annex B to this Arrangement.

  • 2 The Participants contributions shall be called up by the Organisation on the basis of its current rules, in conformity with the provisions mentioned in Annex B to this Arrangement.

Article X

  • 1 CNES shall place the contracts necessary for the execution of the development phase of the programme. When placing contracts and sub-contracts for the execution of this phase, it shall give first preference to having the work carried out in the territories of the Participants and second preference to having it carried out in the territories of the other States that are members of the organisation or, subsequently, of the Agency.

  • 2 CNES shall submit to the Programme Board, before the end of the definition stage the distribution of work on the basis of the contributions shown in paragraph 2.1 of Annex B. The distribution shall bear on the work that is of definite technological interest according to the definition adopted by the Programme Board, this work representing eighty per cent of the amount of direct expenditure referred to in Article VI, paragraph 2 (a) above.

  • 3 CNES shall award to the Participants contracts of a value proportional to the Participants' contributions to the cost of the work defined above. If this objective cannot be attained vis-à-vis one or several Participants, the contribution of the Participant concerned shall be reduced proportionally before the end of the definition stage. In case of a lack of funding of the development phase, as a consequence of such a reduction, the French Government shall be responsible for this funding.

    Concerning the additional expenditure mentioned in Article VII, paragraph 2 (a), CNES shall, in placing the contracts, make its best endeavour to avoid any distortion in the fair return of the Participants and to achieve a distribution of work as fair as reasonably possible, taking into account the specific nature of the work, the difficulty to apply the same rules concerning work distribution, and the necessity to maintain a smooth implementation of the development phase.

  • 4 Contracts relating to work of lower technological interest, such as infrastructure work or the supply of consumables, shall be awarded on a competitive basis. To this end CNES shall invite tenders from firms whose names have been communicated to it by the Participants.

  • 5 Contracts relating to work carried out in the territory of a State that is not a member of the Organisation shall not be taken into account in the assessment of the geographical distribution of contracts among the Participants.

  • 6 The contractual arrangements shall be based on the rules and procedures applied by CNES. However, the Organisation shall define the content of the clauses guaranteeing observance of Articles VIII and XII of this Arrangement.

  • 7 The Participants shall, in accordance with the Protocol on Privileges and Immunities of the Organisation, take all necessary steps to ensure exemption from, or if need be, reimbursement of, taxes and customs dues in respect of contracts placed under this Arrangement.

Article XI

The French Government shall guarantee the payment of any sums:

  • (a) contributed to the programme, under the heading „Other Income”, by a Member State of the Organisation that is signatory of this Arrangement but with which it has concluded a bilateral agreement, compatible with the provisions of this Arrangement, for the execution of work under the development phase of the programme;

  • (b) shown under the heading „Other Countries” in the table of Annex B, paragraph 2, until such time as they are otherwise covered.

In no circumstances shall any bilateral agreement mentioned under paragraph (a) above create obligations vis-à-vis the other Participants in the programme.

Nevertheless, for the purposes of Article X, paragraph 1 of this Arrangement, any such Member State shall be considered as a Participant in the development phase of the programme.

Article XII

  • 1 The Organisation, acting on behalf of the Participants, shall be the owner of the elements of the Ariane launcher, of the facilities and equipment acquired for its development, and of the launching facilities produced within the framework of the programme.

  • 2 Participants that own facilities that could be used for the purposes of the Ariane programme undertake to make them available for the said programme, on financial conditions limited to marginal cost reimbursement.

  • 3 The elements, facilities and equipment referred to in paragraph 1 above shall be made available to the Participants acting in the framework of their own programmes or of a programme of the Organisation, insofar as this does not interfere with their use for the purposes of the Ariane programme. Payments requested from the Participants for such use shall not include amortisation of this property. The Programme Board shall lay down the terms and conditions relating thereto.

  • 4 The Organisation may make this property available to third parties not covered by paragraph 3 of this Article, insofar as this does not interfere with its use for the purposes of the Ariane programme and for the Participants' requirements, and under financial conditions to be laid down by the Programme Board.

  • 5 Any transfer of elements, facilities and equipment acquired shall be decided on by the Programme Board, in consultation with the Council of the Organisation.

Article XIII

  • 1 Once the Ariane launcher has been declared operational, it shall be made available to the Organisation and the Participants for their own requirements, in accordance with a decision of the Participants, made either through the Programme Board or through new institutions as may be established in the framework of the Agency mentioned in Article II, and in accordance with the provisions of the new Arrangement referred to in Article V, paragraph 1. French Government facilities required for launchings shall likewise be made available to the Organisation and the Participants, in accordance with the conditions laid down in Article XII, paragraph 2 above.

  • 2 The decision on the terms and conditions on which the flight units of the Ariane launcher may be transferred to third-party States or to international organisations for peaceful purposes, as well as the terms and conditions under which launchings may be carried out for such States and organisations, shall be taken by a two-thirds majority of the Participants subject to the provisions of the new Arrangement referred to in Article V, paragraph 1.

  • 3 The provisions of paragraphs 1 and 2 above shall also apply to the supply of elements, sub-assemblies and components developed for the development phase of the programme.

Article XIV

  • 1 The Participants shall indemnify the Organisation in respect of any obligation it may incur should its international liability be involved as a result of execution of the development phase of the programme.

  • 2 Any compensation for damage received by the Organisation with respect to the development phase of the programme shall be credited as an income to the annual programme budgets referred to in Article VI, paragraph 4 above.

Article XV

  • 1 Any dispute which arises between two or more of the Participants, or between any of them and the Organisation, concerning the interpretation or application of this Arrangement, and which cannot be settled by mutual consent, shall be submitted, at the request of any party to the dispute, to a single abitrator to be appointed by the President of the International Court of Justice. The arbitrator may not be a national of a State which is a party to the dispute nor be a permanent resident of such a State.

  • 2 Those parties to the Arrangement that are not parties to the dispute shall have the right to join in the proceedings, and the arbitrator's decision shall be binding on all the Participants and the Organisation, whether or not they have joined in the proceedings.

Article XVI

  • 1 This Arrangement shall be open for signature by the Member States of the European Space Conference from 15 October 1973 to 30 November 1973.

  • 2 The States shall become parties to the Arrangement:

    • - either by signature not subject to ratification or approval,

    • - or by depositing an instrument of ratification or approval with the Government of the French Republic if the Arrangement has been signed subject to ratification or approval.

  • 3 This Arrangement shall come into force when it has been signed by the Organisation and when the States whose participation amounts to 75% of the total weight of the votes referred to in paragraph 2.3 of the Annex B, have become parties to this Arrangement in accordance with paragraph 2 of this Article.

  • 4 For the purpose of paragraph 3 above, the deposit with the depositary Government of a declaration of intent to apply the Arrangement provisionally and to seek ratification or approval as soon as possible shall be considered as the deposit of an instrument of ratification or approval.

  • 5 The Government of any Member State of the Organisation which has not signed the Arrangement by 30 November 1973 may become a party to it after that date, provided the other Governments, parties to the Arrangement, agree. In such event, the Government in question must deposit an instrument of accession with the Government of the French Republic; it may also apply the provisions of paragraph 4 of this Article in order to become a party to this Arrangement. The Programme Board shall determine unanimously the terms governing the participating of the acceding States.

Article XVII

  • 1 The Government of a State that is not a member of the Organisation may present a request to the Council of the Organisation to accede to the programme.

  • 2 Admissibility of the request shall require a unanimous decision of the Programme Board. If admissible, the request shall then be submitted to the Council for its unanimous decision. The Programme Board shall unanimously determine the terms governing the participation of the acceding State.

Article XVIII

The Participants may by a unanimous vote decide to terminate the programme. In such event, priority would be granted for the acquisition of the elements, facilities and equipment acquired for the execution of the development phase of this programme, to a Participant that undertook to pursue this programme or a related programme on its own account.

Article XIX

The Organisation shall inform the depositary Government of the expiry of this Arrangement. The Government in question shall notify the Participants accordingly.

Article XX

  • 1 A Participant who wishes to withdraw from the programme under the terms of Article VII, paragraph 2 (c), shall notify the Organisation accordingly. The withdrawal shall take effect on the date of the notification, subject to the following provisions:

    • (a) The withdrawing Participant shall be bound to pay in the manner agreed its contributions adopted under the current or previous annual budget(s).

    • (b) The withdrawing Participant shall remain bound to pay its share of the payment appropriations corresponding to approved contract authority used under the budget for the current or previous financial year(s) and relating to the development phase.

    • (c) The withdrawing Participant shall remain a member of the Programme Board until its obligations under (a) and (b) above have been fulfilled. It shall have a right to vote only on matters which are directly related to these obligations.

  • 2 The withdrawing Participant shall retain the rights acquired up to the date on which its withdrawal takes effect. As regards actions and developments decided upon after its withdrawal, no further right or obligation shall arise in respect of that part of the programme to which it no longer contributes, unless and to the extent agreed otherwise between the remaining Participants and the withdrawing Participant. The provisions of Article XVII of the Convention of the Organisation shall apply mutatis mutandis.

  • 2 Should a non Member State which has acceded to the programme in accordance with the provisions of Article XVII of this Arrangement wish to withdraw from the programme, the provisions of this Article shall apply mutatis mutandis.

Article XXII

  • 1 This Arrangement may be revised at the request of a Participant or of the Organisation. Any amendments shall come into force when all parties have notified their approval to the depositary Government.

  • 2 The Annexes to this Arrangement may be revised by the Programme Board in accordance with the provisions of the revision clauses of those Annexes.

Article XXIII

Upon entry into force of the Arrangement, the Government of the French Republic shall register it with the Secretariat of the United Nations, in accordance with Article 102 of the United Nations Charter.

Article XXIV

The Government of the French Republic shall be the depositary of this Arrangement and shall notify the Participants and the Organisation of the date of entry into force of the Arrangement and any amendments thereto, and of all instruments of ratification, approval, accession and declaration of intent to apply the Arrangement provisionally.

IN WITNESS WHEREOF the undersigned representatives, having been duly authorised thereto, have signed this Arrangement.

DONE at Neuilly-sur-Seine, this twenty-first day of September nineteen hundred and seventy three, in the English, French and German languages, all three texts being equally authoritative, in a single copy, which shall be deposited in the archives of the Government of the French Republic, which shall transmit certified copies to each of the Participants and to the Organisation.

Annex A. to the Arrangement between certain European Governments and the European Space Research Organisation concerning the execution of the Ariane Launcher Programme

1. Programme Objectives

The Ariane programme has two main objectives:

  • 1.1 The first objective is to give Europe a capability on its own at the beginning of the 1980's for placing in orbit geostationary satellites developed within the framework of the Organisation or of the European States.

    The Ariane launcher will be capable of placing in transfer orbit payloads of the order of 1500 kg, thus enabling satellites of the order of 750 kg to be placed in geostationary orbit by means of a suitable apogee motor.

    It is aimed at a potential market mainly represented by the 35 to 50 geostationary satellites of between 400 and 700-800 kg that European studies foresee for the next decade: European satellites, European satellites forming part of a worldwide system, and satellites for third-party requirements.

    The Ariane launcher is intended, if the objective mentioned in paragraph 1.2 below is attained, to launch satellites developed within the framework of the Organisation or by the Member States and due for launching after 1 November 1980.

  • 1.2 The second objective is to define the launcher and organise its production in such a way as to achieve an economically competitive production cost.

    The launcher's production cost is estimated at 51 million French francs (excluding taxes and at 1 January 1973 prices) assuming two launches per year and reasonable grouping of orders.

    To this cost must be added the cost of transport to Guyana, of propellants and of the launch team, amounting to an estimated figure of 12 million French francs in the same conditions as above.

    The portion of the maintenance costs of the Guyana Space Centre chargeable to the launch cost of a launcher, which might be additional to the cost mentioned above, will be the subject of a separate arrangement.

2. Description of the launcher

The Ariane launcher is a 3-stage vehicle. It is 47.60 metres high and weighs 202 metric tons at lift-off.

The first stage, 'L140', with a diameter of 3.8 metres, contains 140 metric tons of propellants (N2O4 and UDMH) stored in two separate identical tanks, pressurised by hot gases drawn from the engines. They are of steel, whereas the connecting structure is of light alloy. The stage is powered by four 'Viking-2' engines, with turbo-pump and film-cooled single-wall nozzle. The total thrust at lift-off is 240 metric tons and the burn time 150 seconds.

The second stage, 'L33', with a diameter of 2.6 metres, carries 33 metric tons of the same propellants in two light-alloy tanks with a common bulkhead. The propellants are pressurised by helium stored at high pressure. The stage is equipped with a 'Viking-4' engine derived from the 'Viking-2' by adapting the nozzle for operation in vacuum.

The third stage, 'H 8', with the same diameter as the 'L 33', carries 8 metric tons of liquid hydrogen and liquid oxygen in two tanks with a common bulkhead, thermally protected by external insulation. These tanks are of a light alloy especially chosen for its behaviour at low temperatures. The same material was chosen for the 'L 33', whose tanks have a similar geometry.

These tanks are pressurised. The stage is powered by an 'H M 7' engine with a thrust of 6 metric tons.

Stage separation is achieved by explosive cords, and the stages are forced apart by retro-rockets (lower stage) and acceleration rockets (upper stage).

The instrumentation pack, located above the third stage, performs centrally, with the help of a computer, the autopilot, guidance and sequencing functions.

It also carries telemetry, telecommand, trajectography and breakup equipment, together with the inertial platform.

The fairing is bulb-shaped to house the foreseeable satellites. It allows for a payload of 3 metres effective diameter and 4 metres height.

Orbiting is achieved by direct injection, without an intermediate coasting phase, at 200 km altitude.

3. Development Phase

The development phase comprises a definition stage and the development proper.

  • 3.1 Definition Stage

    This stage began on 1 July 1973 and is due to be completed by 31 December 1973. The first three months of this period are being devoted to detailed studies of the system and its subassemblies and to the development of detailed programme management procedures.

    The corresponding overall documentation comprises essentially:

    • - a document laying down the industrial organisation;

    • - a document laying down the project control procedure for contracts and sub-contracts (rules for drafting the technical clauses and the technical organigram, and procedures for cost control and due-date monitoring);

    • - a document laying down the launcher configuration management procedure (rules for establishing and updating the detailed technical specifications of the launcher and its components);

    • - a document laying down the procedure for establishing and checking the technical documentation and laying down the steps in the development together with launcher design reviews;

    • - a document laying down the product assurance procedure (quality and reliability control of the launcher);

    • - the technical specifications themselves.

    This work will be reviewed and approved by CNES on 1 October 1973. The second three months of the definition stage will be essentially devoted to the negotiation of development contracts and the final choice of contractors.

    Concurrently with this activity a number of tasks are being performed concerning the pre-development of, or capital expenditure on, critical elements of the development phase.

  • 3.2 Development

    Development is planned to cover seven years, comprising three periods:

    • - a period of some three years comprising the development and qualification of stage components (engines, structure and equipment), and also the construction of major capital facilities (stage test stands, launcher integration buildings and launch site) together with the execution of dynamic launcher tests;

    • - a period of about a year and a half corresponding to the development and qualification of the stages and the acceptance testing of launcher integration and launch facilities;

    • - a flight testing period covering two and half years, comprising the preparation and execution of four launcher flight tests, consisting of two development firings and two qualification firings.

    The above periods presuppose that this Arrangement comes into force at the latest by 30 November 1973 and that financing follows the conditions set out in Annex B.

  • 3.3 Payload

    The Participants shall benefit from an option for the funding relating with the development of the payload intended for the flight test of the launcher.

4. Production phase

The launcher production phase must be initiated two and a half years before the start of the vehicle's operational use phase, or around mid-1978.

The grouping of orders and the timing of launches will be decisive elements in the launcher's cost and quality. The production phase will be defined in detail in the new Arrangement referred to in Article V, paragraph 1 of the present Arrangement.

5. Revision Clause

The provisions of this Annex may be revised by a unanimous decision of the Programme Board.

    Each Participant shall pay a contribution in its national currency towards the direct expenditure relating to the development phase of the programme.   • 2.4 Revision of the contributions

    In order to take account of changes in price levels, the contributions to the direct expenditure shall be revised on an annual basis by application to the amount still to be called up of the price variation rate relevant to the twelve last months in the country concerned. The first revision of the amount of direct expenditure will be made on the basis of the price level in force on 30 June 1973. The contributions to the Organisation's internal expenditure and to the maintenance cost of the facilities shall be revised in conformity with the rules in force in the Organisation. As an exception to the above rule:

    • (a) The contributions of the Federal Republic of Germany to the development phase of the programme will be subject to a single revision, by application of the amount still outstanding as from 1 January 1978, of the price variation rate relevant to Germany for four preceding years, in accordance with the rules of the Organisation.

    • (b) The contributions of the Italian Republic to the development phase of the programme will be subject to a single revision, by application to the amount still outstanding as from 1 January 1978, of the price variation rate relevant to Italy since 1 January 1973, in accordance with the rules of the Organisation.

  • 2.5 Method of payment of contributions

    Subject to the provisions mentioned below, each Participant shall contribute on an annual basis to the expenditure arising from the execution of the development phase of the programme under the terms of this Arrangement and according to its commitment as expressed in the above tables. The amount of each Participant's commitment in respect of the direct expenditure relating to the development phase and expressed in its national currency shall not be affected by possible parity changes occurring in the course of the programme. Each Participant may be asked to make its contributions available to the Organisation in advance. The amount so made available shall be paid into an account carrying interest for the benefit of the programme.

    The amount of the commitment entered into by each Participant in respect of the expenditure referred to in subparagraph 1 (b) and (c) of this Annex, expressed in accounting units, shall be governed by the Organisation's rules applicable in the event of changes in the parity rates of the Participant's currencies.

    The Federal Republic of Germany undertakes to make available during 8 years, on the 10th January of each year, starting on 10 January 1974, a fixed contribution of 40 million DM. This contribution shall be subject to a single revision under the terms of paragraph 2.4 above.

    In the event of the amount quoted in paragraph 1 (d) of the present Annex not being wholly required by the programme an amount in proportion with its contribution of the unexpended balance will be refunded to the Federal Republic of Germany, or deducted from its contribution due for 1981, as appropriate.

    The Italian Republic undertakes to pay on the 10th of January of each year, starting on 10 January 1975, for the duration of the programme, a fixed amount of 5000 million lire, non-revisable except as provided in paragraph 2.4 above. This sum will be paid as follows:

    The contributions shall be collected by the Organisation in accordance with its usual regulations. The Organisation shall define with CNES the procedure concerning the transfer of the funds which are necessary for the execution of the programme.

    If these funds are not made available to CNES as provided for in this paragraph, through the default of a Participant, the latter shall bear the resultant financial burdens in accordance with the Organisation's rules.

3. Reports by the Organisation on the financial and contractual situation

The Director General of the Organisation shall take the necessary steps, in liaison with CNES, for the submission of reports on progress, geographical distribution of work, call-up of contributions, quarterly and annual accounts and the latest evaluation of programme costs to completion.

4. Financial rules to be observed

The Director General of the Organisation shall submit to the Programme Board an annual budget, based in particular on elements provided by CNES in respect of direct expenditure. The draft budget shall comprise the global amounts of contract authority and payment appropriations which must be approved by the Programme Board before the beginning of the financial year. The detailed budgetary information will be given in a distinct financial plan.

5. Revision Clause

The provisions of paragraphs I and 2 of this Annex may be revised by a unanimous decision of the Programme Board. The provisions of paragraphs 3 and 4 of this Annex may be revised by the Programme Board by a two-thirds majority representing also at least two-thirds of the weights of the vote referred to in paragraph 2.3 above.

Overeenkomst tussen bepaalde Europese Regeringen en de Europese Organisatie voor Ruimteonderzoek betreffende de uitvoering van het Ariane draagraketprogramma

Preambule

De Regeringen van de Lid Staten van de Europese Ruimteconferentie die deze Overeenkomst hebben ondertekend (hierna te noemen de „Deelnemers”) en de Europese Organisatie voor Ruimteonderzoek, opgericht krachtens het op 14 juni 1962 voor ondertekening opengestelde Verdrag (hierna onderscheidenlijk te noemen „de Organisatie” en „het Verdrag”),

Herinnerende aan de door de Europese Ruimteconferentie (ERC) op 20 december 1972 aangenomen Resolutie, krachtens welke de ERC in beginsel haar goedkeuring hecht aan het binnen een gemeenschappelijk Europees kader doen uitvoeren en beheren van het project voor de ontwikkeling van een draagraket, voorgesteld door de Franse Regering na het laten varen van het project Europa III, en in overweging nemend de besluiten, genomen door de Europese Ruimteconferentie tijdens haar vergadering van 31 juli 1973;

Overwegende dat het Europese Ruimte-Agentschap, bedoeld in genoemde Resolutie (hierna te noemen „het Agentschap”) bestemd is te voorzien in het gemeenschappelijk Europese kader voor dit tijdelijk aan de zorgen van de Organisatie toevertrouwde programma,

Overwegende dat het een Europees belang is in het begin van de tachtiger jaren van deze eeuw te kunnen beschikken over een eigen economisch concurrerend vermogen voor het plaatsen van satellieten, in het bijzonder applicatiesatellieten, in een baan om de aarde,

Overwegende dat het voor de Europese Staten nuttig zou zijn, de op het gebied van draagraketten verworven bekwaamheden op peil te houden en gebruik te maken van de in die Staten ter beschikking staande ruimtetechnologie,

Gelet op het door de Franse Regering aan de Ministers van de Europese Ruimteconferentie overgelegde verslag van 15 april 1973,

Gelet op de door de vertegenwoordigers van de bovengenoemde Regeringen in de Raad van de Organisatie afgelegde Verklaring van 1 augustus 1973 (ESRO/C/LIX/Dec. 1),

Gelet op de door de Raad van de Organisatie tijdens zijn 59ste vergadering aangenomen Resolutie, waarbij werd ingestemd met het verzoek om uitvoering van dit programma binnen het kader van de Organisatie, in afwachting van de oprichting van het Europese Ruimte-Agentschap (ESRO/C/LIX/Res. 1),

Zijn overeengekomen als volgt:

Artikel I

De Deelnemers verbinden zich tot het krachtens de bepalingen van deze Overeenkomst uitvoeren van de eerste fase van een programma, dat ten doel heeft de ontwikkeling, met inbegrip van geschiktheidsproeven, van een drager voor satellieten, genaamd Ariane, bestemd voor het plaatsen van nuttige ladingen in de orde van grootte van 1500 kg in een overgangsbaan en, met behulp van een daartoe geschikte apogeummotor, voor het plaatsen van satellieten in de orde van grootte van 750 kg in een geostationaire baan. Dit programma omvat een tweede fase, die de produktie van deze draagraket ten doel heeft en waarover op een later tijdstip een beslissing zal worden genomen.

Artikel II

  • 1 De ontwikkelingsfase van het in artikel I bedoelde programma wordt uitgevoerd in het kader van het Agentschap bedoeld in de Resolutie van de ERC van 20 december 1972. In afwachting van de oprichting van dit Agentschap wordt deze fase uitgevoerd in het kader van de Organisatie, overeenkomstig de bepalingen van de Bijlagen bij deze Overeenkomst.

  • 2 Tenzij in deze Overeenkomst of in de in het derde lid van dit artikel bedoelde Overeenkomst anders is bepaald, wordt deze fase van het programma uitgevoerd overeenkomstig de in de Organisatie van kracht zijnde regels en procedures.

  • 3 De deelnemers dragen, door tussenkomst van de Organisatie, aan het Nationale Centrum voor Ruimteonderzoek (CNES), een door de Franse Regering ingesteld Frans overheidsorgaan, de uitvoering op van de eerste fase van het in artikel I bedoelde programma, en zij dragen het namens hen uit te voeren toezicht op aan de Organisatie. De Organisatie en het CNES sluiten een Overeenkomst tot het vaststellen van de gedetailleerde regelingen voor hun samenwerking, nodig voor het bereiken van de doeleinden van deze Overeenkomst.

Artikel III

  • 1 De in artikel I gestelde doelen van het programma, te weten een beschrijving van de draagraket en een beschrijving van de ontwikkelingsfase van het programma, zijn neergelegd in Bijlage A bij deze Overeenkomst. De beslissing inzake het overgaan tot de produktiefase van het programma zal worden genomen overeenkomstig het bepaalde in artikel V.

  • 2 Het doel van de definitiefase van de ontwikkelingsfase is het vaststellen van het gedetailleerde bestek voor de draagraket op basis van de technische gegevens in Bijlage A bij deze Overeenkomst, het opstellen van een gedetailleerd ontwikkelingsplan, het geven van opdrachten aan industrieën en het aanpassen van de financiële bijdragen van iedere Deelnemer aan het programma, overeenkomstig de in artikel X van deze Overeenkomst omschreven procedure.

  • 3 De elementen van de in het tweede lid van dit artikel bedoelde uitvoerige analyse maken de uitvoering van de ontwikkelingsfase mogelijk. Die fase zal zijn voltooid met de na afloop van de proefvluchten vast te stellen geschiktheid van de draagraket.

Artikel IV

  • 1 Een Programmaraad, bestaande uit vertegenwoordigers van de Deelnemers, is verantwoordelijk voor het programma en neemt alle desbetreffende beslissingen overeenkomstig de bepalingen van deze Overeenkomst.

  • 2 In aangelegenheden die van invloed zijn op dit en op enig ander programma van de Organisatie, treedt de Programmaraad op als adviesorgaan van de Raad van de Organisatie, aan wie hij alle nodige aanbevelingen in zodanige aangelegenheden doet.

  • 3 De Programmaraad neemt alle beslissingen betreffende het programma in overeenstemming met deze Overeenkomst en hij heeft met name de volgende taken:

    • a) het toezichthouden op de uitvoering van het programma en in het bijzonder op de in het ontwikkelingsplan omschreven ontwikkelingsfase, op basis van door het CNES opgestelde en door de Directeur-Generaal van de Organisatie aan de Programmaraad overgelegde verslagen,

    • b) het toezichthouden op de totale prestatie van de draagraket en op de voor het programma kenmerkende bepalingen voor de kwaliteitszorg zoals die zijn opgesteld door het CNES, op basis van door het CNES opgestelde en door de Directeur-Generaal van de Organisatie aan de Programmaraad voorgelegde verslagen,

    • c) het zich op de hoogte houden van de verdeling van werkopdrachten onder de verschillende Deelnemers en het gedurende de uitvoering van de ontwikkelingsfase van het programma optreden als instantie van beroep, indien een Deelnemer bezwaar wenst te maken tegen een door het CNES gemaakte keuze van een aannemer,

    • d) het goedkeuren van het door het CNES voorgelegde rapport inzake de geschiktheid tot vliegen van de draagraket,

    • e) het vastleggen van de voorwaarden en bedingen voor het deelnemen aan deze fase van het programma door Staten die geen lid zijn van de Organisatie, overeenkomstig het bepaalde in het tweede lid van artikel XVII van deze Overeenkomst,

    • f) het waarborgen dat de Organisatie zorgt voor een doeltreffende coördinatie met de potentiële gebruikers van de draagraket en de kenmerken van de technische raakpunten tussen draagraket en nuttige ladingen vaststelt en beschrijft.

  • 4 De Programmaraad kan de adviesorganen instellen die hij nodig acht voor de uitvoering van zijn taak.

  • 5 Behalve waar in deze Overeenkomst anders is bepaald, worden de besluiten van de Programmaraad genomen met een eenvoudige meerderheid van stemmen van de Deelnemers.

Artikel V

  • 1 De Programmaraad verschaft de gegevens die nodig zijn voor de door de Deelnemers te nemen beslissing over te gaan tot de produktiefase van het programma. Diegenen onder de Deelnemers die hebben verklaard dat zij wensen deel te nemen aan de produktiefase, sluiten een nieuwe Overeenkomst ter vastlegging van de inhoud van deze fase, van de financiële regelingen voor haar uitvoering en van de verdeling der werkzaamheden. Deze laatste dient zoveel mogelijk overeen te komen met die, welke is vastgesteld met betrekking tot de ontwikkelingsfase.

  • 2 De Deelnemers trachten gedurende de produktiefase de tijdens de ontwikkelingsfase opgezette industriële installaties in stand te houden en zij doen niets dat het gebruik van deze installaties zou kunnen belemmeren, ongeacht of zij al dan niet Deelnemers zijn in de nieuwe Overeenkomst.

Artikel VI

  • 1 De uitgaven voortvloeiende uit de uitvoering van de ontwikkelingsfase van het programma krachtens deze Overeenkomst worden gedragen door de Deelnemers overeenkomstig de bepalingen van Bijlage B bij deze Overeenkomst.

  • 2 De Deelnemers komen overeen op basis van een financieel raam van 380.391.165 r.e. bij te dragen aan:

    • a) de in paragraaf 1, letter a, van Bijlage B bij deze Overeenkomst omschreven directe uitgaven betreffende de ontwikkelingsfase van het programma, op basis van een bedrag van 2060 miljoen Franse frank, vertegenwoordigende een bedrag van 370.891.165 r.e. op basis van de op 1 januari 1973 geldende omrekeningskoers (1 r.e. is gelijk aan 5,55419 Franse frank);

    • b) de interne uitgaven van de Organisatie, bedoeld in paragraaf 1, letter b, van Bijlage B bij deze Overeenkomst, ten bedrage van 2.500.000 r.e.; en

    • c) de uitgaven voortvloeiende uit het onderhoud van speciaal ingerichte of aan de Organisatie beschikbaar gestelde installaties voor de uitvoering van het programma krachtens het tweede lid van artikel XII, op basis van een bedrag van 7 miljoen r.e.

    De kosten van het project-team en van het assisterende technische personeel van het CNES komen ten laste van de Franse Regering.

  • 3 De Deelnemers dragen aan de in het tweede lid van dit artikel bedoelde uitgaven bij overeenkomstig de verdeelsleutel, vervat in Bijlage B bij deze Overeenkomst en met inachtneming van het bepaalde in artikel VII. Derhalve bedraagt, indien het bepaalde in het tweede lid van artikel VII wordt toegepast op de in het tweede lid, letter a, van dit artikel bedoelde uitgaven, de totale bijdrage van de Deelnemers 454.569.398 r.e., zulks niettegenstaande het bepaalde in het eerste lid en het tweede lid, letter b, van artikel VIL

  • 4 De jaarlijkse begrotingen voor de ontwikkelingsfase van het programma worden goedgekeurd door de Programmaraad met een twee derde meerderheid van stemmen van de Deelnemers, die tevens ten minste twee derde van de in paragraaf 2.3 van Bijlage B bedoelde stemmen vertegenwoordigen, tot het financiële plafond bedoeld in het tweede lid van dit artikel. De Deelnemers verbinden zich ertoe de Organisatie de nodige fondsen te verschaffen voor de uitvoering van het programma overeenkomstig de procedures en tijdschema's, gegeven in Bijlage B bij deze Overeenkomst; deze tijdschema's dienen jaarlijks op hetzelfde tijdstip als de begroting te worden bijgewerkt en voorgelegd aan de Programmaraad.

Artikel VII

  • 1 Ten einde, in geval van veranderingen in het prijspeil, het in het tweede lid van artikel VI bedoelde financiële raam te kunnen herzien, komen de Deelnemers - tenzij anders bepaald in paragraaf 2.4 van Bijlage B bij deze Overeenkomst - overeen:

    • a) op de bijdrage van ieder land dat bijdraagt aan de in het tweede lid, letter a van artikel VI bedoelde uitgaven, herzieningsformules toe te passen met gebruikmaking van de ter zake dienende door de Organisatie aanvaarde nationale indexcijfers; en

    • b) op de bijdrage van ieder land dat bijdraagt aan de in het tweede lid, letter b en c van artikel VI bedoelde uitgaven, de normale in de Organisatie geldende regels toe te passen.

  • 2 Indien naar het oordeel van de Programmaraad het in het tweede lid, letter a van artikel VI bedoelde bedrag aan uitgaven om andere redenen dan veranderingen in het prijspeil dient te worden herzien, zijn de volgende bepalingen van toepassing:

    • a) Indien de bijkomende uitgaven 20 pct. van dit bedrag - zo nodig herzien krachtens het bepaalde in het eerste lid van dit artikel - niet te boven gaan, zijn de Deelnemers verplicht aan de bijkomende uitgaven bij te dragen in verhouding tot hun bijdragen zoals vastgelegd in Bijlage B bij deze Overeenkomst.

    • b) Bijkomende uitgaven die 20 pct. van het bovengenoemde bedrag te boven gaan, worden gedragen door de Franse Regering mits de overschrijding niet meer beloopt dan 35 pct.

    • c) Een Deelnemer mag zich niet uit het programma terugtrekken zolang het bepaalde in de letters a en b van dit lid nog van kracht is.

    • d) Indien de bijkomende uitgaven meer bedragen dan 35 pct. van het in het tweede lid, letter a, van artikel VI bedoelde bedrag aan directe uitgaven, indien nodig herzien overeenkomstig het eerste lid van dit artikel, hetzij wegens de feitelijke omstandigheden, hetzij in overeenstemming met de door de Programmaraad aanvaarde ramingen, houden de hierboven genoemde verplichtingen van de Franse Regering op te bestaan en plegen de Deelnemers onderling overleg over de toekomst van het programma.

    • e) De Franse Regering onderwerpt de in letter b van dit lid bedoelde verplichting aan een nader onderzoek, indien de Organisatie niet langer in staat is haar te voorzien van de nodige middelen voor de uitvoering van het programma door het in gebreke blijven van een of meer Deelnemers.

Artikel VIII

Intellectuele eigendomsrechten, voortvloeiende uit de uitvoering van de ontwikkelingsfase van het programma, evenals toegang tot technische gegevens die aldus worden verkregen, zijn voorbehouden aan de Deelnemers, maar de Organisatie heeft het recht daar kosteloos gebruik van te maken voor het geheel van haar programma's.

Artikel IX

  • 1 De Deelnemers stellen via de Organisatie aan het CNES de vastleggings- en betalingskredieten, welke nodig zijn voor de uitvoering van het programma overeenkomstig de door de Programmaraad goedgekeurde begroting en overeenkomstig de bepalingen van paragraaf 2.4 van Bijlage B van deze Overeenkomst, ter beschikking.

  • 2 De bijdragen van de Deelnemers worden door de Organisatie afgeroepen op basis van de gangbare regels, overeenkomstig de bepalingen van Bijlage B bij deze Overeenkomst.

Artikel X

  • 1 Het CNES sluit de contracten die nodig zijn voor de uitvoering van de ontwikkelingsfase van het programma. Bij het plaatsen van contracten en subcontracten voor de uitvoering van deze fase wordt voorrang gegeven aan uitvoering van de werkzaamheden op het grondgebied van de Deelnemers en vervolgens aan de uitvoering op het grondgebied van andere Staten die lid zijn van de Organisatie of, nadien, van het Agentschap.

  • 2 Het CNES legt, voor het einde der definitiefase, aan de Programmaraad de verdeling der werkzaamheden op basis van de in paragraaf 2.1 van Bijlage B vermelde bijdragen voor. De verdeling heeft betrekking op de werkzaamheden van vaststaand technologisch belang overeenkomstig de door de Programmaraad aangenomen definitie, welke werkzaamheden 80 pet. vertegenwoordigen van het in het tweede lid, letter a) van artikel VI, bedoelde bedrag aan rechtstreekse uitgaven.

  • 3 Het CNES verstrekt aan de Deelnemers contracten waarvan de waarde in verhouding staat tot de bijdragen van de Deelnemers in de kosten van de hierboven omschreven werkzaamheden. Indien ten aanzien van een of verscheidene Deelnemers dit doel niet kan worden bereikt, wordt de bijdrage van de betrokken Deelnemer vóór het einde van de definitiefase naar verhouding verminderd. Indien door een dergelijke vermindering een tekort aan middelen voor de ontwikkelingsfase ontstaat, is de Franse Regering verantwoordelijk voor de aanvulling daarvan.

    Met betrekking tot de in het tweede lid, letter a) van artikel VII genoemde bijkomende uitgaven, dient het CNES bij het plaatsen van de contracten al het mogelijke te doen om het billijke werkaandeel van de Deelnemers niet aan te tasten en een zo rechtvaardige werkverdeling als redelijkerwijs mogelijk te bereiken, daarbij rekening houdende met de bijzondere aard van het werk, de moeilijkheid van het toepassen van dezelfde regels voor de werkverdeling en de noodzaak tot het handhaven van een ongestoord verloop van de uitvoering der ontwikkelingsfase.

  • 4 De contracten betreffende de werkzaamheden van minder technologisch belang, zoals infrastructuurwerkzaamheden of leveringen van verbruiksartikelen, worden geplaatst op basis van mededinging. Te dien einde verzoekt het CNES om inschrijvingen door firma's, waarvan de namen hem zijn verstrekt door de Deelnemers.

  • 5 Bij de vaststelling van de geografische spreiding van de contracten onder de Deelnemers worden de contracten betreffende de werkzaamheden uitgevoerd op het grondgebied van een Staat die geen lid is van de Organisatie buiten beschouwing gelaten.

  • 6 De contractuele bepalingen zijn gebaseerd op de door het CNES toegepaste regels en procedures. De Organisatie bepaalt evenwel de inhoud van de clausules die de nakoming van de artikelen VIII en XII van deze Overeenkomst waarborgen.

  • 7 Overeenkomstig het Protocol inzake de Voorrechten en Immuniteiten van de Organisatie nemen de Deelnemers alle nodige stappen tot het waarborgen van vrijstelling of, indien nodig, terugbetaling van belastingen en douaneheffingen met betrekking tot krachtens deze Overeenkomst geplaatste contracten.

Artikel XI

De Franse Regering garandeert de betaling van bedragen die:

  • a) worden bijgedragen aan het programma - onder het hoofd „Andere inkomsten” - door een Lid-Staat van de Organisatie die geen ondertekenaar is van deze Overeenkomst, maar waarmee zij een bilaterale overeenkomst heeft gesloten, die verenigbaar is met de bepalingen van deze Overeenkomst, voor de uitvoering van werkzaamheden voor de ontwikkelingsfase van het programma,

  • b) vermeld staan onder het hoofd „Andere Landen” in de tabel van Bijlage B, paragraaf 2, tot het tijdstip waarop daarin op andere wijze is voorzien.

Onder geen enkele omstandigheid mag een onder letter a) van dit artikel bedoelde bilaterale overeenkomst verplichtingen scheppen ten aanzien van de andere Deelnemers aan het Programma.

Niettemin heeft voor de toepassing van het eerste lid van artikel X van deze Overeenkomst een zodanige Lid-Staat dezelfde status als een Deelnemer aan de ontwikkelingsfase van het programma.

Artikel XII

  • 1 De Organisatie, optredend namens de Deelnemers, is de eigenares van de onderdelen van de Ariane drager, van de voor zijn ontwikkeling benodigde installaties en uitrusting en van de binnen het kader van het programma geproduceerde lanceerinstallaties.

  • 2 Deelnemers die eigenaar zijn van installaties die gebruikt kunnen worden ten behoeve van het Ariane programma verbinden zich ertoe deze beschikbaar te stellen voor genoemd programma, op financiële voorwaarden die beperkt zijn tot terugbetaling van de marginale kosten.

  • 3 De elementen, installaties en uitrusting bedoeld in het eerste lid worden beschikbaar gesteld aan de Deelnemers optredend in het kader van hun eigen programma's of in dat van een programma van de Organisatie, voor zover hun gebruik ten dienste van het Ariane programma zulks toelaat. De voor een zodanig gebruik van de Deelnemers verlangde betalingen omvatten geen amortisatie van deze eigendommen. De Programmaraad stelt de daarop betrekking hebbende voorwaarden en bedingen vast.

  • 4 De Organisatie stelt deze eigendommen beschikbaar aan niet in het derde lid van dit artikel genoemde derden, voor zover hun gebruik ten dienste van het Ariane-programma en ten dienste van de eigen behoefte van de Deelnemers zulks toelaat, en op de door de Programmaraad vast te stellen financiële voorwaarden.

  • 5 Inzake overdracht van verworven elementen, installaties en uitrusting wordt beslist door de Programmaraad, in overleg met de Raad van de Organisatie.

Artikel XIII

  • 1 Zodra de Ariane draagraket operationeel is verklaard, wordt hij beschikbaar gesteld aan de Organisatie en de Deelnemers voor hun eigen behoeften, in overeenstemming met een beslissing van de Deelnemers, genomen hetzij door de Programmaraad, hetzij door nieuwe instellingen, opgericht binnen het kader van het in artikel II genoemde Agentschap en in overeenstemming met de bepalingen van de in het eerste lid van artikel V bedoelde nieuwe Overeenkomst. De voor het lanceren benodigde installaties van de Franse Regering worden eveneens beschikbaar gesteld aan de Organisatie en de Deelnemers, overeenkomstig de in het tweede lid van artikel XII vervatte bepalingen.

  • 2 De beslissing over de voorwaarden waarop de vluchteenheden van de Ariane draagraket voor vreedzame doeleinden kunnen worden overgedragen aan derde Staten of aan internationale organisaties, benevens de voorwaarden waarop voor zodanige staten en organisaties lanceringen kunnen worden uitgevoerd, worden genomen met een twee derde meerderheid van de stemmen der Deelnemers, zulks behoudens het bepaalde in de in het eerste lid van artikel V bedoelde nieuwe Overeenkomst.

  • 3 Het bepaalde in het eerste en tweede lid van dit artikel is ook van toepassing op de levering van elementen, secundaire assemblages en samenstellende delen, ontwikkeld voor de ontwikkelingsfase van het programma.

Artikel XIV

  • 1 De Deelnemers stellen de Organisatie schadeloos voor elke verplichting die deze aangaat, indien haar internationale aansprakelijkheid in het geding komt ten gevolge van de uitvoering van de ontwikkelingsfase van het programma.

  • 2 Elke door de Organisatie ten aanzien van de ontwikkelingsfase van het programma ontvangen schadeloosstelling wordt geboekt als inkomsten op de jaarlijkse begrotingen bedoeld in het vierde lid van artikel VI.

Artikel XV

  • 1 Elk geschil dat zich voordoet tussen twee of meer Deelnemers of tussen een van hen en de Organisatie betreffende de uitlegging of toepassing van deze Overeenkomst en dat niet in onderling overleg kan worden geregeld, wordt op verzoek van een der partijen bij het geschil voorgelegd aan een scheidsman, die moet worden benoemd door de President van het Internationaal Gerechtshof. De scheidsman mag geen onderdaan zijn van een Staat die partij is bij het geschil en evenmin permanent in die Staat zijn gevestigd.

  • 2 De Partijen bij de Overeenkomst die geen partij zijn bij het geschil hebben het recht deel te nemen aan de procedure en de beslissing van de scheidsman is bindend voor alle Deelnemers, ongeacht of zij al dan niet aan de procedure hebben deelgenomen.

Artikel XVI

  • 1 Deze Overeenkomst staat van 15 oktober 1973 tot 30 november 1973 open voor ondertekening door de Lid-Staten van de Europese Ruimteconferentie.

  • 2 Staten worden partij bij de Overeenkomst door

    • - hetzij ondertekening zonder voorbehoud van bekrachtiging of goedkeuring,

    • - hetzij nederlegging van een akte van bekrachtiging of goedkeuring bij de Regering van de Franse Republiek, indien de Overeenkomst werd ondertekend onder voorbehoud van bekrachtiging of goedkeuring.

  • 3 Deze Overeenkomst treedt in werking wanneer zij is ondertekend door de Organisatie en wanneer de Staten die te zamen 75 pct. van het totaal van het in paragraaf 2.3. van Bijlage B bedoelde stemgewicht uitbrengen, partij zijn geworden bij deze Overeenkomst overeenkomstig het tweede lid van dit artikel.

  • 4 Voor de toepassing van het derde lid van dit artikel wordt de nederlegging bij de depot-Regering van een verklaring van voorlopige toepassing van de Overeenkomst en tot het zo spoedig mogelijk verkrijgen van bekrachtiging of goedkeuring, beschouwd als de nederlegging van een akte van bekrachtiging of goedkeuring.

  • 5 De Regering van een Lid-Staat van de Organisatie die de Overeenkomst op 30 november 1973 nog niet heeft ondertekend, kan na die datum partij worden, mits de andere Regeringen die partij bij de Overeenkomst zijn daarmede instemmen. In zulk een geval moet de betrokken Regering een akte van toetreding nederleggen bij de Regering van de Franse Republiek; zij kan ook het bepaalde in het vierde lid van dit artikel toepassen, ten einde partij bij deze Overeenkomst te worden.

    De Programmaraad beslist met eenparigheid van stemmen over de aan de toetredende Staat te stellen voorwaarden van deelneming.

Artikel XVII

  • 1 De Regering van een Staat die geen lid is van de Organisatie kan bij de Raad van de Organisatie een verzoek indienen om toetreding tot het programma.

  • 2 De Programmaraad spreekt zich met eenparigheid van stemmen uit over de ontvankelijkheid van het verzoek. Indien het verzoek ontvankelijk is verklaard, wordt het voorgelegd aan de Raad voor een met eenparigheid van stemmen te nemen beslissing. De Programmaraad bepaalt met eenparigheid van stemmen de voorwaarden voor deelneming van de toetredende Staat.

Artikel XVIII

De Deelnemers kunnen met eenparigheid van stemmen besluiten het programma te beëindigen. In een zodanig geval wordt, voor het verwerven van de onderdelen, installaties en uitrusting die voor de uitvoering van de ontwikkelingsfase van dit programma zijn verworven, voorrang verleend aan een Deelnemer, die op zich heeft genomen dit programma of een daarmede verband houdend programma voor eigen rekening voort te zetten.

Artikel XIX

De Organisatie stelt de depot-Regering in kennis van de beëindiging van deze Overeenkomst. Deze Regering geeft daarvan kennis aan de Deelnemers.

Artikel XX

  • 1 Een Deelnemer die zich krachtens het bepaalde in het tweede lid, letter c, van artikel VII uit het programma wenst terug te trekken, stelt de Organisatie hiervan in kennis. De terugtrekking wordt van kracht op de datum van de kennisgeving, zulks onder voorbehoud van de volgende bepalingen:

    • a) de zich terugtrekkende Deelnemer is gehouden op de overeengekomen wijze zijn bijdragen te betalen uit hoofde van de lopende of de voorgaande jaarlijkse begroting (en);

    • b) de zich terugtrekkende Deelnemer blijft gehouden zijn aandeel bij te dragen aan de betalingskredieten, overeenkomend met de goedgekeurde betalingsverplichtingen, aangegaan op grond van de begroting van het lopende of het (de) voorgaande financiële jaar (jaren) en die betrekking hebben op de ontwikkelingsfase;

    • c) de zich terugtrekkende Deelnemer blijft lid van de Programmaraad tot hij aan zijn verplichtingen krachtens de letters a) en b) hierboven heeft voldaan. Hij heeft slechts stemrecht in aangelegenheden die rechtstreeks verband houden met deze verplichtingen.

  • 2 De zich terugtrekkende Deelnemer behoudt de rechten welke hij verwerft voor de datum waarop zijn terugtrekking van kracht wordt. Uit handelingen en ontwikkelingen waartoe wordt besloten na zijn terugtrekking ontstaan geen verdere rechten of verplichtingen ten aanzien van dat deel van het programma waaraan hij niet langer bijdraagt, tenzij en voor zover anders is overeengekomen tussen de overblijvende Deelnemers en de zich terugtrekkende Deelnemer. De bepalingen van artikel XVII van het Verdrag tot oprichting van de Organisatie zijn mutatis mutandis van toepassing.

  • 3 Indien een niet-Lid-Staat die overeenkomstig het bepaalde in artikel XVII tot het programma is toegetreden, zich uit het programma wenst terug te trekken, is het bepaalde in dit artikel mutatis mutandis van toepassing.

Artikel XXII

  • 1 Deze Overeenkomst kan worden gewijzigd op verzoek van een Deelnemer of van de Organisatie. Wijzigingen worden van kracht wanneer alle partijen de depot-Regering van hun goedkeuring in kennis hebben gesteld.

  • 2 De Bijlagen bij deze Overeenkomst kunnen worden gewijzigd door de Programmaraad overeenkomstig de bepalingen vervat in de herzieningsclausule van die Bijlagen.

Artikel XXIII

Zodra deze Overeenkomst in werking is getreden, laat de Regering van de Franse Republiek haar registreren bij het Secretariaat van de Verenigde Naties, zulks overeenkomstig artikel 102 van het Handvest der Verenigde Naties.

Artikel XXIV

De Regering van de Franse Republiek treedt op als depositaris van deze Overeenkomst en stelt de Deelnemers en de Organisatie in kennis van de datum van inwerkingtreding van de Overeenkomst en van wijzigingen daarvan en van de nederlegging van alle akten van bekrachtiging, goedkeuring en toetreding en van verklaringen tot voorlopige toepassing van de Overeenkomst.

TEN BLIJKE WAARVAN de ondergetekende vertegenwoordigers, hiertoe behoorlijk gemachtigd, deze Overeenkomst hebben ondertekend.

GEDAAN te Neuilly-sur-Seine, 21 september 1973, in de Engelse, de Franse en de Duitse taal, zijnde de drie teksten gelijkelijk gezaghebbend, in een enkel exemplaar, dat zal worden nedergelegd in de archieven van de Regering van de Franse Republiek, die voor eensluidend gewaarmerkte afschriften daarvan zal doen toekomen aan elk van de Deelnemers en aan de Organisatie.

Bijlage A. bij de Overeenkomst tussen bepaalde Europese Regeringen en de Europese Organisatie voor Ruimteonderzoek betreffende de uitvoering van het Ariane draagraketprogramma

1. Doelen van het programma

Het Ariane-programma omvat twee belangrijke doeleinden:

  • 1.1 Het eerste doel is Europa aan het begin van de tachtiger jaren een eigen vermogen te verschaffen voor het in een omloopbaan brengen van geostationaire satellieten, ontwikkeld binnen het kader van de Organisatie of van dat der Europese Staten.

    De Ariane draagraket zal in staat zijn nuttige ladingen in de orde van grootte van 1500 kg in een overgangsbaan te brengen, zodat het mogelijk wordt met gebruikmaking van een geschikte apogeummotor satellieten in de orde van grootte van 750 kg in een geostationaire baan te brengen. Het programma is gericht op een potentieel afzetgebied, in hoofdzaak vertegenwoordigd door 35 tot 50 van deze geostationaire satellieten van tussen de 400 en 700 tot 800 kg, die op grond van Europese onderzoekingen voor het eerstvolgende decennium worden voorzien: Europese satellieten, Europese satellieten die deel uitmaken van een wereldomvattend stelsel, en satellieten voor gebruik door derden. Indien het in paragraaf 1.2 genoemde doel wordt bereikt, is de Ariane draagraket bestemd voor het lanceren van in het kader van de Organisatie of van dat van de Lid-Staten ontwikkelde satellieten en waarvan de lancering moet plaatsvinden na 1 november 1980.

  • 1.2 Het tweede doel is een beschrijving op te stellen van de draagraket en zijn produktie zodanig te organiseren, dat zulks tegen een concurrerende kostprijs geschiedt.

    De produktiekosten van de draagraket worden geraamd op 51 miljoen Franse frank (exclusief belastingen, tegen de op 1 januari 1973 geldende prijzen), aangenomen dat per jaar twee lanceringen plaatsvinden en een redelijk aantal orders op langere termijn aanwezig is. Bij dit bedrag komen nog de vervoerskosten naar Guyana van de voortstuwingsbrandstoffen en van de lanceringsploeg, geraamd op een bedrag van 12 miljoen Franse frank, berekend op dezelfde wijze als hierboven. Het aandeel der kosten voor het in stand houden van het Guyanese Ruimtecentrum in het totaal der kosten van de lancering van een draagraket, die in meerdering kunnen komen van het bedrag der hierboven genoemde kosten, zal het onderwerp vormen van een afzonderlijke overeenkomst.

2. Beschrijving van de drager

De Ariane draagraket is een drietrapsraket. Hij is 47,6 meter hoog en weegt bij de lancering 202 metrieke ton.

De eerste trap. „L 140”, met een middellijn van 3,8 meter, bevat 140 metrieke ton voortstuwingsbrandstoffen (N2O4 en UDMH - asymmetrisch dimethylhidrazine), opgeslagen in twee gescheiden identieke tanks, onder druk gebracht door middel van uit de motoren afkomstige hete gassen. Zij zijn van staal, terwijl de verbindingsstukken zijn vervaardigd uit een lichte alliage. De trap wordt voortgestuwd door vier „Viking-2” motoren, voorzien van turbinepompen en een filmgekoelde enkelwandige straalbuis. De totale stuwkracht bij lancering is 240 metrieke ton en de verbrandingstijd 150 seconden.

De tweede trap, „L 33”, met een middellijn van 2,6 meter, vervoert 33 metrieke ton van dezelfde voortstuwingsbrandstoffen in twee tanks van een lichte alliage met een gemeenschappelijk tussenschot. De voortstuwingsbrandstoffen worden onder druk gebracht door middel van onder hoge druk opgeslagen helium. De trap is uitgerust met een „Viking-4” motor, die is afgeleid van het „Viking-2” model door de straalbuis geschikt te maken voor het functioneren in het luchtledige.

De derde trap, „H 8”, met dezelfde middellijn als de „L 33”, vervoert 8 metrieke ton vloeibare waterstof en vloeibare zuurstof in twee tanks met een gemeenschappelijk tussenschot, die tegen hitte beschermd zijn door aan de buitenzijde aangebracht isolatiemateriaal. Deze tanks zijn van een lichte alliage, speciaal gekozen om haar gedraging tijdens lage temperaturen. Hetzelfde materiaal werd gekozen voor de „L 33”, waarvan de tanks nagenoeg dezelfde afmetingen hebben.

Deze tanks staan onder druk. De trap wordt voortgestuwd door een „HM7” motor met een stuwkracht van 6 metrieke ton.

De scheiding van de trappen geschiedt door middel van explosieve slagkoorden en de trappen worden van elkaar gedrukt door remraketten (laagste trap) en versnellingsraketten (hoogste trap).

Het boven de derde trap aangebrachte instrumentarium verricht, met behulp van een computer, de centrale functies van zelfbesturing, richtingbepaling en fasering.

Daar bevindt zich ook het instrumentarium voor de verremeting, de afstandsbesturing, de baanbeschrijving en de zelfvernietiging, alsmede het traagheidsgeleidingsmechanisme.

De beschermkap is bolvormig om ruimte te kunnen bieden aan de te verwachten satellieten. Hij laat een nuttige lading met een middellijn van 3 meter en een hoogte van 4 meter toe.

Het in een baan om de aarde brengen geschiedt rechtstreeks, dus zonder een voorafgaande kogelbaan, op een hoogte van 200 km.

3. Ontwikkelingsfase

De ontwikkelingsfase bestaat uit een definitie-fase en daarna de eigenlijke ontwikkeling.

  • 3.1 Definitie-fase

    Deze fase ving aan op 1 juli 1973 en dient te zijn voltooid op 31 december 1973. Het eerste kwartaal van deze fase is gewijd aan gedetailleerde studies van het systeem en zijn samenstellende delen, benevens aan de ontwikkeling van gedetailleerde delen, voor het beheer van het programma. De daartoe dienende algemene documentatie behelst voornamelijk:

    • - een document ter vaststelling van de industriële organisatie;

    • - een document ter vaststelling van de procedure voor het toezicht op de contracten en subcontracten van het project (regels voor het opstellen van de technische clausules en het technische organisatieschema, procedures voor het toezicht op de kosten en op de termijnen);

    • - een document ter vaststelling van de procedure voor het beheer van de configuratie van de draagraket (regels voor het opstellen en bijhouden van de gedetailleerde technische specificaties van de draagraket en zijn onderdelen);

    • - een document ter vaststelling van de procedure voor het opstellen en de controle van de technische documentatie en het vaststellen van de ontwikkelingsfasen, alsook de herzieningen van het ontwerp van de draagraket;

    • - een document ter vaststelling van de controleprocedure op het produkt (kwaliteits- en betrouwbaarheidszorg van de draagraket)

    • - de technische beschrijvingen zelf.

    Dit gedeelte van de werkzaamheden zal op 1 oktober 1973 door het CNES worden bezien en goedgekeurd. Het tweede kwartaal van de ontwikkelingsfase is in hoofdzaak gewijd aan de onderhandelingen over ontwikkelingscontracten en de definitieve keuze van de contractanten. Gelijktijdig met deze activiteiten wordt een aantal taken uitgevoerd die verband houden met de voorontwikkeling van of de investeringen in van doorslaggevend belang zijnde onderdelen van de ontwikkelingsfase.

  • 3.2 Ontwikkeling

    Voor de ontwikkeling is een tijdsduur berekend van zeven jaar, verdeeld over drie perioden:

    • - een periode van ongeveer drie jaar voor de ontwikkeling en de beproeving en goedkeuring van onderdelen van de trappen (motoren, structuur en uitrusting). Deze periode omvat tevens de bouw van de belangrijkste installaties waarin geïnvesteerd moet worden (testplaatsen voor trappen, gebouwen voor de integratie van de draagraket en de lanceerbasis) alsook de uitvoering van dynamische beproevingen van de draagraket,

    • - een periode van ongeveer anderhalf jaar, bestemd voor de ontwikkeling en de geschiktheidsbeproeving van de trappen, alsook van de beproevingen ter goedkeuring van de installaties voor integratie van de draagraket en voor het lanceren.

    • - een periode van vluchtbeproevingen van twee en een half jaar omvattende de voorbereiding en uitvoering van vier proefvluchten met de draagraket, bestaande uit twee lanceringen ten behoeve van de ontwikkeling en twee ten behoeve van de beproeving ter goedkeuring.

    De bovengenoemde vier perioden zijn vastgesteld in de vooronderstelling dat deze Overeenkomst uiterlijk op 30 november 1973 in werking treedt en dat de financiering geschiedt overeenkomstig de in Bijlage B aangegeven voorwaarden.

  • 3.3 Nuttige lading

    De Deelnemers hebben een optie bij de financiering van de ontwikkeling van de nuttige lading, bestemd voor de proefvluchten van de draagraket.

4. Produktiefase

De produktiefase van de draagraket dient een aanvang te nemen tweeëneenhalf jaar voor het begin van de fase van operationeel gebruik van het voertuig, dat wil zeggen omstreeks medio 1978. De groepering van de orders en de bepaling van de tijdstippen der lanceringen vormen beslissende factoren voor de kosten en de kwaliteit van de draagraket. De produktiefase wordt tot in bijzonderheden bepaald in de in het eerste lid van artikel V van deze Overeenkomst genoemde nieuwe Overeenkomst.

5. Herzieningsclausules

De bepalingen van deze Bijlage kunnen worden herzien bij een met eenparigheid van stemmen genomen besluit van de Programmaraad.

Bijlage B. bij de Overeenkomst tussen bepaalde Europese Regeringen en de Europese Organisatie voor Ruimteonderzoek betreffende de uitvoering van het Ariane draagraketprogramma

    Iedere Deelnemer draagt in zijn nationale munteenheid bij aan de directe uitgaven van de ontwikkelingsfase van het programma voor de in kolom (2) van bovenstaande tabel genoemde bedragen. De bijkomende uitgaven, waartoe de Deelnemers zijn gehouden bij te dragen in hun nationale munteenheid ingeval van toepassing van het tweede lid, letter (a) van artikel VII, zijn vermeld in kolom (6) van bovenstaande tabel.

    Iedere Deelnemer draagt voor de in bovenstaande tabel in rekeneenheden uitgedrukte bedragen bij aan de interne uitgaven van de Organisatie en aan de uitgaven met betrekking tot de installaties volgens de in de Organisatie van kracht zijnde omslagen en procedures.

  • 2.2 Vervaldata van de rechtstreekse uitgaven met betrekking tot de ontwikkelingsfase van het programma

    Het schema van de vastleggings- en betalingskredieten, gebaseerd op een aanvangsdatum van 1 juli 1973 voor de ontwikkelingsfase van het programma luidt als volgt:

  • 2.4 Herziening van de bijdragen

    Ten einde rekening te houden met veranderingen in het prijspeil, worden de bijdragen in de directe uitgaven jaarlijks aan een herziening onderworpen door toepassing op het nog af te roepen bedrag van het percentage van de in de loop van de voorafgaande twaalf maanden in het desbetreffende land ontstane wijzigingen in het prijspeil. De eerste herziening van het bedrag der directe uitgaven wordt verricht op basis van het prijspeil dat op 30 juni 1973 gold. De bijdragen aan de interne uitgaven van de Organisatie en aan de onderhoudskosten van de installaties worden herzien overeenkomstig de in de Organisatie van kracht zijnde regelingen.

    Als uitzondering op bovenstaande regeling:

    • a) worden de bijdragen van de Bondsrepubliek Duitsland aan de ontwikkelingsfase van het programma aan een enkele herziening onderworpen door op het per 1 januari 1978 nog uitstaande bedrag het percentage toe te passen de wijzigingen in het prijspeil in de Bondsrepubliek Duitsland gedurende de vier voorafgaande jaren, overeenkomstig de regelingen van de Organisatie;

    • b) worden de bijdragen van de Italiaanse Republiek aan de ontwikkelingsfase van het programma aan een enkele herziening onderworpen door op het per 1 januari 1978 nog uitstaande bedrag het percentage toe te passen van de wijzigingen in het prijspeil in Italië sinds 1 januari 1973, overeenkomstig de regelingen van de Organisatie.

  • 2.5 Wijze van betaling der bijdragen

    Onverminderd het hieronder bepaalde draagt iedere Deelnemer jaarlijks bij aan de uitgaven voortvloeiende uit de uitvoering van de ontwikkelingsfase van het programma krachtens de bepalingen van deze Overeenkomst en overeenkomstig zijn toezeggingen zoals die in bovenstaande tabellen zijn vermeld. Het bedrag van de verplichting van iedere Deelnemer met betrekking tot de directe uitgaven ten behoeve van de ontwikkelingsfase, uitgedrukt in zijn nationale munteenheid, wordt niet aangetast door mogelijke veranderingen in de wisselkoers tijdens de duur van het programma. Iedere Deelnemer kan worden gevraagd zijn bijdragen aan de geplande uitgaven vooraf aan de Organisatie beschikbaar te stellen. Het aldus beschikbaar gestelde bedrag wordt gestort op een ten voordele van het programma rente dragende rekening.

    Het bedrag van de door iedere Deelnemer aangegane verplichting ten aanzien van de in de paragrafen 1 (b) en (c) van deze Bijlage bedoelde uitgaven, uitgedrukt in rekeneenheden, wordt beheerst door de regelingen van de Organisatie ter zake van wijzigingen in de wisselkoersen van de munteenheden der Deelnemers.

    De Bondsrepubliek Duitsland verbindt zich ertoe, gedurende 8 jaren, op 10 januari van elk jaar, te beginnen op 10 januari 1974, een vaste bijdrage van 40 miljoen DM ter beschikking te stellen. Deze bijdrage wordt onderworpen aan een enkele herziening krachtens het bepaalde in paragraaf 2.4 hierboven.

    Ingeval het in paragraaf 1 (d) van deze Bijlage bedoelde bedrag nog niet ten volle voor het programma wordt vereist, wordt een evenredig deel van haar bijdrage in het niet uitgegeven saldo hetzij terugbetaald aan de Bondsrepubliek hetzij in mindering gebracht op haar voor het jaar 1981 verschuldigde bijdrage.

    De Italiaanse Republiek verbindt zich ertoe op 10 januari van elk jaar, te beginnen op 10 januari 1975, voor de duur van het programma, een vast bedrag te betalen van 5000 miljoen lire, niet herzienbaar, behalve op de wijze als bepaald in paragraaf 2.4 hierboven. Dit bedrag wordt als volgt betaald:

    Ingeval het in paragraaf 1 (d) van deze Bijlage bedoelde bedrag nog niet ten volle voor het programma wordt vereist, wordt een evenredig deel van haar bijdrage in het niet uitgegeven saldo hetzij terugbetaald aan de Italiaanse Republiek, hetzij in mindering gebracht op haar voor het jaar 1981 verschuldigde bijdrage.

    De bijdragen worden geïnd door de Organisatie overeenkomstig haar gewone voorschriften. De Organisatie stelt te zamen met het CNES de procedure vast volgens welke de voor de uitvoering van het programma benodigde gelden worden overgedragen.

    Indien de gelden niet op de in deze paragraaf aangegeven voorwaarden ter beschikking van het CNES worden gesteld wegens het in gebreke blijven van een Deelnemer, draagt de laatstbedoelde de hieruit voortvloeiende lasten overeenkomstig de regelingen van de Organisatie.

3. Verslagen van de Organisatie inzake de financiële situatie en het sluiten van contracten

De Directeur-Generaal van de Organisatie neemt in overleg met het CNES de nodige maatregelen omtrent de voorlegging van verslagen inzake de voortgang, de geografische werkverdeling, de afroeping van bijdragen, de driemaandelijkse en jaarlijkse afrekeningen en de meest recente ramingen van de kosten tot en met de voltooiing van het programma.

4. In acht te nemen financiële voorschriften

De Directeur-Generaal van de Organisatie legt aan de Programmaraad een jaarlijkse begroting voor, in het bijzonder opgesteld aan de hand van door het CNES verschafte gegevens omtrent de directe uitgaven. De ontwerp-begroting omvat de globale bedragen voor de vastleggings- en betalingskredieten die door de Programmaraad moeten worden goedgekeurd voor het begin van het boekjaar. De gedetailleerde gegevens over de begroting dienen te worden verschaft in een afzonderlijk financieringsplan.

5. Herzieningsclausules

De bepalingen in de eerste en de tweede paragraaf van deze Bijlage kunnen worden herzien bij een met eenparigheid van stemmen genomen besluit van de Programmaraad. De bepalingen van de derde en vierde paragraaf van deze Bijlage kunnen worden herzien door de Programmaraad bij een met een twee derde meerderheid der uitgebrachte stemmen genomen besluit, mits die stemmen ten minste twee derde van het in paragraaf 2.3 bedoelde stemgewicht vertegenwoordigen.
