Film Co-Production Agreement between the Government of the Kingdom of the Netherlands and the Government of the People’s Republic of China

The Government of the Kingdom of the Netherlands

and

the Government of the People’s Republic of China (“the Contracting Parties”);

Considering that the film industries of the two countries will benefit from closer mutual co-operation in the production of films;

Seeking to build on and expand cooperation between the two countries in the area of film;

Desirous of enhancing and facilitating the co-production of films which may be conducive to the film industries of both countries and to the development of their cultural and economic exchanges;

Convinced that these exchanges will contribute to the enhancement of relations between the two countries;

Have agreed as follows:

Article 1. Definitions

  • 1.1 For the purposes of this Agreement:

    • a. “Co-producer” means film production companies or producers of China or film production companies or producers of the Netherlands involved in the making of a co-production film, or, in relation to third-party co-productions under Article 6, includes co-producers which are not Nationals of either China or the Netherlands.

    • b. “Co-production Film” is a film made by one or more Chinese producers (“the Chinese co-producer”) in conjunction with one or more producers from the Netherlands (“the Netherlands co-producer”) through joint investment and copyright, and includes a film to which Article 6 applies. A Co-production Film has a minimum creative and financial contribution from each co-producer, as set out in the Annex.

    • c. “Film” means an aggregate of images, or of images and sounds, embodied in any material, including but not limited to fiction films, documentaries and animation films, and which are primarily intended for theatrical release, television, mobile phones and on/line platforms. “Film” also includes a film of a like nature to a feature film made for television (“telemovies”).

    • d. “Nationals” means:

      • i. in relation to China, citizens and legal persons of China;

      • ii. in relation to the Netherlands, any individual possessing Dutch nationality;

    • e. “Residents” means:

      • i. in relation to China, natural persons which are long-term or permanent Residents of China;

      • ii. in relation to the Netherlands, persons who do not possess Dutch nationality but are permanent Residents of the Netherlands.

    • f. “Competent Authorities” means the authorities designated as such by the Contracting Parties as set out in the Annex.

Article 2. Recognition as a National Film and Entitlement to Benefits

  • 2.1 A Co-production Film shall be entitled to the full enjoyment of all the benefits which are or may be accorded in China and the Netherlands respectively to national films subject to the laws and/or regulations in force from time to time in each country. These benefits accrue solely to the co-producer of the country that grants them.

  • 2.2 The benefits referred to in paragraph (2.1) of this Article include, in particular:

    • a. the lifting of any quota restrictions that would otherwise apply to the import, distribution or exhibition of the film, and

    • b. access to any special import arrangements, agreed between a Party and a third country which operates import quota restrictions, for the import of domestic films of that Party.

Article 3. Competent Authorities

  • 3.1 The Competent Authority of each Contracting Party shall be set out in the Annex to this Agreement. Notwithstanding Article 14, if a Contracting Party wishes to designate another authority as its Competent Authority, that Contracting Party shall notify the other Contracting Party in advance in writing through diplomatic channels of such changes.

Article 4. Approval of Projects

  • 4.1 Co-production Films must receive provisional approval from the respective Competent Authorities before they are put into production. It is the responsibility of the co-producers to provide any documentation required by the Competent Authorities to enable the Competent Authorities to complete their provisional approval processes.

  • 4.2 Co-production Films must be made in accordance with the terms of the provisional approval which has been given by the Competent Authorities.

  • 4.3 Upon completion of production, it is the responsibility of the co-producers to submit to the Competent Authorities the completed Co-production Film (and any documentation required by the Competent Authorities) to enable the Competent Authorities to complete their final approval processes before the Co-production Film receives the benefits of final approval, pursuant to Article 2.1.

  • 4.4 In determining both provisional and final approval, the Competent Authorities shall apply the Annex to this Agreement to Co-production Films.

  • 4.5 The Competent Authorities shall consult with each other to enable them to determine whether a project conforms with the provisions of this Agreement. Each Competent Authority, in deciding whether to grant or refuse provisional or final approval, shall apply its own policies and guidelines.

  • 4.6 When approving a Co-production Film, each Competent Authority may stipulate conditions of approval framed in order to achieve the general aims and objectives of this Agreement. In the event of a disagreement between the Competent Authorities about the giving of such an approval or the inclusion of such a condition, the project concerned shall not be approved under this Agreement.

  • 4.7 In relation to China, a Co-production Film will be recognized as having completed the provisional approval process once the Chinese Competent Authority has granted it “Project Establishment” status. A Co-production Film will be recognized as having completed the final approval process once the Chinese Competent Authority has granted it the “Film Public Screening Permit”.

  • 4.8 In relation to the Netherlands, a Co-production Film will be recognized as having completed the provisional approval process once the Netherlands Competent Authority provides written notification to the Netherlands co-producer that provisional approval has been granted. A Co-production Film will be recognized as having completed the final approval process once the Netherlands Competent Authority provides written notification to the Netherlands co-producer that final approval has been granted.

Article 5. Requirements on Co-production Companies/Individuals

  • 5.1 Production companies involved in a Co-production Film must be registered in accordance with the laws and regulations of the relevant Contracting Party. In addition, individual producers, production companies and studios must obtain any permit which is required by the Competent Authorities.

  • 5.2 Co-production Films must be undertaken by film producers whose technical and financial capacity and professional experience satisfy the requirements of the respective Competent Authorities’ approval processes.

Article 6. Co-productions with Third-parties

  • 6.1 With joint approval by the competent authorities, any third party co-producer may participate in co-producing a Co-production Film under this Agreement.

Article 7. Application for Co-production Status

  • 7.1 The Chinese co-producer is responsible for applying for co-production status in China and doing all that is necessary to ensure the Co-production Film complies with the requirements of both the Chinese Competent Authority and the Chinese handling organization for granting co-production status.

  • 7.2 The Netherlands co-producer is responsible for applying for co-production status in the Netherlands and doing all that is necessary to ensure the Co-production Film complies with the requirements of the Netherlands Competent Authority for granting co-production status.

  • 7.3 Any third party co-producer shall fulfill all conditions relating to the co-production status which would be required to be fulfilled to produce a film under the terms of the film co-production treaty in force between that co-producer’s territory and either China or the Netherlands.

Article 8. Import of Equipment

  • 8.1 Each of the Contracting Parties shall provide, in accordance with their respective legislation, temporary admission, free of import duties and taxes, of cinematographic equipment for the making of Co-production Films.

Article 9. Immigration Facilitation

  • 9.1 Each of the Contracting Parties shall permit the personnel of the other country who conform with Article 1-1 (d) and (e) and citizens of the territory of any third party co-producer to enter and remain in China or the Netherlands as the case may be, for the purpose of making or exploiting a Co-production Film, subject to the requirement that they comply with the relevant laws in the respective territories relating to entry and stay including return.

Article 10. Respect for Laws and Cultural Practices

  • 10.1 The production crews from both Contracting Parties shall respect the constitution, laws and regulations, ethnic cultures, religious beliefs and local customs and conventions of the country where location shooting takes place.

Article 11. Permission to Exhibit Publicly

  • 11.1 The approval of a Co-production Film by the Competent Authorities shall not bind the relevant authorities in either Contracting Party to permit the public exhibition of the resulting film in their country.

Article 12. International Film Festivals

  • 12.1 The majority co-producer enjoys first option to send a Co-production Film to film festivals. If both co-producers approve, either one may send a Co-production Film to international film festivals provided that the respective Competent Authorities have been informed of this intention 30 days before the event starts.

Article 13. Exchange of Films

  • 13.1 The Competent Authorities encourage the film organizations and individuals of the two countries to exchange and cooperate with each other, including importation and exhibition of each other’s films, and location shooting and production in each other’s territory.

Article 14. Status of Annex

  • 14.1 The Annex to this Agreement forms an integral part of this Agreement, implementing this Agreement.

  • 14.2 Subject to Article 3.1 and notwithstanding Article 15.2, any modifications to the Annex shall be jointly agreed by the Competent Authorities. No modification to the Annex shall conflict with the provisions of this Agreement.

  • 14.3 Modifications to the Annex shall be confirmed by diplomatic notes and shall take effect on the date specified in such diplomatic note.

Article 15. Amendment and Review

  • 15.1 The Competent Authorities of both Contracting Parties shall supervise and review the working of this Agreement, strive to resolve any difficulties in its implementation, and make any proposals considered necessary for any modification of this Agreement.

  • 15.2 The Contracting Parties may amend this Agreement by mutual consent. Any such amendments shall enter into force in accordance with the terms specified in Article 16.1.

Article 16. Entry into Force

  • 16.1 This Agreement shall enter into force once the Contracting Parties have, through diplomatic channel, notified each other that their respective domestic requirements for entry into force have been completed. This Agreement shall enter into force on the thirtieth day after the receipt of the latter date of these two notifications.

  • 16.2 Regarding the Kingdom of the Netherlands, this Agreement shall apply to the European part of the Netherlands only.

Article 17. International Obligations

  • 17.1 The provisions of this Agreement are without prejudice to other international obligations of the Contracting Parties, including the obligations of the Government of the Kingdom of the Netherlands arising from the European Union Law.

Article 18. Duration and Termination

  • 18.1 This Agreement shall remain in force for a period of four years.

  • 18.2 Either Contracting Party may terminate this Agreement by giving six months’ written notice to the other Contracting Party.

  • 18.3 If no written notice is given by either Contracting Party six months before the expiration date, this Agreement shall be automatically extended for a further period of four years, and shall thereafter be renewable for similar periods accordingly.

  • 18.4 A film made in accordance with an approval by the Competent Authorities under this Agreement but completed after the termination of this Agreement shall be treated as a co-production film and its co-producers shall accordingly be entitled to all the benefits of this Agreement.

IN WITNESS WHEREOF the undersigned, duly authorized thereto, have signed this Agreement.

DONE at Beijing, on 26 October 2015, in duplicate in the Dutch, Chinese and English languages, all texts being equally authentic. In case of divergence in interpretation, the English text shall prevail.

Annex Implementing Arrangement to the Film Co-Production Agreement between the Government of the Kingdom of the Netherlands and the Government of the People’s Republic of China

A. Competent Authorities

The Competent Authorities for the Film Co-production Agreement (“the Agreement”) between the government of the People’s Republic of China and the government of the Kingdom of the Netherlands are as follows:

  • 1. The Chinese Competent Authority is the Film Bureau under the State Administration of Press, Publication, Radio, Film and Television.

    The Chinese Competent Authority designates the China Film Co-production Corporation as the Chinese handling organization through which co-production films are assessed for co-production status.

  • 2. The Netherlands Competent Authority is the Ministry of OCW (Ministry of Education, Culture and Science), having designated the Netherlands Film Fund as the Dutch handling organization.

B. Rules Applying to Co-Production Films

The following rules of this Annex apply to Co-production Films under the Agreement:

  • 1. Application for benefits under the Agreement for any co-production must be made simultaneously to both authorities at least thirty (30) days before shooting begins. The authorities will provide the applicant no later than five (5) working days before shooting with a statement of their decision. Documentation submitted in support of an application shall consist of the following items, drafted in Chinese and/or Dutch and English, as requested by the respective Competent Authorities:

    • a. The final script;

    • b. A document providing proof that the copyright for the production has been legally acquired;

    • c. A copy of the co-production contract signed by the two co-producers.

      The contract shall include in any case:

      • i. The title of the Co-Production;

      • ii. The name of the producer, author of the script or that of the adaptor if it is drawn from a literary source;

      • iii. The name of the director (a substitution clause permitted to provide for his/her replacement if necessary);

      • iv. The budget, including the financing plan;

      • v. International distribution estimates;

      • vi. The respective shares of the co-producers in any over or under expenditure, which shares shall in principle be in proportion to their respective contributions, although the minority co-producer’s share in any over expenditure may be limited to a lower percentage or to a fixed amount providing that the minimum proportion permitted under section B.8 of this Annex is respected;

      • vii. A clause recognizing that admission to benefits under the Agreement does not bind the Competent Authorities in either country to permit public exhibition of the Co-Production;

      • viii. The period when shooting is to begin;

      • ix. A clause stipulating that the majority co-producer shall take out insurance policy covering at least “all production risks” and “all original material production risks”;

    • d. The distribution contract, where this has already been signed;

    • e. A list of the creative and technical personnel indicating nationalities and role, and in the case of performers, the roles they are to play;

    • f. The production schedule;

    • g. The detailed budget, identifying the expenses to be incurred in each country by each producer;

    • h. The synopsis.

    The Competent Authorities of the two countries can demand any further documents and all other additional information deemed necessary.

    Amendments, including the replacement of a co-producer, may be made in the original contract but they must be submitted for approval by the Competent Authorities of both countries before the Co-Production is finished. The replacement of a co-producer may be allowed only in exceptional cases and for reasons satisfactory to both the Competent Authorities.

    The Competent Authorities will keep each other informed of their decisions as set out under 1.

  • 2. The contract or contracts governing the making of the Co-production Films will provide that a co-producer may assign or dispose of the benefits referred to in Article 2 of the Agreement only to a Co-producer who is a National or Resident of or established in that co-producer’s country.

  • 3. The Competent Authorities will satisfy themselves that conditions of work in the making of Co-production Films under the Agreement in each of the countries of the participating co-producers are in broad terms comparable and that in the event that location shooting of the film takes place in a country other than that of a co-producer, conditions will be, in broad terms, no less favorable.

  • 4. None of the co-producers will be linked by common management, ownership or control, save to the extent that it is inherent in the making of the Co-production Film itself.

  • 5. Co-production Films will be made and processed up to the creation of the first release print in China or the Netherlands, and when there is a third party co-producer, in that co-producer’s territory. Re-voicing of co-production films may be carried out in China or the Netherlands, and when there is a third party co-producer, in that co-producer’s territory.

    The majority of this work will normally be carried out in the country of the co-producer which has the major financial participation but the Competent Authorities may mutually approve other arrangements. The Competent Authorities may also mutually approve location filming in a country other than the countries of the participating co-producers.

  • 6. Individuals participating in the making of Co-production Films, i.e. the main cast and crew, will be Nationals or Residents of China or the Netherlands or of a member state of the European Union or the European Economic Area, or, where there is a third party co-producer, citizens of that co-producer’s territory.

    In circumstances, where script or financing dictates, personnel (cast or crew) from other countries may be engaged. The engagement of such personnel will be in accordance with the applicable laws and regulations of the Contracting Parties.

    Where the competent authorities have approved location filming in a country other than that of the participating co-producers, citizens of that country may be employed as crowd artists, in small roles, or as additional employees whose services are necessary for the location work to be undertaken.

  • 7. The performing, technical and craft contribution (being the “creative” contribution) and the financial contribution of each co-producer will be agreed by the co-producers, provided that the performing, technical and craft contribution of each co-producer to a Co-production Film will be in reasonable proportion to each of the co-producer’s financial participation. When assessing the financial contribution of each co-producer, the Competent Authorities may mutually approve “in kind” contribution (including, but not limited to, the provision of studio facilities) as part of the financial contribution. The Competent Authorities encourage the exchange of industry personnel and students.

  • 8. Each co-producer will have a financial and creative contribution of not less than twenty per cent (20%) of the total financial and creative contribution for the Co-production Film, and not more than eighty per cent (80%) of the total. In circumstances, the Competent Authorities may agree to different limits, but subject to new minimum and maximum limits of 10% and 90%, respectively.

  • 9. Any music specially composed for a Co-production Film will, subject to any departure from this rule which is approved by the Competent Authorities, be composed by Nationals or Residents of China, the Netherlands or of a member state of the European Union or, where there is a third party co-producer, by citizens of that co-producer’s territory. The engagement of such personnel will be in accordance with the laws and regulations of the Contracting Parties.

    In circumstances, where script or financing dictates, music composers from other countries may be engaged. The engagement of such personnel will be in accordance with the applicable laws and regulations of the Contracting Parties.

  • 10. At least ninety per cent (90%) of the footage included in a Co-production Film will, subject to any departure from this rule which is mutually approved by the competent authorities, be especially shot for that film.

  • 11. The contracts between the co-producers shall:

    • a. provide that a sufficient number of copies of the final protection and reproduction material used in the production be made for all the co-producers. Each co-producer will be the owner of a copy of the protection and reproduction material and will be entitled to use it to make the necessary reproductions. Moreover, each co-producer will have access to the original production material in accordance with the conditions agreed upon between the co-producers which at least will contain a clause stating that each co-producer is co-holder of the tangible elements of the film and guarantee that all materials are copyright protected and that any exploitation can only be conducted with agreement of both co-producers;

      The material should be registered to the joint names of the co-producers in a jointly agreed upon laboratory to which each co-producer should have access.

    • b. set out the financial liability of each co-producer for costs incurred:

      • i. in preparing a project which is refused conditional approval as Co-production Film by the Competent Authorities;

      • ii. in making a film which has been given such conditional approval and fails to comply with the conditions of such approval; or

      • iii. in making an approved Co-production Film, permission for whose public exhibition is withheld in any of the countries of the co-producers;

    • c. set out the arrangements regarding the division between the co-producers of the revenues from the exploitation of the film, including those from export markets; the sharing of revenues should, in principle, be proportional to the total contribution of each of the co-producers and shall be subject to approval by the Competent Authorities of both countries. This sharing consists of either a sharing of revenues or a sharing of markets or a combination of both formulas.

    • d. specify the dates by which their respective contributions to the production of that film will have been completed.

  • 12. Each Co-production Film will include either a separate credit title indicating that the film is either a “Chinese-the Netherlands Co-production” or a “the Netherlands-Chinese Co-production”, or where relevant, a credit which reflects the participation of China, the Netherlands and the territory of the third party co-producer and will carry the logos of the Competent Authorities.

  • 13. Over each period of four years commencing on the date that the Agreement enters into force, an overriding aim of the Agreement, monitored by the Competent Authorities, will be to ensure that an overall balance is achieved as regards:

    • a. the contribution of each country to the production costs of all Co-production Films;

    • b. the usage of studios and laboratories;

    • c. the employment of all performing, craft and technical personnel; and

    • d. the participation in each of the major performing, craft and technical categories and in particular, that of the writer, director and lead cast.

  • 14. The Competent Authorities will inform each other of new Agreements set up with other countries, in order to increase the effectiveness of the Agreement.

Verdrag inzake de coproductie van films tussen de Regering van het Koninkrijk der Nederlanden en de Regering van de Volksrepubliek China

de Regering van de Volksrepubliek China („de verdragsluitende partijen”);

Overwegende dat de filmindustrie van beide landen baat heeft bij nauwere wederzijdse samenwerking bij de productie van films;

Ernaar strevend voort te bouwen op de samenwerking op filmgebied tussen beide landen en deze uit te breiden;

Geleid door de wens de coproductie van films te versterken en te faciliteren, hetgeen bevorderlijk kan zijn voor de filmindustrie van beide landen en voor de ontwikkeling van hun culturele en economische uitwisselingen;

Ervan overtuigd dat deze uitwisselingen bijdragen aan het verbeteren van de betrekkingen tussen beide landen;

Zijn het volgende overeengekomen:

Artikel 1. Begripsomschrijvingen

  • 1.1 Voor de toepassing van dit Verdrag:

    • a. betekent „coproducent” filmproductiebedrijven of producenten uit China of filmproductiebedrijven of producenten uit Nederland die betrokken zijn bij het maken van een gecoproduceerde film, of omvat, met betrekking tot met derden gecoproduceerde films ingevolge artikel 6, coproducenten die geen onderdanen van China of Nederland zijn;

    • b. is een „gecoproduceerde film” een film die door één of meer producenten uit China („de Chinese coproducent”) in samenwerking met één of meer producenten uit Nederland („de Nederlandse coproducent”) is gemaakt door middel van een gezamenlijke investering en gezamenlijk copyright, en omvat een film waarop artikel 6 van toepassing is. Een gecoproduceerde film bevat een minimale creatieve en financiële bijdrage van elke coproducent, zoals vervat in de Bijlage;

    • c. betekent „film” een samenstelling van beelden of van beelden en geluiden, die op een drager zijn vastgelegd, met inbegrip van, maar niet beperkt tot, speelfilms, documentaires en animatiefilms, en die voornamelijk bedoeld zijn voor theatrale vertoning en op televisie, mobiele telefoons en online platforms. Onder „film” wordt mede verstaan een met een speelfilm gelijk te stellen film die voor televisie is gemaakt („televisiefilms”);

    • d. betekent „onderdanen”:

      • i. met betrekking tot China, burgers en rechtspersonen uit China;

      • ii. met betrekking tot Nederland, alle natuurlijke personen met de Nederlandse nationaliteit;

    • e. betekent „ingezetenen”:

      • i. met betrekking tot China, natuurlijke personen, die langdurig of permanent ingezetenen van China zijn;

      • ii. met betrekking tot Nederland, personen die niet de Nederlandse nationaliteit bezitten maar permanent ingezetenen van Nederland zijn;

    • f. betekent „bevoegde autoriteiten” de autoriteiten die als zodanig zijn aangewezen door de verdragsluitende partijen, zoals vervat in de Bijlage.

Artikel 2. Erkenning als nationale film en recht op voordelen

  • 2.1 Voor een gecoproduceerde film kan aanspraak worden gemaakt op alle voordelen die in respectievelijk China en Nederland aan nationale films worden of kunnen worden toegekend, met inachtneming van de wet- en/of regelgeving die op enig moment in elk land van kracht is. Deze voordelen komen uitsluitend toe aan de coproducent van het land dat deze toekent.

  • 2.2 De in het eerste lid van dit artikel bedoelde voordelen omvatten in het bijzonder:

    • a. het opheffen van quotabeperkingen die anders van toepassing zouden zijn op de invoer, distributie of vertoning van de film, en

    • b. toegang tot bijzondere invoerregelingen die overeengekomen zijn tussen een partij en een derde land dat invoerquotabeperkingen hanteert voor de invoer van nationale films van die partij.

Artikel 3. Bevoegde autoriteiten

  • 3.1 De bevoegde autoriteit van elke verdragsluitende partij wordt vermeld in de Bijlage bij dit Verdrag. Wanneer een verdragsluitende partij een andere autoriteit wenst aan te wijzen als haar bevoegde autoriteit, dient zij, niettegenstaande artikel 14, de andere partij langs diplomatieke weg vooraf schriftelijk in kennis te stellen van deze wijziging.

Artikel 4. Goedkeuring van projecten

  • 4.1 Voor gecoproduceerde films dient voorlopige goedkeuring van de onderscheiden bevoegde autoriteiten te worden verkregen alvorens zij in productie worden genomen. Het is de verantwoordelijkheid van de coproducenten de door de bevoegde autoriteiten gewenste documentatie te verstrekken om de bevoegde autoriteiten in staat te stellen hun proces van voorlopige goedkeuring af te ronden.

  • 4.2 Gecoproduceerde films dienen te worden gemaakt overeenkomstig de voorwaarden van de voorlopige goedkeuring die door de bevoegde autoriteiten is verleend.

  • 4.3 Na voltooiing van de productie is het de verantwoordelijkheid van de coproducenten de voltooide gecoproduceerde film (en alle door de bevoegde autoriteiten vereiste documentatie) te overleggen aan de bevoegde autoriteiten om hen in staat te stellen hun procedures voor definitieve goedkeuring af te ronden alvorens voor de gecoproduceerde film de voordelen verbonden aan definitieve goedkeuring worden verkregen, ingevolge artikel 2.1.

  • 4.4 Bij het vaststellen van de voorlopige en definitieve goedkeuring passen de bevoegde autoriteiten de Bijlage bij dit Verdrag toe op gecoproduceerde films.

  • 4.5 Om te kunnen bepalen of een project voldoet aan de bepalingen van dit Verdrag treden de bevoegde autoriteiten met elkaar in overleg. Bij het bepalen of voorlopige of definitieve goedkeuring wordt verleend of geweigerd past elke bevoegde autoriteit haar eigen beleid en richtlijnen toe.

  • 4.6 Bij goedkeuring van een gecoproduceerde film kan elke autoriteit voorwaarden voor goedkeuring vaststellen teneinde de algemene doelstellingen van dit Verdrag te verwezenlijken. Wanneer de bevoegde autoriteiten geen overeenstemming bereiken over het verlenen van een dergelijke goedkeuring of het opnemen van een dergelijke voorwaarde, wordt het betreffende project niet goedgekeurd ingevolge dit Verdrag.

  • 4.7 Met betrekking tot China wordt een gecoproduceerde film geacht de procedure voor voorlopige goedkeuring te hebben doorlopen zodra de Chinese bevoegde autoriteit het project de status van „vastgesteld project” heeft toegekend. Een gecoproduceerde film wordt geacht de procedure voor definitieve goedkeuring te hebben doorlopen zodra de Chinese bevoegde autoriteit de film „vergunning voor publieke vertoning” heeft toegekend.

  • 4.8 Met betrekking tot Nederland wordt een gecoproduceerde film geacht de procedure voor voorlopige goedkeuring te hebben doorlopen zodra de Nederlandse bevoegde autoriteit de Nederlandse coproducent er schriftelijk van in kennis stelt dat de voorlopige goedkeuring is verleend. Een gecoproduceerde film wordt geacht de procedure voor definitieve goedkeuring te hebben doorlopen zodra de Nederlandse bevoegde autoriteit de Nederlandse coproducent er schriftelijk van in kennis stelt dat de definitieve goedkeuring is verleend.

Artikel 5. Vereisten voor coproductiebedrijven/natuurlijke personen

  • 5.1 Productiebedrijven die betrokken zijn bij een gecoproduceerde film dienen te zijn geregistreerd in overeenstemming met de wet- en regelgeving van de desbetreffende verdragsluitende partij. Daarnaast dienen individuele producenten, productiebedrijven en studio’s elke vergunning te verkrijgen die de bevoegde autoriteiten vereisen.

  • 5.2 Gecoproduceerde films dienen te worden gemaakt door filmproducenten wier technische en financiële mogelijkheden en professionele ervaring voldoen aan de vereisten van de goedkeuringsprocedures van de onderscheiden bevoegde autoriteiten.

Artikel 6. Met derden gecoproduceerde films

  • 6.1 Met wederzijdse instemming van de bevoegde autoriteiten kan elke derde als coproducent deelnemen aan een gecoproduceerde film ingevolge dit Verdrag.

Artikel 7. Aanvraag van coproductiestatus

  • 7.1 De Chinese coproducent is verantwoordelijk voor het aanvragen van de coproductiestatus in China en dient al het nodige te doen om te waarborgen dat de gecoproduceerde film voldoet aan de eisen voor het toekennen van de coproductiestatus van zowel de Chinese bevoegde autoriteit als de Chinese uitvoerende organisatie.

  • 7.2 De Nederlandse coproducent is verantwoordelijk voor het aanvragen van de coproductiestatus in Nederland en dient al het nodige te doen om te waarborgen dat de gecoproduceerde film voldoet aan de eisen voor het toekennen van de coproductiestatus van de Nederlandse bevoegde autoriteit.

  • 7.3 Elke derde coproducent dient te voldoen aan alle voorwaarden verbonden aan de coproductiestatus waaraan voldaan zou moeten worden bij de productie van een film onder de voorwaarden van het verdrag inzake de coproductie van films dat van kracht is tussen het grondgebied van deze coproducent en hetzij China, hetzij Nederland.

Artikel 8. Invoer van apparatuur

  • 8.1 Elke verdragsluitende partij voorziet, in overeenstemming met haar eigen wetgeving, in de tijdelijke toelating, vrij van invoerrechten en -heffingen, van filmapparatuur voor het maken van gecoproduceerde films.

Artikel 9. Faciliteren van immigratie

  • 9.1 Elk van de verdragsluitende partijen verleent toestemming aan het personeel van het andere land dat voldoet aan artikel 1, eerste lid, onderdelen d en e, en aan burgers van het grondgebied van een derde coproducent om China of Nederland, naargelang van het geval, binnen te komen en er te verblijven ten behoeve van het maken of exploiteren van een gecoproduceerde film, op voorwaarde dat zij zich houden aan de relevante wetten van de onderscheiden grondgebieden met betrekking tot binnenkomst en verblijf, met inbegrip van terugkeer.

Artikel 10. Eerbiediging van wetten en culturele gebruiken

  • 10.1 De productiecrews van beide verdragsluitende partijen eerbiedigen de grondwet, wet- en regelgeving, etnische culturen, religieuze overtuigingen en lokale gebruiken en conventies van het land waar op locatie wordt gefilmd.

Artikel 11. Toestemming voor publieke vertoning

  • 11.1 De goedkeuring van een gecoproduceerde film door de bevoegde autoriteiten verplicht de desbetreffende autoriteiten van een verdragsluitende partij niet toestemming te verlenen voor de publieke vertoning van de uiteindelijke film in hun land.

Artikel 12. Internationale filmfestivals

  • 12.1 De coproducent met de grootste inbreng heeft het eerste recht op het inzenden van een gecoproduceerde film naar een filmfestival. Indien beide coproducenten hiermee instemmen kan elk van hen een gecoproduceerde film naar een internationaal filmfestival zenden, mits de onderscheiden bevoegde autoriteiten ten minste 30 dagen voordat het evenement begint van dit voornemen in kennis zijn gesteld.

Artikel 13. Uitwisseling van films

  • 13.1 De bevoegde autoriteiten moedigen filmorganisaties en personen in beide landen aan tot uitwisseling en samenwerking, met inbegrip van de invoer en vertoning van elkaars films en het filmen op locatie en productie op elkaars grondgebied.

Artikel 14. Status van de Bijlage

  • 14.1 De Bijlage bij dit Verdrag maakt integraal onderdeel uit van dit Verdrag en strekt tot uitvoering ervan.

  • 14.2 Met inachtneming van artikel 3, eerste lid, en niettegenstaande artikel 15, tweede lid, dienen de bevoegde autoriteiten gezamenlijk wijzigingen van de Bijlage overeen te komen. Geen enkele wijziging van de Bijlage mag in strijd zijn met de bepalingen van dit Verdrag.

  • 14.3 Wijzigingen van de Bijlage worden bevestigd door middel van een diplomatieke nota en treden in werking op de datum vermeld in de diplomatieke nota.

Artikel 15. Wijziging en toetsing

  • 15.1 De bevoegde autoriteiten van beide verdragsluitende partijen houden toezicht op en toetsen de werking van dit Verdrag, streven ernaar problemen bij de uitvoering ervan op te lossen en doen de voorstellen die nodig worden geacht voor wijziging van dit Verdrag.

  • 15.2 Dit Verdrag kan met wederzijdse instemming van de verdragsluitende partijen worden gewijzigd. Deze wijzigingen worden van kracht in overeenstemming met de voorwaarden vervat in artikel 16, eerste lid.

Artikel 16. Inwerkingtreding

  • 16.1 Dit Verdrag treedt in werking zodra de verdragsluitende partijen elkaar er via diplomatieke weg schriftelijk van in kennis hebben gesteld dat hun onderscheiden nationale vereisten voor de inwerkingtreding zijn afgerond. Dit Verdrag treedt in werking dertig dagen na ontvangst van de laatste van deze twee kennisgevingen.

  • 16.2 Wat het Koninkrijk der Nederlanden betreft is dit Verdrag uitsluitend van toepassing op het Europese deel van Nederland.

Artikel 17. Internationale verplichtingen

  • 17.1 De bepalingen van dit Verdrag laten de overige internationale verplichtingen van de verdragsluitende partijen, met inbegrip van de verplichtingen van de regering van het Koninkrijk der Nederlanden ingevolge de wetgeving van de Europese Unie, onverlet.

Artikel 18. Duur en beëindiging

  • 18.1 Dit Verdrag blijft van kracht gedurende een tijdvak van vier jaar.

  • 18.2 Elke verdragsluitende partij kan dit Verdrag opzeggen door de andere verdragsluitende partij ten minste zes maanden van tevoren schriftelijk daarvan in kennis te stellen.

  • 18.3 Indien geen van de verdragsluitende partijen zes maanden voor de vervaldatum een schriftelijke kennisgeving heeft gedaan, wordt dit Verdrag automatisch verlengd met een tijdvak van nogmaals vier jaar en kan daarna dienovereenkomstig met dezelfde tijdvakken worden verlengd.

  • 18.4 Een film die is gemaakt overeenkomstig de goedkeuring van de bevoegde autoriteiten ingevolge dit Verdrag maar die na beëindiging van dit Verdrag wordt voltooid, wordt behandeld als een gecoproduceerde film en de coproducenten ervan hebben dienovereenkomstig recht op alle voordelen van dit Verdrag.

TEN BLIJKE WAARVAN de ondergetekenden, daartoe naar behoren gemachtigd, dit Verdrag hebben ondertekend.

GEDAAN in tweevoud te Beijing op 26 oktober 2015, in de Nederlandse, de Chinese en de Engelse taal, waarbij alle teksten gelijkelijk authentiek zijn. In geval van verschil in interpretatie is de Engelse tekst doorslaggevend.

Bijlage Uitvoeringsovereenkomst bij het Verdrag inzake de coproductie van films tussen de Regering van het Koninkrijk der Nederlanden en de Regering van de Volksrepubliek China

A. Bevoegde autoriteiten

De bevoegde autoriteiten voor het Verdrag inzake de coproductie van films („het Verdrag”) tussen de regering van de Volksrepubliek China en de regering van het Koninkrijk der Nederlanden zijn de volgende:

  • 1. De Chinese bevoegde autoriteit is het Film Bureau dat valt onder de Chinese Staats Administratie voor Pers, Publicatie, Radio, Film en Televisie.

    De Chinese bevoegde autoriteit wijst de China Film Co-production Corporation aan als de Chinese uitvoerende organisatie die beoordeelt welke gecoproduceerde films de coproductiestatus krijgen.

  • 2. De Nederlandse bevoegde autoriteit is het ministerie van OCW (ministerie van Onderwijs, Cultuur en Wetenschap) die het Nederlands Filmfonds als de Nederlandse uitvoerende organisatie heeft aangewezen.

B. Regels die van toepassing zijn op gecoproduceerde films

De volgende regels van deze Bijlage zijn van toepassing op gecoproduceerde films ingevolge het Verdrag:

  • 1. Aanvragen voor voordelen uit hoofde van het Verdrag voor een coproductie dienen ten minste dertig (30) dagen voordat met filmen wordt begonnen gelijktijdig bij beide autoriteiten te worden ingediend. De autoriteiten stellen de aanvrager uiterlijk vijf (5) werkdagen voordat met filmen wordt begonnen in kennis van hun beslissing. Documentatie die wordt ingediend ter ondersteuning van een aanvraag dient uit de volgende in het Chinees en/of Nederlands en Engels opgestelde items te bestaan, zoals verzocht door de onderscheiden bevoegde autoriteiten:

    • a. Het definitieve script;

    • b. Een document dat aantoont dat het auteursrecht op de productie rechtmatig is verkregen;

    • c. Een afschrift van de coproductieovereenkomst dat door de twee coproducenten is ondertekend;

      Deze overeenkomst dient in ieder geval het volgende te omvatten:

      • i. De titel van de coproductie;

      • ii. De naam van de producent, de scenarioschrijver of de bewerker indien het scenario gebaseerd is op een literaire bron;

      • iii. De naam van de regisseur (een bepaling inzake vervanging is toegestaan om zo nodig te voorzien in zijn/haar vervanging);

      • iv. De begroting, met inbegrip van het financieringsplan;

      • v. De verwachte (internationale) distributie-opbrengsten uit exploitatie;

      • vi. De respectieve aandelen van de coproducenten in mogelijke over- of onderbesteding, waarbij de aandelen in beginsel naar rato zijn van hun respectieve bijdragen, met dien verstande dat het aandeel van de coproducent met de kleinste inbreng in mogelijke over- of onderbesteding beperkt kan zijn tot een lager percentage of tot een vast bedrag mits het minimale aandeel dat ingevolge onderdeel B.8 van deze Bijlage is toegestaan wordt gerespecteerd;

      • vii. Een bepaling waarin onderkend wordt dat toegang tot de voordelen uit hoofde van het Verdrag de bevoegde autoriteiten van beide landen niet verplicht publieke vertoning van de coproductie toe te staan;

      • viii. De beoogde periode waarin met filmen wordt begonnen;

      • ix. Een bepaling waarin wordt bepaald dat de coproducent met de grootste inbreng een verzekering afsluit waarin ten minste „alle productierisico’s” en „alle risico’s ten aanzien van originele materialen” worden gedekt;

    • d. De distributieovereenkomst, indien deze reeds getekend is;

    • e. Een lijst van het creatieve en technische personeel onder vermelding van hun nationaliteiten en functie, en in het geval van acteurs, de rollen die zij zullen spelen;

    • f. Het productieschema;

    • g. De gedetailleerde begroting met daarin de uitgaven van elke producent in elk land;

    • h. De beknopte inhoud.

    De bevoegde autoriteiten van beide landen kunnen alle aanvullende documenten en informatie opvragen die zij nodig achten.

    Wijzigingen, met inbegrip van de vervanging van een coproducent, kunnen in de oorspronkelijke overeenkomst worden aangebracht maar dienen ter goedkeuring te worden voorgelegd aan de bevoegde autoriteiten van beide landen voordat de coproductie wordt afgerond. De vervanging van een coproducent kan uitsluitend in uitzonderlijke gevallen worden toegestaan en de reden dient ten genoegen van beide bevoegde autoriteiten te zijn.

    De bevoegde autoriteiten houden elkaar op de hoogte van hun besluiten zoals vervat onder 1.

  • 2. In de overeenkomst of overeenkomsten die van toepassing zijn op het maken van gecoproduceerde films dient te zijn bepaald dat een coproducent de voordelen bedoeld in artikel 2 van het Verdrag uitsluitend mag toewijzen of overdragen aan een coproducent die inwoner of ingezetene is van het land van die coproducent of er zich gevestigd heeft.

  • 3. De bevoegde autoriteiten vergewissen zich ervan dat de arbeidsomstandigheden tijdens het maken van gecoproduceerde films ingevolge het Verdrag in elk van de landen van de deelnemende coproducenten in grote lijnen vergelijkbaar zijn en dat, wanneer op locatie gefilmd wordt in een land niet zijnde dat van een coproducent, de omstandigheden in algemene zin niet minder gunstig zijn.

  • 4. De coproducenten mogen niet onderling gelieerd zijn op het gebied van algemeen bestuur, eigendom of beheer, behalve voor zover inherent aan het maken van de gecoproduceerde film.

  • 5. Gecoproduceerde films worden tot en met het vervaardigen van de eerste vertoningskopie in China of Nederland gemaakt en verwerkt en wanneer er sprake is van een derde coproducent, op het grondgebied van die coproducent. Nasynchronisatie van gecoproduceerde films kan in China of Nederland plaatsvinden en wanneer er sprake is van een derde coproducent, op het grondgebied van die coproducent.

    Het merendeel van dit werk wordt normaal gesproken uitgevoerd in het land van de coproducent met het grootste financiële aandeel, maar de bevoegde autoriteiten kunnen wederzijds instemmen met andere regelingen. De bevoegde autoriteiten kunnen ook wederzijds toestemming verlenen voor filmen op locatie in een land niet zijnde dat van de deelnemende coproducenten.

  • 6. Natuurlijke personen die deelnemen aan het maken van gecoproduceerde films, dat wil zeggen de voornaamste leden van de cast en crew, zijn onderdanen of ingezetenen van China of Nederland of van een lidstaat van de Europese Unie of de Europese Economische Ruimte, of, wanneer er sprake is van een derde coproducent, burgers van het grondgebied van die coproducent.

    Onder bepaalde omstandigheden, wanneer het script of de financiering hiertoe nopen, mag gebruik worden gemaakt van personeel (cast of crew) uit andere landen. Het inzetten van dergelijk personeel geschiedt in overeenstemming met de toepasselijke wet- en regelgeving van de verdragsluitende partijen.

    Wanneer de bevoegde autoriteiten toestemming hebben verleend voor filmen op locatie in een land anders dan dat van de deelnemende coproducenten, mogen burgers van dat land worden ingezet als figurant, in kleine rollen of als extra werknemers wier diensten nodig zijn voor het uitvoeren van het werk op locatie.

  • 7. De coproducenten komen de bijdragen op het gebied van uitvoering, techniek en ambachtelijk werk (de „creatieve” bijdrage) en de financiële bijdrage van elke coproducent overeen op voorwaarde dat de bijdrage op het gebied van uitvoering, techniek en ambachtelijk werk van elke coproducent aan een gecoproduceerde film in redelijke verhouding staat tot het financiële aandeel van elk van de coproducenten. Bij het beoordelen van de financiële bijdrage van elke coproducent kunnen de bevoegde autoriteiten wederzijds instemmen met een bijdrage „in natura” (met inbegrip van, maar niet beperkt tot het leveren van studiofaciliteiten) als onderdeel van de financiële bijdrage. De bevoegde autoriteiten moedigen de uitwisseling van personeel en studenten uit de filmindustrie aan.

  • 8. Elke coproducent verstrekt een financiële en creatieve bijdrage van ten minste twintig procent (20%) van de totale financiële en creatieve bijdrage voor de gecoproduceerde film, en ten hoogste tachtig procent (80%) van het totaal. Onder bepaalde omstandigheden kunnen de bevoegde autoriteiten andere grenzen overeenkomen, maar hierbij gelden een nieuw minimum van 10% en nieuw maximum van 90%.

  • 9. Muziek die speciaal voor een gecoproduceerde film wordt gecomponeerd, dient, tenzij de bevoegde autoriteiten toestemming verlenen van deze regel af te wijken, te worden gecomponeerd door onderdanen of ingezetenen van China, Nederland of een lidstaat van de Europese Unie, of, wanneer er sprake is van een derde coproducent, door burgers van het grondgebied van die coproducent. Het in dienst nemen van dergelijk personeel geschiedt in overeenstemming met de wet- en regelgeving van de verdragsluitende partijen.

    Onder bepaalde omstandigheden, wanneer het script of de financiering hiertoe nopen, mogen componisten uit andere landen worden aangetrokken. Het aantrekken van dergelijk personeel geschiedt in overeenstemming met de toepasselijke wet- en regelgeving van de verdragsluitende partijen.

  • 10. Ten minste negentig procent (90%) van de opnamen voor een gecoproduceerde film dient speciaal voor die film te zijn gemaakt, tenzij de bevoegde autoriteiten wederzijds toestemming verlenen van deze regel af te wijken.

  • 11. In de overeenkomsten tussen de coproducenten:

    • a. wordt bepaald dat er voor alle coproducenten een toereikend aantal kopieën wordt gemaakt van het uiteindelijke materiaal voor bescherming en reproductie dat wordt gebruikt bij de productie. Elke coproducent wordt eigenaar van een kopie van het materiaal voor bescherming en reproductie en mag deze gebruiken voor het maken van de nodige reproducties. Daarnaast heeft elke coproducent toegang tot het originele productiemateriaal in overeenstemming met de voorwaarden die de coproducenten zijn overeengekomen, waaronder ten minste een bepaling waarin is vervat dat elke coproducent mederechthebbende is op de materiële onderdelen van de film en waarin wordt gewaarborgd dat al het materiaal auteursrechtelijk wordt beschermd en dat eventuele exploitatie uitsluitend met instemming van beide coproducenten kan geschieden.

      Het materiaal dient te worden geregistreerd onder de namen van beide coproducenten in een gezamenlijk overeengekomen laboratorium waartoe elke coproducent toegang heeft.

    • b. wordt de financiële aansprakelijkheid bepaald van elke coproducent voor kosten gemaakt:

      • i. bij het voorbereiden van een project voor een gecoproduceerde film waarvoor de bevoegde autoriteiten voorwaardelijke toestemming hebben geweigerd;

      • ii. bij het maken van een film waarvoor voorwaardelijke toestemming is gegeven maar die niet voldoet aan de voorwaarden voor een dergelijke toestemming; of

      • iii. bij het maken van een goedgekeurde gecoproduceerde film waarna in het land van een van de coproducenten publieke vertoning wordt tegengehouden;

    • c. worden de afspraken vastgelegd over de verdeling tussen de coproducenten van de opbrengsten uit de exploitatie van de film, met inbegrip van inkomsten uit exportmarkten. De verdeling van de opbrengsten geschiedt in principe naar rato van de totale bijdrage van elk van de coproducenten en dient door de bevoegde autoriteiten van beide landen te worden goedgekeurd. Deze verdeling betreft een verdeling van de opbrengsten, een verdeling van de markten of een combinatie daarvan.

    • d. worden de data vastgelegd waarop hun onderscheiden bijdragen aan de productie van die film zullen zijn afgerond.

  • 12. Elke gecoproduceerde film bevat hetzij een aparte titelrol met de vermelding dat het een „Chinees-Nederlandse” of „Nederlands-Chinese” coproductie betreft, hetzij, indien van toepassing, een vermelding waaruit de bijdrage van China, Nederland en het grondgebied van de derde coproducent blijkt en toont de logo’s van de bevoegde autoriteiten.

  • 13. In elk tijdvak van vier jaar beginnend op de datum waarop het Verdrag in werking treedt is de belangrijkste doelstelling, die door de bevoegde autoriteiten wordt gemonitord, te waarborgen dat er over de gehele linie een evenwicht wordt bereikt met betrekking tot:

    • a. de bijdrage van elk land aan de productiekosten van alle gecoproduceerde films;

    • b. het gebruik van studio’s en laboratoria;

    • c. in dienst te nemen uitvoerend, ambachtelijk en technisch personeel; en

    • d. de deelname aan elk van de belangrijkste uitvoerende, ambachtelijke en technische categorieën, met name die van de schrijver, de regisseur en de acteurs in een hoofdrol.

  • 14. De bevoegde autoriteiten stellen elkaar in kennis van nieuwe verdragen met andere landen om de effectiviteit van het Verdrag te vergroten.
