A. Letter from the Republic of Croatia

Sir,

I have the honour to refer to the texts of respectively the “Convention between the Kingdom of the Netherlands in respect of the Netherlands Antilles and (Belgium, Austria and Luxembourg) concerning the automatic exchange of information regarding savings income in the form of interest payments”, the “Convention between the Kingdom of the Netherlands in respect of the Netherlands Antilles and (the EU Member State, other than Belgium, Austria and Luxembourg) concerning the automatic exchange of information regarding savings income in the form of interest payments”, the “Convention between the Kingdom of the Netherlands in respect of Aruba and (the EU Member State, other than Belgium, Austria and Luxembourg) concerning the automatic exchange of information regarding savings income in the form of interest payments” and the “Convention between the Kingdom of the Netherlands in respect of Aruba and (Belgium, Austria and Luxembourg) concerning the automatic exchange of information regarding savings income in the form of interest payments”, that resulted from the negotiations with the Netherlands Antilles and Aruba on a Savings Tax Agreement, and that were annexed, respectively as Annex I, II, III and IV, to the Outcome of Proceedings of the High Level Working Party of the Council of Ministers of the European Union of 12 March 2004 (doc. 7660/1/04 REV 1 FISC 68 + COR 1).

In view of the above mentioned texts I have the honour to propose to you the “Convention concerning the automatic exchange of information regarding savings income in the form of interest payments” as contained in Appendix 1 to this letter, and our mutual undertaking to comply at the earliest possible date with our internal constitutional formalities for the entry into force of this Convention and to notify each other without delay when such formalities are completed.

Pending the completion of these internal procedures and the entry into force of this “Convention concerning the automatic exchange of information regarding savings income in the form of interest payments”, I have the honour to propose to you that the Republic of Croatia and the Kingdom of the Netherlands, in respect of the Caribbean part of the Netherlands (the islands of Bonaire, Sint Eustatius and Saba), apply this Convention provisionally, within the framework of our respective domestic constitutional requirements, as from the date of accession of the Republic of Croatia to the European Union.

I have the honour to propose that, if the above is acceptable to your Government, this letter and your confirmation shall together constitute an Agreement between the Republic of Croatia and the Kingdom of the Netherlands, in respect of the Caribbean part of the Netherlands (the islands of Bonaire, Sint Eustatius and Saba).

Appendix 1. Convention between the Kingdom of the Netherlands, in respect of the Caribbean part of the Netherlands (the islands of Bonaire, Sint Eustatius and Saba), and the Republic of Croatia concerning the automatic exchange of information about savings income in the form of interest payments

The Government of the Kingdom of the Netherlands, in respect of the Caribbean part of the Netherlands (the islands of Bonaire, Sint Eustatius and Saba), and the Republic of Croatia, desiring to conclude a Convention which enables savings income in the form of interest payments made in one of the Contracting States to beneficial owners who are individuals resident in the other Contracting State, to be made subject to effective taxation in accordance with the laws of the latter Contracting State, in conformity with Directive 2003/48/EC of the Council of the European Union of 3 June 2003 on taxation of savings income in the form of interest payments, have agreed as follows:

Article 1. General Scope

  • 1 This Convention shall apply to interest paid by a paying agent established within the territory of one of the Contracting States with a view to enable savings income in the form of interest payments made in one Contracting State to beneficial owners who are individuals resident for tax purposes in the other Contracting State to be made subject to effective taxation in accordance with the laws of the latter Contracting State.

  • 2 The scope of this Convention shall be limited to taxation of savings income in the form of interest payments on debt claims, to the exclusion, inter alia, of the issues relating to the taxation of pension and insurance benefits.

  • 3 As regards the Kingdom of the Netherlands, this Agreement shall apply only to the Caribbean part of the Netherlands (the islands of Bonaire, Sint Eustatius and Saba).

Article 2. Definitions

  • 1 For the purposes of this Convention, unless the context otherwise requires:

    • a) the term “a Contracting State” and “the other Contracting State” mean the Kingdom of the Netherlands, in respect of the Caribbean part of the Netherlands (the islands of Bonaire, Sint Eustatius and Saba), or the Republic of Croatia as the context requires;

    • b) the term “Caribbean part of the Netherlands” means: the part of the Kingdom of the Netherlands, which is situated in the Caribbean area and consists of the islands of Bonaire, Sint Eustatius and Saba, including its territorial sea and any area beyond and adjacent to its territorial sea within which the Kingdom of the Netherlands, in accordance with international law, exercises jurisdiction or sovereign rights, but excluding the part thereof relating to Curaçao and Sint Maarten;

    • c) the “contracting party” being a Member State of the European Union means: the Republic of Croatia;

    • d) the term “Directive” means Directive 2003/48/EC of the Council of the European Union of 3 June 2003 on taxation of savings income in the form of Interest Payments, as applicable at the date of signing this Convention;

    • e) the term “Beneficial Owner” means the Beneficial Owner according to Article 2 of the Directive;

    • f) the term “Paying Agent” means the Paying Agent according to Article 4 of the Directive;

    • g) the term “Competent Authority” means:

      • (i) in the case of the Caribbean Part of the Netherlands (the islands of Bonaire, Sint Eustatius and Saba): The Minister of Finance or his authorised representative;

      • (ii) in the case of the Republic of Croatia: the competent authority of that State according to Article 5 of the Directive;

    • h) the term “Interest Payment(s)” means the Interest Payment according to article 6, due account being taken of Article 15, of the Directive;

    • i) any term not otherwise defined herein shall have the meaning given to it in the Directive.

  • 2 For the purposes of this Convention, in the provisions of the Directive to which this Convention refers, instead of “Member States” has to be read: Contracting States.

Article 3. Identity and residence of beneficial owners

Each Contracting State shall, within its territory, adopt and ensure the application of the procedures necessary to allow the Paying Agent to identify the Beneficial Owners and their residence for the purpose of Article 4. These procedures shall comply with the minimum standards established in Article 3, paragraph 2 and 3 of the Directive, with the provision that in relation to subparagraphs 2.a) and 3.a) of that Article the identity and residence of the Beneficial Owner shall be established on the basis of the information which is available to the Paying Agent by virtue of the application of the relevant provisions of the law and regulations of the Contracting State where the Paying Agent is established.

Article 4. Automatic exchange of information

  • 1 The Competent Authority of the Contracting State where the Paying Agent is established, shall communicate the information referred to in Article 8 of the Directive to the competent authority of the other Contracting State of residence of the Beneficial Owner.

  • 2 The communication of information shall be automatic and shall take place at least once a year, within six months following the end of the tax year of the Contracting State of the Paying Agent, for all Interest Payments made during that year.

  • 3 Information exchange under this Convention shall be treated by the Contracting States in a manner consistent with the provisions as set out in Article 16 of Directive 2011/16/EU.

Article 5. Transposition

Before the date of accession of the Republic of Croatia to the European Union the Contracting States shall adopt and publish the laws, regulations and administrative provisions necessary to comply with this Convention.

Article 6. Annex

The text of Article 16 of Council Directive 2011/16/EU of 15 February 2011 on administrative cooperation in the field of taxation and repealing Directive 77/799/EEC, to which this Convention refers, is appended as Annex to this Convention, of which it forms an integral part.

Article 7. Entry Into Force

This Convention shall enter into force on the last day of the first month following the later of the dates on which the respective Governments have notified each other in writing that the formalities constitutionally required in their respective States have been complied with, and its provisions shall have effect from the date of accession of the Republic of Croatia to the European Union.

Article 8. Termination

This Convention shall remain in force until terminated by one of the Contracting States. Either State may terminate the Convention, through diplomatic channels, by giving notice of termination at least six months before the end of any calendar year after the expiration of a period of three years from the date of its entry into force. In such event the Convention shall cease to have effect for periods beginning after the end of the calendar year in which the notice of termination has been given.

Annex Article 16 of Directive 2011/16/EU

“Disclosure of information and documents

  • 1. Information communicated between Member States in any form pursuant to this Directive shall be covered by the obligation of official secrecy and enjoy the protection extended to similar information under the national law of the Member State which received it. Such information may be used for the administration and enforcement of the domestic laws of the Member States concerning the taxes referred to in Article 2.

    Such information may also be used for the assessment and enforcement of other taxes and duties covered by Article 2 of Council Directive 2010/24/EU of 16 March 2010 concerning mutual assistance for the recovery of claims relating to taxes, duties and other measures1, or for the assessment and enforcement of compulsory social security contributions.

    In addition, it may be used in connection with judicial and administrative proceedings that may involve penalties, initiated as a result of infringements of tax law, without prejudice to the general rules and provisions governing the rights of defendants and witnesses in such proceedings.

  • 2. With the permission of the competent authority of the Member State communicating information pursuant to this Directive, and only in so far as this is allowed under the legislation of the Member State of the competent authority receiving the information, information and documents received pursuant to this Directive may be used for other purposes than those referred to in paragraph 1. Such permission shall be granted if the information can be used for similar purposes in the Member State of the competent authority communicating the information.

  • 3. Where a competent authority of a Member State considers that information which it has received from the competent authority of another Member State is likely to be useful for the purposes referred to in paragraph 1 to the competent authority of a third Member State, it may transmit that information to the latter competent authority, provided that transmission is in accordance with the rules and procedures laid down in this Directive. It shall inform the competent authority of the Member State from which the information originates about its intention to share that information with a third Member State. The Member State of origin of the information may oppose such a sharing of information within 10 working days of receipt of the communication from the Member State wishing to share the information.

  • 4. Permission to use information pursuant to paragraph 2, which has been transmitted pursuant to paragraph 3, may be granted only by the competent authority of the Member State from which the information originates.

  • 5. Information, reports, statements and any other documents, or certified true copies or extracts thereof, obtained by the requested authority and communicated to the requesting authority in accordance with this Directive may be invoked as evidence by the competent bodies of the requesting Member State on the same basis as similar information, reports, statements and any other documents provided by an authority of that Member State.”

A. Brief van de Republiek Kroatië

Mijnheer,

Ik heb de eer te verwijzen naar de teksten van respectievelijk de „Overeenkomst tussen het Koninkrijk der Nederlanden ten behoeve van de Nederlandse Antillen en (België, Oostenrijk en Luxemburg) betreffende automatische gegevensuitwisseling inzake inkomsten uit spaargelden in de vorm van rentebetaling”, de „Overeenkomst tussen het Koninkrijk der Nederlanden ten behoeve van de Nederlandse Antillen en (andere EU-lidstaat dan België, Oostenrijk en Luxemburg) betreffende automatische gegevensuitwisseling inzake inkomsten uit spaargelden in de vorm van rentebetaling”, de „Overeenkomst tussen het Koninkrijk der Nederlanden ten behoeve van Aruba en (andere EU-lidstaat dan België, Oostenrijk en Luxemburg) betreffende automatische gegevensuitwisseling inzake inkomsten uit spaargelden in de vorm van rentebetaling” en de „Overeenkomst tussen het Koninkrijk der Nederlanden ten behoeve van Aruba en (België, Oostenrijk en Luxemburg) betreffende automatische gegevensuitwisseling inzake inkomsten uit spaargelden in de vorm van rentebetaling”. Deze teksten, die het resultaat zijn van de onderhandelingen die met de Nederlandse Antillen en Aruba zijn gevoerd over een overeenkomst inzake belastingheffing op inkomsten uit spaargelden, zijn respectievelijk als bijlage I, II, III en IV toegevoegd aan het resultaat van de besprekingen van de Groep op hoog niveau van de Raad van Ministers van de Europese Unie van 12 maart 2004 (doc. 7660/1/04 REV 1 FISC 68 + COR 1).

In het licht van de bovengenoemde teksten heb ik de eer u de „Overeenkomst betreffende automatische gegevensuitwisseling inzake inkomsten uit spaargelden in de vorm van rentebetaling” in aanhangsel 1 bij deze brief voor te stellen, en in overweging te geven dat wij er ons wederzijds toe verbinden zo spoedig mogelijk de interne grondwettelijke formaliteiten voor de inwerkingtreding van deze Overeenkomst te vervullen en elkaar onverwijld van de voltooiing daarvan in kennis te stellen.

In afwachting van de voltooiing van deze interne procedures en van de inwerkingtreding van deze „Overeenkomst betreffende automatische gegevensuitwisseling inzake inkomsten uit spaargelden in de vorm van rentebetaling”, heb ik de eer u voor te stellen dat de Republiek Kroatië en het Koninkrijk der Nederlanden ten behoeve van het Caribische deel van Nederland (de eilanden Bonaire, Sint Eustatius en Saba) deze Overeenkomst, binnen de grenzen van onze respectieve binnenlandse grondwettelijke voorschriften, voorlopig toepassen vanaf de datum van toetreding van de Republiek Kroatië tot de Europese Unie.

Ik heb de eer voor te stellen dat, indien het bovenstaande voor uw regering aanvaardbaar is, deze brief en uw bevestiging tezamen een Overeenkomst vormen tussen de Republiek Kroatië en het Koninkrijk der Nederlanden ten behoeve van het Caribische deel van Nederland (de eilanden Bonaire, Sint Eustatius en Saba).

De Regering van het Koninkrijk der Nederlanden, ten behoeve van het Caribische deel van Nederland (de eilanden Bonaire, Sint Eustatius en Saba), en de Republiek Kroatië, geleid door de wens een Overeenkomst te sluiten die het mogelijk maakt dat inkomsten uit spaargelden in de vorm van rentebetaling die in een van de overeenkomstsluitende staten worden verricht aan uiteindelijk gerechtigden die een natuurlijke persoon zijn en hun woonplaats in de andere overeenkomstsluitende staat hebben, effectief worden belast overeenkomstig het recht van laatstgenoemde overeenkomstsluitende staat, in overeenstemming met Richtlijn 2003/48/EG van de Raad van de Europese Unie van 3 juni 2003 betreffende belastingheffing op inkomsten uit spaargelden in de vorm van rentebetaling, zijn het volgende overeengekomen:

Artikel 1. Algemene werkingssfeer

  • 1 Deze Overeenkomst is van toepassing op rentebetalingen die door een op het grondgebied van een van de overeenkomstsluitende staten gevestigde uitbetalende instantie worden verricht teneinde het mogelijk te maken dat inkomsten uit spaargelden in de vorm van rentebetaling die in een overeenkomstsluitende staat worden verricht aan uiteindelijk gerechtigden die een natuurlijke persoon zijn en hun fiscale woonplaats in de andere overeenkomstsluitende staat hebben, effectief worden belast overeenkomstig de wetgeving van de laatstgenoemde overeenkomstsluitende staat.

  • 2 De werkingssfeer van deze Overeenkomst is beperkt tot belastingheffing op inkomsten uit spaargelden in de vorm van rentebetalingen uit hoofde van schuldvorderingen; vraagstukken in verband met de belastingheffing op onder meer pensioenen en verzekeringsuitkeringen vallen buiten de werkingssfeer van deze Overeenkomst.

  • 3 Wat het Koninkrijk der Nederlanden betreft, is deze Overeenkomst uitsluitend van toepassing op het Caribische deel van Nederland (de eilanden Bonaire, Sint Eustatius en Saba).

Artikel 2. Begripsomschrijvingen

  • 1 Voor de toepassing van deze Overeenkomst wordt, tenzij de context anders vereist:

    • a. verstaan onder de uitdrukkingen „een overeenkomstsluitende staat” en „de andere overeenkomstsluitende staat”: het Koninkrijk der Nederlanden, ten behoeve van het Caribische deel van Nederland (de eilanden Bonaire, Sint Eustatius en Saba), of de Republiek Kroatië, al naargelang de context vereist;

    • b. verstaan onder de uitdrukking „Caribische deel van Nederland”: het deel van het Koninkrijk der Nederlanden dat is gelegen in het Caribische gebied en bestaat uit de eilanden Bonaire, Sint Eustatius en Saba, met inbegrip van zijn territoriale zee en elk gebied buiten en grenzend aan zijn territoriale zee waarin het Koninkrijk der Nederlanden, in overeenstemming met het internationale recht, rechtsmacht of soevereine rechten uitoefent, evenwel met uitzondering van het deel dat betrekking heeft op Curaçao en Sint Maarten;

    • c. verstaan onder de „overeenkomstsluitende staat” zijnde lidstaat van de Europese Unie: de Republiek Kroatië;

    • d. verstaan onder de uitdrukking „richtlijn”: Richtlijn 2003/48/EG van de Raad van de Europese Unie van 3 juni 2003 betreffende belastingheffing op inkomsten uit spaargelden in de vorm van rentebetaling, zoals van toepassing op de datum van ondertekening van deze Overeenkomst;

    • e. verstaan onder de uitdrukking „uiteindelijk gerechtigde”: uiteindelijk gerechtigde in de zin van artikel 2 van de richtlijn;

    • f. verstaan onder de uitdrukking „uitbetalende instantie”: de uitbetalende instantie in de zin van artikel 4 van de richtlijn;

    • g. verstaan onder de uitdrukking „bevoegde autoriteit”:

      • i. in het geval van het Caribische deel van Nederland (de eilanden Bonaire, Sint Eustatius en Saba); de minister van Financiën of zijn bevoegde vertegenwoordiger;

      • ii. in het geval van de Republiek Kroatië: de bevoegde autoriteit van die staat in de zin van artikel 5 van de richtlijn;

    • h. verstaan onder de uitdrukking „rentebetaling(en)”: rentebetaling in de zin van artikel 6 van de richtlijn, met inachtneming van artikel 15 van de richtlijn;

    • i. aan hierin niet anderszins omschreven termen de betekenis gehecht die daaraan in de richtlijn wordt gegeven.

  • 2 Voor de toepassing van deze Overeenkomst wordt in de bepalingen van de richtlijn waarnaar in deze Overeenkomst wordt verwezen in plaats van „lidstaten” gelezen: overeenkomstsluitende staten.

Artikel 3. Identiteit en woonplaats van de uiteindelijk gerechtigden

Voor de toepassing van artikel 4 neemt elke overeenkomstsluitende staat de procedures aan die nodig zijn om de uitbetalende instantie in staat te stellen de identiteit en woonplaats van de uiteindelijk gerechtigden vast te stellen en draagt zorg voor de toepassing van deze procedures binnen zijn grondgebied. Deze procedures voldoen aan de minimumnormen van artikel 3, leden 2 en 3, van de richtlijn, met dien verstande dat, wat betreft het bepaalde in lid 2, onder a), en in lid 3, onder a), de identiteit en de woonplaats van de uiteindelijk gerechtigde worden vastgesteld op grond van de informatie waarover de uitbetalende instantie beschikt krachtens de toepassing van de desbetreffende wet- en regelgeving van de overeenkomstsluitende staat waar de uitbetalende instantie is gevestigd.

Artikel 4. Automatische gegevensuitwisseling

  • 1 De bevoegde autoriteit van de overeenkomstsluitende staat waar de uitbetalende instantie is gevestigd verstrekt de in artikel 8 van de richtlijn bedoelde gegevens aan de bevoegde autoriteit van de andere overeenkomstsluitende staat waar de uiteindelijk gerechtigde zijn woonplaats heeft.

  • 2 De gegevensverstrekking gebeurt automatisch en ten minste eenmaal per jaar, binnen zes maanden na afloop van het belastingjaar van de overeenkomstsluitende staat van de uitbetalende instantie, voor alle gedurende dat jaar verrichte rentebetalingen.

  • 3 De overeenkomstsluitende staten behandelen de gegevensuitwisseling uit hoofde van deze Overeenkomst op een wijze die strookt met het bepaalde in artikel 16 van Richtlijn 2011/16/EU.

Artikel 5. Omzetting

De overeenkomstsluitende staten dienen voor de datum van toetreding van de Republiek Kroatië tot de Europese Unie de wet- en regelgeving en bestuursrechtelijke bepalingen aan te nemen en bekend te maken die nodig zijn om aan deze Overeenkomst te voldoen.

Artikel 6. Bijlage

De tekst van artikel 16 van Richtlijn 2011/16/EU van de Raad van 15 februari 2011 betreffende de administratieve samenwerking op het gebied van de belastingen en tot intrekking van Richtlijn 77/799/EEG, waarnaar deze Overeenkomst verwijst, is opgenomen als Bijlage bij en vormt een integrerend onderdeel van dit Verdrag.

Artikel 7. Inwerkingtreding

Deze Overeenkomst treedt in werking op de laatste dag van de eerste maand die volgt op de laatste van de data waarop de respectieve regeringen elkaar er schriftelijk van in kennis hebben gesteld dat de in hun respectieve staten voorgeschreven grondwettelijke formaliteiten zijn vervuld en de bepalingen ervan vinden toepassing vanaf de datum van toetreding van de Republiek Kroatië tot de Europese Unie.

Artikel 8. Beëindiging

Deze Overeenkomst blijft van kracht totdat zij door een van beide overeenkomstsluitende staten wordt beëindigd. Elke staat kan de Overeenkomst langs diplomatieke weg beëindigen door ten minste zes maanden voor het einde van enig kalenderjaar na het verstrijken van een tijdvak van drie jaar na de datum van inwerkingtreding van de Overeenkomst kennis te geven van beëindiging. In dat geval houdt de Overeenkomst op van toepassing te zijn voor tijdvakken die aanvangen na het einde van het kalenderjaar waarin de kennisgeving van beëindiging is gedaan.

„Openbaarmaking van inlichtingen en bescheiden

  • 1. De inlichtingen die de lidstaten elkaar krachtens deze richtlijn in enigerlei vorm verstrekken, vallen onder de geheimhoudingsplicht en genieten de bescherming waarin het nationale recht van de ontvangende lidstaat met betrekking tot soortgelijke inlichtingen voorziet. Deze inlichtingen kunnen worden gebruikt voor de administratie en de handhaving van de nationale wetgeving van de lidstaten met betrekking tot de in artikel 2 bedoelde belastingen.

    De inlichtingen kunnen tevens worden gebruikt voor de vaststelling en invordering van andere belastingen en rechten vallend onder artikel 2 van Richtlijn 2010/24/EU van de Raad van 16 maart 2010 betreffende de wederzijdse bijstand inzake de invordering van schuldvorderingen die voortvloeien uit bepaalde belastingen, rechten en andere maatregelen2, en voor de vaststelling en invordering van verplichte socialezekerheidsbijdragen.

    De inlichtingen kunnen voorts worden gebruikt in mogelijk tot bestraffing leidende gerechtelijke en administratieve procedures wegens overtreding van de belastingwetgeving, onverminderd de algemene regels en de bepalingen betreffende de rechten van de verdachten en getuigen in dergelijke procedures.

  • 2. Met toestemming van de bevoegde autoriteit van de lidstaat die overeenkomstig deze richtlijn inlichtingen verstrekt, en voor zover het in de lidstaat van de ontvangende bevoegde autoriteit wettelijk is toegestaan, kunnen de overeenkomstig deze richtlijn ontvangen inlichtingen en bescheiden voor andere dan de in lid 1 bedoelde doeleinden worden gebruikt. De toestemming wordt verleend indien de inlichtingen, in de lidstaat van de bevoegde autoriteit die de inlichtingen verstrekt, voor soortgelijke doeleinden kunnen worden gebruikt.

  • 3. De bevoegde autoriteit die van oordeel is dat de van de bevoegde autoriteit van een andere lidstaat verkregen inlichtingen de bevoegde autoriteit van een derde lidstaat van nut kunnen zijn voor de in lid 1 beoogde doelen, mag de inlichtingen aan deze autoriteit doorgeven, op voorwaarde dat dat in overeenstemming is met de in deze richtlijn vastgelegde voorschriften en procedures. Zij stelt de bevoegde autoriteit van de inlichtingen verstrekkende lidstaat in kennis van haar voornemen om die inlichtingen met een derde lidstaat te delen. De inlichtingen verstrekkende lidstaat kan zich hiertegen verzetten binnen tien werkdagen na de datum van ontvangst van de kennisgeving van de lidstaat die de inlichtingen wenst te delen.

  • 4. Toestemming voor het gebruik overeenkomstig lid 2 van de overeenkomstig lid 3 doorgegeven inlichtingen kan slechts worden verleend door de bevoegde autoriteit van de lidstaat waarvan de inlichtingen afkomstig zijn.

  • 5. Inlichtingen, verslagen, verklaringen en andere bescheiden, alsook voor eensluidend gewaarmerkte afschriften of uittreksels daarvan, die door de aangezochte autoriteit zijn verkregen en overeenkomstig deze richtlijn aan de verzoekende autoriteit zijn doorgegeven, kunnen door de bevoegde instanties van de verzoekende lidstaat op dezelfde voet als bewijs worden aangevoerd als soortgelijke inlichtingen, verslagen, verklaringen en andere bescheiden die door een andere autoriteit van die lidstaat zijn verstrekt.”
