Air Transport Agreement between the Government of the Kingdom of the Netherlands and the Government of the Republic of the Philippines

The Government of the Kingdom of the Netherlands and the Government of the Republic of the Philippines hereinafter described as the Contracting Parties,

Being parties to the Convention on International Civil Aviation and the International Air Services Transit Agreement both opened for signature at Chicago on the 7th day of December, 1944,

Desiring to apply to air transport the principles and provisions therein established, and

Desiring to conclude an agreement for the purpose of establishing and operating air services between and beyond the territories of the Kingdom of the Netherlands and the Republic of the Philippines;

Hereby agree as follows:

Article I

For the purpose of the present Agreement, unless the context otherwise requires:

  • (a) The term “aeronautical authorities” means, in the case of the Kingdom of the Netherlands, the Director General of Civil Aviation or any person or body authorized to perform any function exercised at present by the said Director General of Civil Aviation or similar functions, and, in the case of the Republic of the Philippines, the Civil Aeronautics Board or any person or body authorized to perform any function exercised at present by the said Civil Aeronautics Board or similar functions;

  • (b) The term “designated airline or airlines” means an airline or airlines which one Contracting Party shall have designated, by written notification to the other Contracting Party, in accordance with the provisions of Article III of the present Agreement, for operation of air services on the routes specified in the Annex hereto;

  • (c) The term “territory” in relation to a State means the land areas and territorial waters adjacent thereto under the sovereignty, suzerainty, protection, trusteeship or administration of that State;

  • (d) The term “the Convention” means the Convention on International Civil Aviation opened for signature at Chicago on the seventh day of December 1944 and includes any Annex adopted under Article 90 of the Convention and any amendment of the Annexes or Convention under Articles 90 and 94 thereof;

  • (e) The terms “air services”, “international air service”, “airline” and “stop for non-traffic purposes” have the meaning respectively assigned to them in Article 96 of the Convention;

  • (f) The term “agreed services” means any scheduled air service operated on the routes specified in the Annex to this Agreement;

  • (g) References in this Agreement to nationals of the Kingdom of the Netherlands shall be understood as referring to nationals of European Community Member States;

  • (h) References in this Agreement to airlines of the Kingdom of the Netherlands shall be understood as referring to airlines designated by the Kingdom of the Netherlands.

Article II

  • (1) Each Contracting Party grants to the other Contracting Party the rights specified in the present Agreement for the purpose of establishing the agreed services.

  • (2) Subject to the provisions of the present Agreement, the airline or airlines designated by each Contracting Party shall enjoy, while operating an agreed service on a specified route, the following privileges:

    • (a) to fly without landing across the territory of the other Contracting Party;

    • (b) to make stops in the said territory for non-traffic purposes; and

    • (c) to make stops in the said territory at the points specified for that route in the Annex to the present Agreement for the purpose of putting down and taking on international traffic in passengers, cargo and mail coming from or destined for other points so specified.

  • (3) Nothing in paragraph (2) of this Article shall be deemed to confer on the airline or airlines of one Contracting Party the privilege of taking up, in the territory of the other Contracting Party, passengers, cargo or mail carried for remuneration or hire and destined for another point in the territory of that other Contracting Party.

Article III

  • 1 Either Contracting Party shall have the right to designate one or more Airline(s) to operate International Air Services on the routes specified in the Annex and to substitute another Airline for an Airline previously designated. Such designations shall be transmitted to the other Contracting Party in writing through diplomatic channels.

    On receipt of such a designation the other Contracting Party shall grant the appropriate operating authorisations and permissions with minimum procedural delay, provided:

    • a) in the case of an airline designated by the Kingdom of the Netherlands:

      • 1. it is established in the territory of the Kingdom of the Netherlands under the Treaty establishing the European Community and has a valid Operating Licence in accordance with European Community Law; and

      • 2. effective regulatory control of the airline is exercised and maintained by the European Community Member State responsible for issuing its Air Operator’s Certificate and the relevant Aeronautical Authority is clearly identified in the designation;

    • b) in the case of an airline designated by the Philippines:

      • 1. majority ownership and effective control of such airline are vested in the Philippines and/or its nationals; and

      • 2. such airline has a valid Operating License in accordance with applicable law of the Philippines and effective control is exercised by the Philippines,

    • c) the designated airline is qualified to meet the conditions prescribed under the laws and regulations normally applied to the operation of international air services by the Party considering the application or applications;

    • d) the designated airline qualifies before the Aeronautical Authorities of the Contracting Party assessing the authorization, under the laws and regulations normally and reasonably applied to the operation of the International Air Services by these Authorities in conformity with the Convention;

    • e) the designated airline(s) operate(s) in accordance with the conditions prescribed under this Agreement.

  • 2 Either Contracting Party may revoke, suspend or limit the operation authorisation or technical permissions of an airline designated by the other Contracting Party where:

    • a) in the case of an airline designated by the Kingdom of the Netherlands:

      • 1. it is not established in the territory of the Kingdom of the Netherlands under the Treaty establishing the European Community or does not have a valid Operating Licence in accordance with European Community Law; or

      • 2. effective regulatory control of the airline is not exercised or not maintained by the European Community Member State responsible for issuing its Air Operator’s Certificate or the relevant aeronautical authority is not clearly identified in the designation;

    • b) in the case of an airline designated by the Philippines:

      • 1. majority ownership and effective control of such airline are not vested in the Philippines and/or its nationals; or

      • 2. such airline does not have a valid Operating License in accordance with applicable law of the Philippines or effective control is not exercised by the Philippines;

    • c) that airline has failed to comply with the laws and regulations referred to in this Agreement;

    • d) the airline is already authorized to operate under a bilateral agreement between the Philippines and another Member State which is exercising traffic rights under this Agreement on a route that includes a point in that other Member State, the airline would in effect be circumventing restrictions on the traffic rights imposed by that other agreement; or

    • e) the designated airline holds an Air Operators Certificate issued by a Member State, there is no bilateral air services agreement between the Philippines and that Member State and the traffic rights necessary to conduct the operation proposed by such designated airline are not reciprocally available to the designated carriers of the Philippines.

Article IV

  • (1) Aircraft operated on international services by the designated airline or airlines of either Contracting Party, as well as their regular equipment, spare parts, supplies of fuels and lubricants, and aircraftstores (including food, beverages and tobacco) on board such aircraft shall be exempt from all customs duties, inspection fees and other duties or taxes on arriving in the territory of the other Contracting Party, provided such equipment and supplies remain on board the aircraft up to such time as they are re-exported.

  • (2) Supplies of fuels, lubricants, spare parts, regular equipment and aircraft stores introduced into the territory of one Contracting Party by or on behalf of a designated airline of the other Contracting Party or taken on board the aircraft operated by such designated airline and intended solely for use in the operation of international air services shall be exempt from all duties and charges, including customs duties and inspection fees imposed in the territory of the first Contracting Party, even when these supplies are to be used on the parts of the journey performed over the territory of the Contracting Party in which they are taken on board. The materials referred to above may be required to be kept under customs supervision or control.

  • (3) The regular airborne equipment, spare parts, aircraft stores and supplies of fuels and lubricants retained on board the aircraft of either Contracting Party may be unloaded in the territory of the other Contracting Party only with the approval of the customs authorities of that Party, who may require that those materials be placed under their supervision up to such time as they are re-exported or otherwise disposed of in accordance with customs regulations.

  • (4) Nothing in this Agreement shall prevent the Kingdom of the Netherlands from imposing, on a non-discriminatory basis, taxes, levies, duties, fees or charges on fuel supplied in its territory for use in an aircraft of a designated airline of the Philippines that operates between a point in the territory of the Kingdom of the Netherlands and another point in the territory of the Kingdom of the Netherlands or in the territory of another European Community Member State.

    Nothing in this Agreement shall prevent the Republic of the Philippines from imposing, on a non-discriminatory basis, taxes, levies, duties, fees or charges on fuel supplied in its territory for use in an aircraft of a designated airline of the Netherlands that operates between a point in the territory of the Republic of the Philippines and another point in the territory of the Republic of the Philippines or in the territory of a third State in Asia.

Article V

  • 1 In operating or holding out the Air Services on the Agreed Routes, any Designated Airline of one Contracting Party may enter into commercial and/or cooperative marketing arrangements including but not limited to blocked-space, code sharing and leasing arrangements, with an airline of the other Contracting Party. This is applicable too on domestic routes operated with the designated airline of the Contracting Party concerned, provided (a) that the operating carrier in such arrangements holds the appropriate operating authorization and (b) that tickets make it clear to the purchaser at the point of sale which Airline will actually operate each sector of the service and with which Airline or Airlines the purchaser is entering into a contractual relationship. The code-sharing services of the marketing carrier will not be counted as a frequency.

  • 2 The designated airline(s) of each Contracting Party will be permitted subject to national laws to employ surface and/or sea transportation for cargo in connection with international air transportation, to be provided by companies officially recognized and licensed by the authorities of the other Contracting Party to or from any point in the territory of the one Contracting Party concerned or in third countries, including transport to and from all airports with customs facilities, under the applicable law and regulations. Such cargo, whether moving by surface or by air will have access to airport customs processing and facilities.

    Such intermodal cargo services may be offered at a single through price for the air and surface transportation combined, provided that shippers are not misled as to the facts concerning such transportation.

  • 3 The designated airline(s) of each Contracting Party shall be allowed subject to national laws;

    • -

      to establish in the territory of the other Contracting Party offices for the promotion and sale of air transportation and ancillary or supplemental services (including the right to sell and to issue any ticket and/or airway bill, both its own tickets and/or airway bills and of any other carrier) as well as other facilities required for the provision of air transportation;

    • -

      in the territory of the other Contracting Party to engage directly and, at its discretion, through its agents, and/or other airlines in the sale of air transportation and ancillary or supplemental services;

    • -

      to sell such transportation and ancillary or supplemental services and any person shall be free to purchase such transportation or services in any currency.

    • -

      To bring in and maintain in the territory of the other Contracting Party its managerial, commercial, operational and technical staff as it may require in connection with the provision of air transportation and ancillary or supplemental services;

  • 4 Each designated airline shall have the right to perform its own ground handling in the territory of the other Contracting Party (“self handling”), or, at its option, select among competing agents for such services in whole or in part. This right shall be subject only to physical constraints resulting from considerations of airport safety. Where such considerations preclude self handling, ground services shall be available on an equal basis to all airlines.

    The activities mentioned in this Article shall be carried out in accordance with the laws and regulations of the other Contracting Party. In case of the Netherlands this includes applicable European Community law.

Article VI

Either Contracting Party undertakes to grant the other Party free transfer, at the official rate of exchange, of the excess of receipts over expenditure achieved on its territory in connection with the carriage of passengers, baggage, mail shipments and freight by the designated airline or airlines of the other Party. Wherever the payments system between the Contracting Parties is governed by a special agreement, said agreement shall apply.

Article VII

  • (1) The laws and regulations of one Contracting Party relating to the admission to or departure from its territory of aircraft engaged in international air services, or to the operation and navigation of such aircraft while within its territory, shall be applied to the aircraft of the airline or airlines designated by the other Contracting Party, and shall be complied with by such aircraft upon entering or departing from or while within the territory of the first party.

  • (2) The laws and regulations of one Contracting Party as to the entrance into, stay within, or departure from its territory of passengers, crew or cargo of aircraft, such as regulations relating to entry, clearance, immigration, passports, customs, and quarantine shall be complied with by or on behalf of such passengers, crew or cargo of the airline or airlines designated by the other Contracting Party upon entrance into or departure from, or while within the territory of the first party.

  • (3) Passengers in direct transit across the territory of either Contracting Party shall be subject to no more than a very simplified control. Baggage and cargo in direct transit shall be exempt from customs duties and other similar taxes. For purposes of this paragraph, the term “direct transit” shall apply only to passengers, baggage and/or cargo who/which are never out of the control of the customs authorities of the Contracting Parties.

Article VIII

In order to develop the air transport services along the routes or segments thereof specified in the Annex hereof, for the purpose of achieving and maintaining equilibrium between the capacity of the specified air services and the requirements of the public for air transportation, as determined by the aeronautical authorities of the Contracting Parties, it is agreed that:

  • (1) The designated airline or airlines of each Contracting Party shall enjoy fair and equal opportunity for the operation of agreed services for the carriage of traffic between the territories of the two parties;

  • (2) In the operation by the designated airline or airlines of either Contracting Party of the agreed services, the interests of the designated airlines of the other Contracting Party shall be taken into consideration so as not to affect unduly the services which the latter provide on all or part of the same routes.

Article IX

  • 1 Each Contracting Party shall allow prices for air transportation to be established by each designated airline based upon commercial considerations in the marketplace. Intervention by the Contracting Parties shall be limited to:

    • a) prevention of predatory and/or unreasonably discriminatory prices or practices;

    • b) protection of consumers from prices that are unreasonably high or restrictive due to the abuse of a dominant position;

    • c) protection of airlines from prices that are artificially low due to, amongst others, direct or indirect governmental subsidy or support.

  • 2 Each Contracting Party may require notification or approval to its Aeronautical Authorities of prices to be charged to or from its territory by airlines of the other Contracting Party.

  • 3 If either Contracting Party considers any such prices inconsistent with the considerations set forth in paragraph (1) and paragraph (2) of this Article, it shall request consultations and notify the other Contracting Party of the reasons for its dissatisfaction as soon as possible. These consultations shall be held not later than 30 days after receipt of the request of the other Contracting Party, and the Contracting Parties shall co-operate in securing information necessary for reasoned resolution of the issue.

    If the Contracting Parties reach agreement with respect to a price for which a notice of dissatisfaction has been given, each Contracting Party shall use its best efforts to put that agreement into effect. Without such mutual agreement, the new price shall not take effect or continue to be in effect.

  • 4 Notwithstanding the provisions of this Article, in the case of the Kingdom of the Netherlands, the prices to be charged by the designated airlines for carriage wholly within the European Community shall be subject to European Community Law.

Article X

In a spirit of close cooperation, the aeronautical authorities of the Contracting Parties shall consult each other from time to time with a view to ensuring the implementation of, and satisfactory compliance with, the provisions of the present Agreement and the Annex hereto.

Article XI

Certificates of airworthiness, certificates of competency and licenses issued or rendered valid by one Contracting Party shall be recognized as valid by the other Contracting Party for the purpose of operating the routes and services described in the Annex to this Agreement. Each Contracting Party reserves the right to refuse to recognize for the purpose of flight above its own territory, certificates of competency and licenses granted to its own nationals by another state.

Article XII

  • (1) If any dispute arises between the Contracting Parties relating to the interpretation or application of the present Agreement, the Contracting Parties shall in the first place endeavor to settle it by negotiation between themselves. This negotiation shall begin within 60 days after receipt of the request by one Party from the other.

  • (2) If the Contracting Parties fail to reach a settlement by negotiation, the dispute shall be submitted for decision to a tribunal of three arbitrators, one to be named by each Contracting Party and the third to be agreed upon by the two arbitrators so chosen, provided that such third arbitrator shall not be a national of either Contracting Party. Each of the Contracting Parties shall designate an arbitrator within two months of the date of delivery by either Party to the other Party of a diplomatic note requesting arbitration of the dispute and the third arbitrator shall be agreed upon within one month after such period of two months. If either Contracting Party fails to designate its arbitrator within the period specified, or if the third arbitrator is not agreed, the President of the Council of the International Civil Aviation Organization may be requested by either Contracting Party to appoint an arbitrator or arbitrators as the case requires. In such case, the third arbitrator shall be a national of a third state and shall act as President of the arbitral body.

  • (3) Unless otherwise provided by the Contracting Parties, the arbitral body shall determine its seat and prescribe its own rules of procedure.

  • (4) The arbitral body shall endeavor to resolve the dispute by unanimous vote. However, if this is not possible, the decision of the arbitral body shall be determined by a majority vote.

  • (5) The Contracting Parties undertake to comply with any decision given under paragraphs (2), (3) and (4) of this Article.

Article XIII

  • (1) If either of the Contracting Parties considers it desirable to modify the terms of the present Agreement, it may request consultation with the other Contracting Party. Such consultation, which may be between aeronautical authorities and which may be through discussion or by correspondence, shall begin within a period of sixty (60) days of the date of the request.

  • (2) Modifications to routes may be made by direct agreement between the competent aeronautical authorities of the Contracting Parties.

  • (3) Any modification so agreed upon pursuant to paragraphs (1) and (2), above, shall come into effect after confirmation thereof by an exchange of diplomatic notes.

Article XIV

The present Agreement and any modification thereto in accordance with Article XIII, above, shall be registered with the International Civil Aviation Organization.

Article XV

Either Contracting Party may at any time give notice to the other Contracting Party of its decision to terminate the present Agreement. Such notice shall be simultaneously communicated to the International Civil Aviation Organization. In such case the Agreement shall terminate twelve (12) months after the date of receipt of the notice by the other Contracting Party, unless the notice to terminate is withdrawn by agreement before the expiry of this period. In the absence of acknowledgment of receipt by the other Contracting Party, notice shall be deemed to have been received fourteen (14) days after the receipt of the notice by the International Civil Aviation Organization.

Article XVI

The present Agreement shall enter into force and effect on the date of the exchange of diplomatic notes, indicating that the formalities required by each Contracting Party have been accomplished.

IN WITNESS WHEREOF, the undersigned plenipotentiaries, being duly authorized thereto by their respective Governments, have signed the present Agreement and have affixed thereto their seals.

DONE at Manila, Philippines, this 21st day of January 1969, in duplicate in the English language, and signed at The Hague on 8th day of May, 1969.

ANNEX

  • 1. Scheduled Passenger and Combination Operations

    The airline(s) designated by the Republic of the Philippines shall be entitled to operate scheduled passenger services on a 3rd, 4th and 5th freedom basis:

    • From all Points in the Philippines via Thailand, Singapore, India, Pakistan, Bahrain, KSA, two (2) points in the Gulf, a country in the Near East, three (3) countries in Europe and one (1) roving point, to all points in the Netherlands, to one (1) roving beyond point in the U.S. and v.v., to be chosen by (a) designated airline(s) of the Philippines and confirmed in writing by the Aeronautical Authorities of the Netherlands. This point will subsequently be included in the applicable route schedule in accordance with paragraph 3, Article XIII of the Agreement.

    The airline(s) designated by the Kingdom of the Netherlands shall be entitled to operate scheduled passenger services on a 3rd, 4th and 5th freedom basis:

    • From all Points in the Netherlands via Austria, Greece, Dubai or Abu Dhabi, India, Pakistan, Bangkok, Singapore, Kuala Lumpur and one (1) roving point to be chosen by the designated airline(s) of the Netherlands to all points in the Philippines and v.v. The point to be chosen by the designated airline(s) of the Netherlands shall be subject to the prior and mutual approval of the Aeronautical Authorities of both Contracting Parties. After such approval, this point will subsequently be included in the applicable route schedule in accordance with paragraph 3, Article XIII of the Agreement.

    The exercise of fifth freedom traffic rights to the new beyond point in the US for the Philippines and the new intermediate point for the Netherlands shall not be subject to commercial arrangements or any other conditions.

  • II. All Cargo Operations

    The designated all cargo airline(s) of either Contracting Party shall be entitled to operate all cargo services on the basis of 3rd, 4th and/or 5th freedom with unlimited frequencies in any configuration:

    • from all points in the territory of the one Contracting Party

    • via any intermediate point,

    • to all points in the territory of the other Contracting Party to

    • any point beyond;

    • with an average actually transported capacity of an average of 250 tons per week for points between the two Contracting Parties except Clark/Subic for which the average capacity actually transported shall be 700 tons per week, each operated capacity shall be counted cumulatively per month.

  • III.

    • a) Points not covered under the Routes under Annex 1 and Annex II respectively, as amended, may be served on flights operating to or through the territory of the other Contracting Party. However, local traffic rights between such points and the territory of the other Contracting Party shall be the subject of prior consultations.

    • b) The designated airlines may overfly or omit any of the specified points.

    • c) The alternative intermediate points may not be changed oftener than every 180 days.

De Regering van het Koninkrijk der Nederlanden en de Regering van de Republiek der Filippijnen, hierna te noemen de Overeenkomstsluitende Partijen,

Partij zijnde bij het Verdrag inzake de internationale burgerluchtvaart en de Overeenkomst inzake de Doortocht van Internationale Luchtdiensten, beide op 7 december 1944 te Chicago ter ondertekening opengesteld,

Geleid door de wens de daarin vastgelegde beginselen en bepalingen op het luchtvervoer toe te passen, en

Geleid door de wens een overeenkomst te sluiten met het doel luchtdiensten in te stellen en te exploiteren tussen en via de grondgebieden van het Koninkrijk der Nederlanden en de Republiek der Filippijnen,

Zijn als volgt overeengekomen:

Artikel I

Tenzij uit de inhoud van deze Overeenkomst anders mocht blijken, hebben de volgende termen de daaraan hierbij toegekende betekenis:

  • (a) Onder „luchtvaartautoriteiten” wordt, wat het Koninkrijk der Nederlanden betreft, verstaan de Directeur-Generaal van de Rijksluchtvaartdienst of alle personen of instellingen die bevoegd zijn enige functie te vervullen die thans door genoemde Directeur-Generaal van de Rijksluchtvaartdienst wordt vervuld, of soortgelijke functies, en wat de Republiek der Filippijnen betreft, de Raad voor de Burgerluchtvaart of alle personen of instellingen die bevoegd zijn enige functie te vervullen die thans door genoemde Raad voor de Burgerluchtvaart wordt vervuld, of soortgelijke functies.

  • (b) Onder „aangewezen luchtvaartmaatschappij” of „aangewezen luchtvaartmaatschappijen” wordt een luchtvaartmaatschappij of worden luchtvaartmaatschappijen verstaan die een der Overeenkomstsluitende Partijen, overeenkomstig het bepaalde in artikel III van deze Overeenkomst, door schriftelijke kennisgeving aan de andere Overeenkomstsluitende Partij heeft aangewezen voor de exploitatie van luchtdiensten op de routes die zijn omschreven in de Bijlage bij deze Overeenkomst.

  • (c) Onder „grondgebied” in verband met een Staat wordt verstaan het land en de daaraan grenzende territoriale wateren die onder de soevereiniteit, de suzereiniteit, de bescherming, het trustschap of het beheer van die Staat staan.

  • (d) Onder „het Verdrag” wordt verstaan het Verdrag inzake de internationale burgerluchtvaart, dat op 7 december 1944 te Chicago ter ondertekening werd opengesteld, met inbegrip van alle overeenkomstig artikel 90 van het Verdrag aangenomen bijlagen en alle overeenkomstig de artikelen 90 en 94 van dat Verdrag aangenomen wijzigingen van de bijlagen of het Verdrag.

  • (e) Aan de termen „luchtdiensten”, „internationale luchtdienst”, „luchtvaartmaatschappij” en „landingen anders dan voor verkeersdoeleinden” wordt dezelfde betekenis gehecht als daaraan in artikel 96 van het Verdrag wordt toegekend.

  • (f) Onder „overeengekomen diensten” worden verstaan geregelde luchtdiensten onderhouden op de routes die zijn omschreven in de Bijlage bij deze Overeenkomst.

Artikel II

  • (1) Elke Overeenkomstsluitende Partij verleent aan de andere Overeenkomstsluitende Partij de in deze Overeenkomst omschreven rechten voor het instellen van de overeengekomen diensten.

  • (2) Met inachtneming van het bepaalde in deze Overeenkomst heeft (hebben) de door elk der Overeenkomstsluitende Partijen aangewezen luchtvaartmaatschappij of luchtvaartmaatschappijen bij de exploitatie van een overeengekomen dienst op een omschreven route, de volgende rechten:

    • (a) zonder te landen over het grondgebied van de andere Overeenkomstsluitende Partij te vliegen;

    • (b) op dat grondgebied te landen voor andere dan verkeersdoeleinden; en

    • (c) op dat grondgebied te landen op de voor die route in de Bijlage bij deze Overeenkomst genoemde punten voor het afzetten en opnemen van passagiers, vracht en post in internationaal verkeer komende van of bestemd voor andere aldus genoemde punten.

  • (3) Geen der in lid 2 van dit artikel vervatte bepalingen wordt geacht de luchtvaartmaatschappij of de luchtvaartmaatschappijen van een der Overeenkomstsluitende Partijen het recht te geven tot het opnemen op het grondgebied van de andere Overeenkomstsluitende Partij van passagiers, vracht of post tegen vergoeding of beloning en bestemd voor een ander punt op het grondgebied van die andere Overeenkomstsluitende Partij.

Artikel III

  • (1) Elke Overeenkomstsluitende Partij is gerechtigd aan de andere Overeenkomstsluitende Partij schriftelijk mededeling te doen van de aanwijzing van een of meer luchtvaartmaatschappijen voor de exploitatie van de overeengekomen diensten op de omschreven routes.

  • (2) Na ontvangst van de aanwijzing verleent de andere Overeenkomstsluitende Partij, via haar luchtvaartautoriteiten, met inachtneming van het bepaalde in de leden 3, 4 en 5 van dit artikel, onverwijld de vereiste exploitatievergunning aan de aangewezen luchtvaartmaatschappij.

  • (3) De luchtvaartautoriteiten van een der Overeenkomstsluitende Partijen kunnen eisen dat (een) door de andere Overeenkomstsluitende Partij aangewezen luchtvaartmaatschappij of luchtvaartmaatschappijen hun aantoont (aantonen) dat zij in staat is (zijn) te voldoen aan de voorwaarden die worden gesteld bij de wettten en voorschriften welke door deze autoriteiten gewoonlijk en op redelijke wijze worden toegepast op een wijze die niet in strijd is met de bepalingen van het Verdrag.

  • (4) In elk geval waarin niet ten genoegen van een Overeenkomstsluitende Partij is aangetoond dat een aanmerkelijk deel van de eigendom van en het daadwerkelijk toezicht op (een) luchtvaartmaatschappij of luchtvaartmaatschappijen berusten bij de andere Overeenkomstsluitende Partij die de luchtvaartmaatschappij of de luchtvaartmaatschappijen heeft aangewezen of bij onderdanen van de Overeenkomstsluitende Partij die de luchtvaartmaatschappij of luchtvaartmaatschappijen heeft aangewezen, heeft eerstbedoelde Overeenkomstsluitende Partij het recht de exploitatievergunning bedoeld in lid 2 van dit artikel te weigeren, niet te verlenen of te herroepen, of de door haar noodzakelijk geachte voorwaarden te verbinden aan de uitoefening van deze rechten door (een) luchtvaartmaatschappij of luchtvaartmaatschappijen.

  • (5) De uitoefening door de aangewezen luchtvaartmaatschappij of luchtvaartmaatschappijen van de rechten toegekend in de desbetreffende exploitatievergunning zoals bedoeld in lid 2 van dit artikel, is onderworpen aan de wettelijke bevoegdheden van de luchtvaartautoriteiten van de Overeenkomstsluitende Partijen, ten einde de uitvoering van het bepaalde in artikel VIII van deze Overeenkomst te verzekeren.

  • (6) Elke Overeenkomstsluitende Partij heeft het recht de uitoefening door (een) luchtvaartmaatschappij of luchtvaartmaatschappijen van de in lid 2 van artikel II omschreven rechten op te schorten of ten aanzien van de uitoefening van die rechten door (een) luchtvaartmaatschappij of luchtvaartmaatschappijen de voorwaarden te stellen die zij noodzakelijk acht in elk geval waarin de luchtvaartmaatschappij of luchtvaartmaatschappijen in gebreke blijft (blijven) de wetten en voorschriften bedoeld in artikel VII van deze Overeenkomst na te komen of anderszins in gebreke blijft (blijven) de exploitatie te voeren in overeenstemming met de in deze Overeenkomst gestelde voorwaarden, met dien verstande dat tenzij de onmiddellijke opschorting of het stellen van voorwaarden noodzakelijk is om hernieuwde inbreuken op de wetten of voorschriften te voorkomen, dit recht slechts wordt uitgeoefend na overleg met de andere Overeenkomstsluitende Partij.

Artikel IV

  • (1) Luchtvaartuigen die door de door een Overeenkomstsluitende Partij aangewezen luchtvaartmaatschappij of luchtvaartmaatschappijen op internationale diensten worden gebruikt, en hun normale uitrustingsstukken, reservedelen, voorraden motorbrandstof en smeermiddelen, proviand (met inbegrip van etenswaren, dranken en tabaksartikelen) die zich aan boord bevinden van die luchtvaartuigen, zijn bij binnenkomst op het grondgebied van de andere Overeenkomstsluitende Partij vrijgesteld van alle douanerechten, inspectiekosten en andere rechten en heffingen, onder voorwaarde dat die uitrustingsstukken en voorraden aan boord van de luchtvaartuigen blijven totdat zij weer worden uitgevoerd.

  • (2) Voorraden motorbrandstof, smeermiddelen, reservedelen, normale uitrustingsstukken en proviand die in het grondgebied van een Overeenkomstsluitende Partij worden ingevoerd door of namens een aangewezen luchtvaartmaatschappij van de andere Overeenkomstsluitende Partij, of aan boord genomen worden van de luchtvaartuigen geëxploiteerd door zulk een aangewezen luchtvaartmaatschappij, en die uitsluitend bestemd zijn voor gebruik bij de exploitatie van internationale diensten, zijn vrijgesteld van alle rechten en heffingen, daaronder begrepen douanerechten en inspectiekosten, opgelegd op het grondgebied van de eerstgenoemde Overeenkomstsluitende Partij, zelfs wanneer die voorraden zullen worden gebruikt op de delen van de vlucht die boven het grondgebied van de Overeenkomstsluitende Partij waar zij aan boord worden genomen worden afgelegd. Verlangd kan worden dat de bovengenoemde goederen onder douanetoezicht of -controle blijven.

  • (3) De normale boorduitrustingsstukken, reservedelen, proviand en voorraden motorbrandstof en smeermiddelen die zich aan boord van de luchtvaartuigen van een der Overeenkomstsluitende Partijen bevinden kunnen op het grondgebied van de andere Overeenkomstsluitende Partij slechts worden uitgeladen met toestemming van de douaneautoriteiten van die Partij, die kunnen eisen dat die goederen onder hun toezicht worden gesteld, totdat zij weer worden uitgevoerd of overeenkomstig de douanevoorschriften een andere bestemming hebben gekregen.

Artikel V

Elke aangewezen luchtvaartmaatschappij of alle aangewezen luchtvaartmaatschappijen is (zijn) gemachtigd op het grondgebied van de andere Overeenkomstsluitende Partij haar (hun) eigen technisch en administratief personeel in dienst te hebben, onverminderd de nationale voorschriften van de onderscheiden Overeenkomstsluitende Partijen.

Artikel VI

Elk der beide Overeenkomstsluitende Partijen verbindt zich de andere Overeenkomstsluitende Partij het recht te verlenen tot het vrijelijk overmaken tegen de officiële wisselkoers van de netto-inkomsten op haar grondgebied verworven ten gevolge van het vervoer van passagiers, bagage, post en vracht door een aangewezen luchtvaartmaatschappij of luchtvaartmaatschappijen van de andere Overeenkomstsluitende Partij. In alle gevallen waarin het betalingsverkeer tussen de Overeenkomstsluitende Partijen door een bijzondere overeenkomst wordt geregeld, is deze bijzondere overeenkomst van toepassing.

Artikel VII

  • (1) De wetten en voorschriften van een der Overeenkomstsluitende Partijen betreffende het binnenkomen in en het vertrek van haar grondgebied van luchtvaartuigen, gebezigd in internationale luchtdiensten of betreffende de exploitatie en het vliegen van deze luchtvaartuigen terwijl zij zich op haar grondgebied bevinden, zijn van toepassing op de luchtvaartuigen van de door de andere Overeenkomstsluitende Partij aangewezen luchtvaartmaatschappij of luchtvaartmaatschappijen en worden door deze luchtvaartuigen nagekomen bij het binnenkomen in, of het vertrek van het grondgebied van de eerstgenoemde Overeenkomstsluitende Partij, of terwijl zij zich op het grondgebied van die Partij bevinden.

  • (2) De wetten en voorschriften van een der Overeenkomstsluitende Partijen betreffende het binnenkomen in en het vertrek van haar grondgebied van luchtvaartuigen, gebezigd in internationale luchtdiensten of betreffende de exploitatie en het vliegen van deze luchtvaartuigen terwijl zij zich op haar grondgebied bevinden, zijn van toepassing op de luchtvaartuigen van de door de andere Overeenkomstsluitende Partij aangewezen luchtvaartmaatschappij of luchtvaartmaatschappijen en worden door deze luchtvaartuigen nagekomen bij het binnenkomen in, of het vertrek van het grondgebied van de eerstgenoemde Overeenkomstsluitende Partij, of terwijl zij zich op het grondgebied van die Partij bevinden.

  • (3) Passagiers op rechtstreekse doorreis via het grondgebied van een der Overeenkomstsluitende Partijen worden slechts aan een eenvoudige controle onderworpen. Bagage en vracht die rechtstreeks worden doorgevoerd zijn vrijgesteld van douanerechten en soortgelijke heffingen. Voor de toepassing van dit lid is de term „rechtstreekse doorreis” alleen van toepassing op passagiers, bagage en/of vracht die steeds onder toezicht van de douane-autoriteiten van de Overeenkomstsluitende Partijen blijven.

Artikel VIII

Ter ontwikkeling van de luchtvervoersdiensten langs de routes of delen daarvan omschreven in de Bijlage bij deze Overeenkomst, ten einde evenwicht te bereiken en te handhaven tussen de capaciteit van de omschreven luchtdiensten en de behoeften van het publiek aan luchtvervoer, zoals vastgesteld door de luchtvaartautoriteiten van de Overeenkomstsluitende Partijen, wordt overeengekomen dat:

  • (1) De aangewezen luchtvaartmaatschappij of luchtvaartmaatschappijen van elke Overeenkomstsluitende Partij op billijke wijze en gelijkelijk in de gelegenheid wordt (worden) gesteld de overeengekomen diensten voor het vervoer tussen de grondgebieden van de beide Partijen te exploiteren;

  • (2) Bij het exploiteren van de overeengekomen diensten door de aangewezen luchtvaartmaatschappij of luchtvaartmaatschappijen van elk der Overeenkomstsluitende Partijen wordt rekening gehouden met de belangen van de aangewezen luchtvaartmaatschappijen van de andere Overeenkomstsluitende Partij, zodat de diensten die de laatstgenoemde maatschappijen op dezelfde routes of delen daarvan onderhouden hier niet op onredelijke wijze door worden getroffen.

Artikel IX

  • (1) De tarieven te heffen door de luchtvaartmaatschappij of de luchtvaartmaatschappijen van een der Overeenkomstsluitende Partijen voor vervoer naar of uit het grondgebied van de andere Overeenkomstsluitende Partij worden vastgesteld op een redelijk niveau, waarbij terdege rekening wordt gehouden met alle in aanmerking komende factoren, daaronder begrepen de exploitatiekosten, een redelijke winst en de tarieven van andere luchtvaartmaatschappijen zoals die worden toegepast op de omschreven routes of delen daarvan.

  • (2) De in lid 1 van dit artikel bedoelde tarieven worden, indien mogelijk, in onderlinge overeenstemming vastgesteld door de betrokken aangewezen luchtvaartmaatschappijen van de beide Overeenkomstsluitende Partijen, in overleg met andere luchtvaartmaatschappijen die de gehele route of delen daarvan exploiteren, en die overeenstemming dient, zo mogelijk, te worden bereikt door middel van de procedure van de „International Air Transport Association” ter vaststelling van de tarieven.

  • (3) De aldus overeengekomen tarieven worden tenminste negentig (90) dagen voor de voorgestelde datum van invoering aan de luchtvaartautoriteiten van de beide Overeenkomstsluitende Partijen ter goedkeuring voorgelegd; in bijzondere gevallen kan dit tijdvak worden verkort, behoudens toestemming van de genoemde autoriteiten.

  • (4) Indien de aangewezen luchtvaartmaatschappijen niet tot overeenstemming kunnen komen omtrent een of meer van deze tarieven, of indien om een andere reden een tarief niet kan worden vastgesteld overeenkomstig de bepalingen van lid 2 van dit artikel, of indien gedurende de eerste 30 dagen van de periode van 90 dagen, genoemd in lid 3 van dit artikel, de ene Overeenkomstsluitende Partij de andere mededeelt dat zij een tarief, vastgesteld overeenkomstig de bepalingen van lid 2 van dit artikel, onbevredigend acht, trachten de luchtvaartautoriteiten van de Overeenkomstsluitende Partijen in onderling overleg het tarief vast te stellen.

  • (5) Indien de luchtvaartautoriteiten niet tot overeenstemming kunnen komen omtrent de goedkeuring van een hun ingevolge lid 3 van dit artikel voorgelegd tarief of omtrent de vaststelling van een tarief ingevolge lid 4, wordt het geschil opgelost overeenkomstig de bepalingen van artikel XII van deze Overeenkomst.

  • (6) Geen nieuw tarief wordt van kracht indien de luchtvaartautoriteiten van een der Overeenkomstsluitende Partijen dit niet hebben goedgekeurd, behoudens het bepaalde in lid 3 van dit artikel.

  • (7) De overeenkomstig de bepalingen van dit artikel vastgestelde tarieven blijven van kracht totdat nieuwe tarieven zijn vastgesteld overeenkomstig de bepalingen van dit artikel.

Artikel X

In een geest van nauwe samenwerking raadplegen de luchtvaartautoriteiten van beide Overeenkomstsluitende Partijen elkander van tijd tot tijd om de uitvoering en bevredigende naleving van de bepalingen van deze Overeenkomst en de Bijlage daarbij te verzekeren.

Artikel XI

Bewijzen van luchtwaardigheid en bewijzen van bevoegdheid welke zijn uitgereikt of geldig verklaard door een der Overeenkomstsluitende Partijen worden als geldig erkend door de andere Overeenkomstsluitende Partij wat de exploitatie op de routes en van de diensten omschreven in de Bijlage bij deze Overeenkomst betreft. ledere Overeenkomstsluitende Partij behoudt zich het recht voor de erkenning van bewijzen van bevoegdheid voor vluchten boven haar eigen grondgebied te weigeren, indien deze bewijzen door een andere Staat aan zijn eigen onderdanen zijn verleend.

Artikel XII

  • (1) Indien tussen de Overeenkomstsluitende Partijen een geschil mocht ontstaan omtrent de uitlegging of toepassing van deze Overeenkomst, trachten de Overeenkomstsluitende Partijen eerst dit geschil te regelen door middel van onderhandelingen. Deze onderhandelingen dienen te beginnen binnen 60 dagen nadat een der Partijen het verzoek van de andere heeft ontvangen.

  • (2) Indien de Overeenkomstsluitende Partijen er niet in slagen door middel van onderhandelingen een regeling te treffen wordt het geschil ter beslissing voorgelegd aan een scheidsgerecht van drie scheidsrechters, van wie elk der Overeenkomstsluitende Partijen er een aanwijst, terwijl over de derde overeenstemming wordt bereikt door de twee aldus gekozen scheidsrechters, mits deze derde scheidsrechter geen onderdaan van een der Overeenkomstsluitende Partijen is. Elk der Overeenkomstsluitende Partijen wijst een scheidsrechter aan binnen twee maanden na de datum van overhandiging door een der Partijen aan de andere Partij van een diplomatieke nota waarin om een scheidsrechterlijke beslissing in het geschil wordt verzocht en over de derde scheidsrechter wordt overeenstemming bereikt binnen een maand na een zodanig tijdvak van twee maanden. Indien een der Overeenkomstsluitende Partijen nalaat binnen het aangegeven tijdvak een scheidsrechter aan te wijzen, of indien geen overeenstemming over de derde scheidsrechter wordt bereikt, kan elk der Overeenkomstsluitende Partijen een verzoek richten tot de President van de Raad van de Internationale Burgerluchtvaartorganisatie een scheidsrechter of eventueel scheidsrechters te benoemen. In dat geval dient de derde scheidsrechter onderdaan te zijn van een derde Staat en treedt hij op als President van het scheidsgerecht.

  • (3) Tenzij de Overeenkomstsluitende Partijen anders bepalen, stelt het scheidsgerecht zijn eigen zetel vast en bepaalt het zijn eigen procedureregels.

  • (4) Het scheidsgerecht poogt het geschil met eenparigheid van stemmen op te lossen. Indien zulks niet mogelijk is, wordt de beslissing van het scheidsgerecht bepaald bij een meerderheid van stemmen.

  • (5) De Overeenkomstsluitende Partijen verbinden zich ertoe, zich aan iedere ingevolge lid 2, 3 en 4 van dit artikel genomen beslissing te houden.

Artikel XIII

  • (1) Indien een der Overeenkomstsluitende Partijen het wenselijk acht bepalingen van deze Overeenkomst te wijzigen, kan zij de andere Overeenkomstsluitende Partij om overleg verzoeken. Dit overleg, dat kan plaatsvinden tussen de luchtvaartautoriteiten, kan zowel mondeling als schriftelijk geschieden, en vangt aan binnen een termijn van zestig dagen te rekenen van de datum van het verzoek.

  • (2) Wijzigingen van de routes kunnen worden aangebracht bij rechtstreekse overeenstemming tussen de bevoegde luchtvaartautoriteiten van de Overeenkomstsluitende Partijen.

  • (3) Alle wijzigingen die zijn overeengekomen krachtens lid 1 en 2 hierboven, treden in werking wanneer zij zijn bevestigd door middel van een diplomatieke notawisseling.

Artikel XIV

Deze Overeenkomst en eventuele wijzigingen daarop overeenkomstig artikel XIII hierboven, worden geregistreerd bij de Internationale Burgerluchtvaartorganisatie.

Artikel XV

Elke Overeenkomstsluitende Partij kan aan de andere Overeenkomstsluitende Partij te allen tijde mededeling doen van haar besluit deze Overeenkomst te beëindigen; deze mededeling wordt tegelijkertijd gezonden aan de Internationale Burgerluchtvaartorganisatie. In een dergelijk geval treedt de Overeenkomst buiten werking twaalf (12) maanden na de datum van ontvangst van de mededeling door de andere Overeenkomstsluitende Partij, tenzij de mededeling in onderling overleg voor het einde van deze termijn wordt ingetrokken. Indien van de andere Overeenkomstsluitende Partij geen ontvangstbevestiging wordt ontvangen, wordt de mededeling geacht te zijn ontvangen veertien (14) dagen na ontvangst van de mededeling door de Internationale Burgerluchtvaartorganisatie.

Artikel XVI

Deze Overeenkomst wordt van kracht en treedt in werking op de datum waarop diplomatieke nota's worden uitgewisseld waarin wordt verklaard dat de door elke Overeenkomstsluitende Partij vereiste formaliteiten zijn vervuld.

TEN BLIJKE WAARVAN de ondertekenende gevolmachtigden, daartoe behoorlijk gemachtigd door hun onderscheiden Regeringen, deze Overeenkomst hebben ondertekend en daaraan hun zegel hebben gehecht.

GEDAAN te Manilla, Filippijnen, de 21ste januari 1969, in tweevoud in de Engelse taal, en ondertekend te 's-Gravenhage de 8ste mei 1969.
