Arrangement between certain member States of the European Space Research Organisation and the European Space Research Organisation concerning the execution of a Special TD Project

The Governments of the Federal Republic of Germany, the Kingdom of Belgium, the Kingdom of Denmark, Spain, the French Republic, the Kingdom of the Netherlands, the United Kingdom of Great Britain and Northern Ireland, the Kingdom of Sweden and the Swiss Confederation (hereinafter referred to as „the Governments”), being Governments of States parties to the Convention for the establishment of a European Space Research Organisation opened for signature in Paris on 14 June 1962 (hereinafter referred to as „the Convention”),

and

The European Space Research Organisation (hereinafter referred to as the „Organisation”),

Considering that there is a need to design, develop, construct and place in orbit a TD satellite;

Considering that such a project already initiated in the agreed programme of the Organisation cannot be continued in the same framework;

Regarding the project as a Special Project within the meaning of Article VIII of the Convention;

Having regard to the Declaration made by the Representatives to the Council of the Organisation of the Governments referred to above, dated 9 October 1968;

Having regard to the Resolution No. ESRO/C/XXV/Res. 3.2(b) adopted by the Council of the Organisation during its 25th Session,

Have agreed as follows

Article 1

In accordance with Article VIII of the Convention, the Organisation shall make available to the Governments, its assistance and the use of its facilities, in the design, development, construction and placing in orbit of a TD satellite incorporating the essential features of the mission of the TD 1 satellite formerly included in the programme of the Organisation (hereinafter referred to as the „Special Project”). It is understood that the subsequent exploitation of the TD satellite in orbit shall be an integral part of the Organisation's normal programme. The Special Project shall be executed in accordance with the Programme set out in Annex A, which is an integral part of this Arrangement.

Article 2

Except where otherwise provided in this Arrangement, the rules of the Organisation shall be applied mutatis mutandis for the execution of the Special Project.

Article 3

  • 1 The cost resulting from the execution by the Organisation of its duties under this Arrangement, as defined in Annex B which is an integral part of this Arrangement (hereinafter referred to as „the reimbursable costs”), shall be refunded to the Organisation by the Governments.

  • 2 The reimbursable costs shall not exceed 196 MF (which includes a contingency margin of 44 MF).

  • 3 The reimbursable costs incurred by the Organisation shall be charged to a special account in accordance with the detailed provisions set out in Annex B.

  • 4 The share of each Government in the reimbursable costs shall be determined in accordance with the basis of apportionment set out in Annex B.

  • 5 The Governments shall pay their shares of the reimbursement into the special account in amounts and at dates in accordance with the provisions of the Organisation's Financial Rules.

  • 6 The Director General of the Organisation shall control the use of the contingency of 44 MF referred to in paragraph 2 of this Article. Any proposal to use more than is at the discretion of the Director General, under the rules of the Organisation, shall require the approval of two-thirds of the Governments.

  • 7 The Governments may, as an exceptional measure, decide:

    • a. to institute special technical and financial controls of which they will define the terms and conditions;

    • b. to hold meetings in order to give the Director General instructions concerning the management of the Special Project.

Article 4

The publication of scientific and technical information, as well as the intellectual property rights, arising out of the Special Project shall be governed by the relevant rules within the Organisation.

Article 5

  • 1 The Governments authorise the Organisation to conclude the necessary contracts for the execution of the Special Project in conformity with the provisions of Annexes A and B.

  • 2 In placing contracts and sub-contracts for the execution of the Special Project preference shall be given wherever possible to work being undertaken in the territories of the Governments.

Article 7

  • 1 The Governments shall indemnify the Organisation against any liability which it might incur should its international responsibility be engaged as a result of the execution of the Special Project.

  • 2 Compensation received by the Organisation in respect of damage caused to the Special Project shall be credited to the special account referred to in paragraph 3 of Article 3 of this Arrangement.

Article 8

  • 1 Any dispute which arises between two or more of the Governments, or between any of them and the Organisation, concerning the interpretation or application of this Arrangement, and which cannot be settled amicably, shall be submitted at the request of any party to the dispute to a single arbiter to be appointed by the President of the International Court of Justice. The arbiter may not be a national of a State which is a party to the dispute.

  • 2 Those parties to the Arrangement which are not parties to the dispute shall have the right to join in the proceedings and the arbiter's decision shall be binding on all the Governments and the Organisation, whether or not they so join.

Article 9

  • 1 This Arrangement shall be open for signature by the Governments until 1 January 1969.

  • 2 The Governments shall become parties to this Arrangement:

    • - upon signature not subject to ratification or approval;

    • - upon depositing an instrument of ratification or approval with the Government of the French Republic, if this Arrangement was signed subject to ratification or approval.

  • 3 This Arrangement shall come into force when it has been signed by the Organisation and when the Governments, whose shares on the scale set out in the Appendix to Annex B amount to 90 %, have become parties to this Arrangement in accordance with paragraph 2 of this Article.

  • 4 For the purpose of paragraph 3 of this Article, the deposit of a declaration of intention to apply the Arrangement provisionally and to seek ratification or approval, as soon as possible shall be considered as the deposit of an instrument of ratification or approval.

  • 5 Any Government of a Member State of the Organisation which has not signed the Arrangement by 1 January 1969, may become a party to the Arrangement after it has come into force provided

    • a. the other Governments party to the Arrangement agree and

    • b. the Government in question deposits an instrument of accession with the Government of the French Republic.

  • 6 On becoming a party to this Arrangement after its entry into force, a Government shall contribute the amount that it would have contributed had it been a party to the Arrangement at the moment of its entry into force, and such amounts shall be credited pro rata to the other Parties in the special account.

Article 10

  • 1 The Organisation shall notify the Governments, after consultation with them, when the Special Project has been duly completed in accordance with the provisions of this Arrangement and this Arrangement shall expire upon receipt of such notification.

  • 2 In the event that, for exceptional circumstances, it should become necessary to exceed the financial ceiling specified in paragraph 2 of Article 3 in order to complete the Special Project, the Organisation shall immediately notify the Governments, who shall consult with each other with a view to deciding whether the Special Project can be continued and, if so, on what basis.

  • 3 This Arrangement shall expire forthwith if a decision, as to the continuation of the Special Project, cannot be reached. In this event, a Protocol shall be drawn up for the liquidation of the Special Project.

Article 11

Upon the entry into force of this Arrangement, the Government of the French Republic shall register it with the Secretariat of the United Nations, in accordance with Article 102 of the Charter of the United Nations.

Article 12

The Government of the French Republic shall notify the Governments of all the signatures, ratifications, accessions and the date of the entry into force of this Arrangement.

IN WITNESS WHEREOF the undersigned Representatives, having been duly authorised thereto, have signed this Arrangement.

DONE in Paris, this ninth day of October nineteen hundred and sixty eight, in the English and French languages, both texts being equally authoritative, in a single copy, which shall be deposited in the archives of the Government of the French Republic, which shall transmit certified copies to each of the Governments and to the Organisation.

  • 1. EXPERIMENTS TO BE FLOWN

    The TD-1 satellite is intended to enable the operation in space of a group of seven scientific experiments.

    Two of these experiments shall study the high energy X-ray spectrum of the sun and require one axis of the satellite to be permanently pointed at the sun. Four experiments shall scan the sky in several regions of the electromagnetic spectrum (UV and infrared), to study the emission from stars and other galactic or possible extragalactic sources, with different degrees of spectral and directional precision. These experiments shall take advantage of a slow continuous rotation of the satellite around the axis pointing at the sun. One experiment shall measure the composition of primary cosmic particles of cosmic and solar origin as well as the fluxes of protons coming from the sun and those trapped in the Van Allen belts.

    The list of the actual experiments to be flown is given below.

    Solar gamma and X-ray experiments:

    • S.88 : Solar gamma-ray detection in the energy range 50-300 MeV

      • - Scintillator/photomultiplier arrangement

      • - Experiment sponsored by the Physical Institute of the University of Milan.

    • S.100 : Monitoring of solar X-rays in the energy range 20-300 KeV

      • - Scintillator/photomultiplier arrangement.

      • - Experiment sponsored by the Space Research Laboratory of the Utrecht University.

    Stellar UV radiation experiment:

    • S.1/2/68 : Multicolour celestial scanning in the spectral region 1000-3000 A and in the infrared

      • - 30 cm diameter telescope and associated spectrometer/ photometers/infrared detectors arrangement.

      • - Experiment jointly sponsored by the University of Liege and the Edinburgh Royal Observatory.

    • S.59 : UV stellar spectrometer

      • - 26 cm diameter telescope and spectrophotometer arrangement.

      • - Experiment sponsored by the Space Research Laboratory of the Utrecht University.

    Stellar gamma and X-ray experiments:

    • S.133 : Measurement of gamma-rays in the energy range 70-300 MeV

      • - Optical spark chamber/counters/ Vidicon system arrangement.

      • - Experiment jointly sponsored by the Physical Institute of the University of Milan, the Munich Institute for Extra-Terrestrial Physics and the Saclay Nuclear Research Institute.

    • S.77 : Spectrometry of extra-terrestrial X-rays in the energy range 3-30 KeV

      • - X-ray collimator and proportional counters arrangement

      • - Experiment sponsored by the Saclay Nuclear Research Institute.

    Cosmic ray charge distribution experiment:

    • S.67 A : Spectrometry of primary charged particles.

    • - Solid state detectors and Cerenkov counter.

    • - Experiment sponsored by the Saclay Nuclear Research Institute.

      The TD-1 satellite shall be designed in order to accommodate the seven above-mentioned experiments. If, in the development of the project, serious difficulties make it necessary to consider a change in the composition of the payload, this would be treated in accordance with the existing ESRO procedure for the modification of satellite payloads resulting from development difficulties.

  • 2. SHORT DESCRIPTION OF THE SPACECRAFT

    The satellite shall consist essentially of two boxes, one containing the experiments and the other, mounted beneath it, containing the functional spacecraft equipment. The experiment compartment shall be built around the two large telescopes S.I/2/68 and S.59 and the spark chamber S.I33. The equipment compartment shall house the equipment necessary for the functioning of the satellites, e.g. the attitude control subsystem, the command receiver and decoders, the housekeeping subsystem, the data storage and transmission subsystem, the power conditioning, storage and distribution units. The satellite shall be powered by solar cells, mounted on solar paddles, hinged from opposite edges of the same face of the satellite body. This face of the satellite shall be controlled to face the sun during the sun-lit phase of the orbit with an accuracy of the order of 1 minute of arc.

    Telecommand and telemetry transmissions shall take place in the V.H.F. band, through an antenna located at the tip of a deployable boom.

    The satellite dimensions shall be about 1 x 0,9 x 2 m. Its weight shall be approximately 460 kg.

    The satellite shall be launched into a quasi circular orbit at about 550 km altitude by a Thor Delta vehicle. The inclination of the orbit and time of launch shall be selected so that a sun-synchronous orbit is achieved. The satellite shall be designed to operate during the sun-lit phase of such an orbit only and for a maximum life time of 6 months.

    Three satellite units shall be produced:

    • - a first prototype model P 1

    • - a qualification model P 2

    • - the flight model.

  • 3. USE OF KNOWLEDGE, INFORMATION, AND EQUIPMENT RESULTING FROM THE WORK ALREADY DONE UNDER THE PRELIMINARY CONTRACT FOR THE TD 1/TD 2 SATELLITES

    All information and knowledge already accumulated under the preliminary contract for the TD 1/TD 2 satellites, at the contractor and in the Organisation, shall be made available to the TD project, wherever this is of use for the implementation of that project. Equipment already developed or under construction in the framework of the preliminary contract for the TD1/TD2 satellites shall be used, wherever possible, for the benefit of the TD project.

    The TD project shall be conducted in such a way that the fullest use shall be made of the knowledge accumulated and of the equipment developed under the preliminary contract for the TD1/TD2 satellites.

  • 4. TIME-SCALE TO COMPLETION

    The TD project shall be conducted so as to lead to the earliest possible launch date compatible with a high probability of success in orbit. The overall time-scale for the project shall take into account the necessity of ensuring a reasonable separation between the end of the tests on the first satellite prototype PI and the delivery of experiments and equipment for integration into the qualification satellite model P2.

    Recognizing that the mission requirements can only be met if launch takes place during short windows in Spring and Autumn each year, a launch in Spring 1972 shall be set as a target for the TD satellite.

    The Organization shall endeavour to assist the scientific groups involved in meeting the most economical time-scale leading to a launch in Spring 1972.

  • 5. METHODS AND MEANS OF CONTROL BY THE ORGANISATION

    The Organisation shall aim at ensuring the best possible control of the TD project, as regards technical performances, time-scale and costs.

    To achieve this goal, the Organisation shall set up a project group, containing an adequate number of suitably qualified specialists. This project group shall constitute an integral part of ESTEC. Its function shall be to monitor the works for which the prime contractor is responsible, to monitor the works which are undertaken within the Organisation and directly concerned with the execution of the project and to ensure the compatibility of interfaces throughout the project. The project group shall comprise only persons working exclusively for the TD project. The size of this group shall be approximately 50 persons.

    The TD project group shall receive as need be, the assistance of functional support divisions of the Organisation.

    Adequate modern control techniques shall be used in the conduct of the project. These methods shall enable the project managers in industry and in ESRO to know at regular intervals the overall situation of the project as regards technical progress, time-scale and cost and to compare it with reference plans forming part of the development contract. The corresponding control procedures shall be made parts of the contractual obligations imposed on the prime contractor and his co- and sub-contractors.

    The control methods to be applied shall provide the information to be presented in the reports mentioned in paragraph 4 of Annex B to the Arrangement for the execution of the special TD project.

  • 6. REVISION CLAUSE FOR THIS ANNEX

    Should for any reason the application of any provision of this Annex reveal impractibility, then the Governments and the Organisation shall enter into negotiations with a view to amending these provisions in order to achieve the earliest possible launch date, with a high chance of success, at minimum cost, without substantially affecting the scientific objectives of the mission as planned.

Annex B. to the Arrangement between certain member States of the Organisation and the Organisation concerning the execution of a Special TD Project

  • 1. Reimbursable costs

    The Governments shall reimburse to the Organisation the following costs incurred by the Organisation, as from the 23 April 1968 in connection with, and properly chargeable to, the Special Project defined in Annex A:

    • a) Staff expenditure (comprising basic salaries after deduction of internal tax, expatriation, family and other allowances and the Organisation's contributions to the Provident Fund after deduction of internal tax and to the Social Security scheme) of staff exclusively employed on the Special Project;

    • b) Travel expenses reimbursed to the Organisation's staff, referred to in a) above, in accordance with the Staff Regulations;

    • c) Experts' fees and travel expenses;

    • d) The cost of equipment intended exclusively for the Special Project;

    • e) The cost of external contracts placed by the Organisation for the purpose of the Special Project.

  • 2. Apportionment of reimbursable costs and scale

    The reimbursable costs for each financial year shall be apportioned among the Governments in direct proportion to their contributions to the Organisation, assessed in accordance with Article XII of the Convention, for that year. The scale of allocations for 1968 is set out in the Appendix to this Annex.

  • 3. Special Account

    The reimbursable costs incurred by the Organisation shall be charged to a special account which shall be established and administered by the Organisation in accordance with the relevant provisions of its Financial Rules, in particular those Articles in Sections IV and VI of Chapter III of these Rules dealing with expenditure and accounts.

  • 4. Reports

    The Director General of the Organisation shall establish the necessary instructions for the reports to be given on the progress and geographical distribution of the work, on the call-ups of contributions, the expenditure to date and the latest estimates of cost to completion of the Special Project, in accordance with the relevant provisions of the Organisation's Financial Rules dealing with accounts (Chapter III, section VI of the Financial Rules), and with the provisions adopted by the Council concerning the periodical reports to be presented (document ESRO/C/306, add. 2, rev. 1).

  • 5. Revision Clause

    Should for any reason the application of the provisions of this Annex reveal impracticability, then the Governments and the Organisation shall enter into negotiations with a view to amending these provisions accordingly.

Special TD project declaration

The Representatives to the Council of ESRO of the Federal Republic of Germany, the Kingdom of Belgium, the Kingdom of Denmark, Spain, the French Republic, the Kingdom of the Netherlands, the United Kingdom of Great Britain and Northern Ireland, the Kingdom of Sweden, and the Swiss Confederation;

Noting the Resolution adopted by the Council of the Organisation at its 24th Session (ESRO/C/XXIV/Res. 3) concerning the continuation of the TD Satellite project either as an ESRO project or as a Special Project;

Noting that their Governments are considering taking part in the development of a TD satellite by means of a Special Project;

Noting the “Arrangement between certain Member States of the Organisation and the Organisation, concerning the execution of a Special TD Project”, opened for signature in Paris on 9 October 1968 under which Arrangement the Organisation, in accordance with Article VIII of the Convention under which it was established, would make available its assistance and the use of its facilities for the implementation of this project by undertaking all the management tasks involved as well as other tasks whose detailed definition is set out in the text of that Arrangement;

Noting that the implementation of the Special Project is compatible with the provisions of the Protocol concerning the financing of the European Space Research Organisation during its first eight years of existence:

  • 1. Request the Organisation to make avaible, under Article VIII of its Convention, its assistance and the use of its facilities as set out in the draft Arrangement;

  • 2. Declare that - as far as their Governments have not yet authorised signature of the above-mentioned Arrangement they will submit the Arrangement to their Governments:

  • 3. Declare the intention of their Governments to make the appropriate contributions to the envisaged further commitments of up to MF 25 until 31 December 1968.

Resolution by the ESRO Council concerning acceptance of a special TD project

(as adopted at its twenty-fifth Session)

The Council

Having noted the Declaration made on 9 October 1968 by the Representatives to the Council of the Organisation of the Federal Republic of Germany, the Kingdom of Belgium, the Kingdom of Denmark, Spain, the French Republic, the Kingdom of the Netherlands, the United Kingdom of Great Britain and Northern Ireland, the Kingdom of Sweden, and the Swiss Confederation,

Having considered the draft Arrangement between certain Member States of the Organisation and the Organisation, concerning the execution of a Special Project for the design, development, construction and placing in orbit of a TD satellite incorporating the essential features of the mission of the TD4 satellite formerly included in the programme of the Organisation, under which Arrangement the Organisation would make available, in accordance with Article VIII of the Convention for its establishment, its assistance and the use of its facilities for this project and which sets out the detailed terms and conditions under which the Organisation would make available its assistance and the use of its facilities for this project;

  • 1. Authorises the Director General to sign, on behalf of the Organisation, the draft Arrangement mentioned above;

  • 2. Authorises the Director General, pending the coming into force of the Arrangement:

    • (a) to make available, as required, the assistance of the Organisation and the use of its facilities for the Special Project;

    • (b) to enter into further commitments, including a suitable interim contractual arrangement with the MESH Group, up to a maximum of MF 25 until 31 December 1968, on the basis that these commitments shall be financed by the participating Governments;

    • (c) to open a special account for the financing of the Special Project;

  • 3. Authorises the Director General, after the entry into force of the Arrangement:

    • (a) to conclude the final contract with the MESH Group and such other contracts as are necessary for the execution of the Special Project;

    • (b) to make all other provisions necessary for the execution of the Special Project, in conformity with the Arrangement;

    • (c) to provide for the operation of the TD satellite after its placing in orbit;

  • 4. Agrees that the value of the contracts and sub-contracts, interim and final, awarded for the implementation of the Special Project and the participating Governments' contributions thereto shall be taken into account when applying the rule concerning geographical distribution contained in Resolution ESRO/C/XXI Res. 4 adopted by the Council on 21st December, 1967.

de Europese Organisatie voor ruimteonderzoek (hierna te noemen „de Organisatie”),

Overwegende, dat het noodzakelijk is het ontwerpen, ontwikkelen, construeren en in een baan om de aarde brengen van een TD-satelliet ter hand te nemen;

Overwegende, dat de uitvoering van een zodanig project, waarmede reeds een aanvang is gemaakt binnen het kader van het normale programma der Organisatie, niet in dat kader kan worden voortgezet;

Overwegende, dat dit project moet worden beschouwd als een Bijzonder Project in de zin van artikel VIII van het Verdrag;

Gelet op de Verklaring van 9 oktober 1968 van de vertegenwoordigers van de hierboven genoemde Regeringen in de Raad van de Organisatie;

Gelet op de door de Raad van de Organisatie tijdens zijn 25ste zitting aanvaarde Resolutie No. ESRO/C/XXV/Res. 3.2(b);

Zijn als volgt overeengekomen:

Artikel 1

Overeenkomstig het bepaalde in artikel VIII van het Verdrag, verleent de Organisatie aan de Regeringen bijstand en stelt zij haar installaties ter beschikking voor het ontwerpen, ontwikkelen, construeren en in een baan om de aarde brengen van een TD-satelliet, waarin de voornaamste kenmerken zijn verwerkt van de opdracht van de TD-1 satelliet, die voordien deel uitmaakte van het programma van de Organisatie (hierna te noemen „het Bijzondere Project”). Overeengekomen wordt dat de latere exploitatie van de in een baan om de aarde gebrachte TD-satelliet een integrerend deel uitmaakt van het normale programma van de Organisatie. Het Bijzondere Project wordt uitgevoerd in overeenstemming met het programma, neergelegd in Bijlage A, die een integrerend deel uitmaakt van deze Overeenkomst.

Artikel 2

Tenzij in deze Overeenkomst anders is bepaald, gelden de regels van de Organisatie mutatis mutandis voor de uitvoering van het Bijzondere Project.

Artikel 3

  • 1 De kosten verbonden aan de uitvoering van de ingevolge deze Overeenkomst aan de Organisatie toevallende taken, nader omschreven in Bijlage B, die een integrerend deel van deze Overeenkomst vormt, (hierna te noemen „de terug te betalen kosten”) zullen door de Regeringen worden terugbetaald aan de Organisatie.

  • 2 De terug te betalen kosten mogen een bedrag van 196 miljoen Franse franken (waarin begrepen een marge voor onvoorziene kosten van 44 miljoen Franse franken) niet te boven gaan.

  • 3 De terug te betalen kosten wegens door de Organisatie verrichte uitgaven komen ten laste van een bijzondere rekening, overeenkomstig de in Bijlage B neergelegde gedetailleerde voorschriften.

  • 4 Het aandeel van iedere Regering in de terug te betalen kosten wordt bepaald volgens de in Bijlage B gegeven schaal.

  • 5 De Regeringen storten hun aandeel in de terugbetaling op de bijzondere rekening in bedragen en op de data, vastgesteld overeenkomstig de bepalingen van het Financiële Reglement van de Organisatie.

  • 6 De Directeur-Generaal van de Organisatie waakt over het gebruik van de in het tweede lid van dit artikel genoemde 44 miljoen Franse franken. Voorstellen voor het aanwenden van meer gelden dan die, waarover de Directeur-Generaal overeenkomstig de reglementen van de Organisatie op eigen gezag kan beschikken, vereisen de goedkeuring van twee derde van de Regeringen.

  • 7 De Regeringen kunnen bij uitzondering besluiten

    • a. tot het instellen van bijzondere technische en financiële controlemaatregelen, waarvan zij de termen en voorwaarden vaststellen,

    • b. tot het houden van vergaderingen ten einde de Directeur-Generaal instructies te verstrekken betreffende het beheer van het Bijzondere Project.

Artikel 4

Verspreiding en publikatie van wetenschappelijke en technische gegevens en de daarmede verband houdende intellectuele eigendomsrechten, voortkomende uit het Bijzondere Project, worden beheerst door de daartoe strekkende regelingen van de Organisatie.

Artikel 5

  • 1 De Regeringen machtigen de Organisatie tot het sluiten van de nodige contracten voor de uitvoering van het Bijzondere Project overeenkomstig het bepaalde in de Bijlagen A en B.

  • 2 Bij het aangaan van contracten en sub-contracten voor de uitvoering van het Bijzondere Project wordt, waar mogelijk, de voorkeur gegeven aan de uitvoering der werken binnen het grondgebied van de Regeringen.

Artikel 7

  • 1 De Regeringen vrijwaren de Organisatie voor iedere aansprakelijkheid, die zou kunnen ontstaan indien tengevolge van de uitvoering van het Bijzondere Project de internationale verantwoordelijkheid van de Organisatie in het geding zou komen.

  • 2 Vergoedingen, door de Organisatie ontvangen wegens aan het Bijzondere Project toegebrachte schade, zullen worden geboekt op de speciale rekening, bedoeld in het derde lid van artikel 3 van deze Overeenkomst.

Artikel 8

  • 1 Elk geschil tussen twee of meer Regeringen of tussen bepaalde Regeringen en de Organisatie betreffende de uitlegging of de toepassing van deze Overeenkomst, dat niet in der minne kan worden geschikt, wordt, op verzoek van een der Partijen bij het geschil, voorgelegd aan een enkele arbiter, aan te wijzen door de President van het Internationale Gerechtshof. De arbiter mag geen onderdaan zijn van een Staat die partij is bij het geschil.

  • 2 De Partijen bij deze Overeenkomst die geen partij zijn in het geschil, hebben het recht zich te voegen in het geding en de beslissing van de arbiter is bindend voor alle Regeringen en voor de Organisatie, ongeacht zij zich al dan niet in het geding hebben gevoegd.

Artikel 9

  • 1 De Overeenkomst staat open voor ondertekening door de Regeringen tot 1 januari 1969.

  • 2 De Regeringen worden partij bij deze Overeenkomst:

    • - door ondertekening zonder voorbehoud van bekrachtiging of goedkeuring;

    • - door het nederleggen van een akte van bekrachtiging of goedkeuring bij de Regering van de Franse Republiek, ingeval zij hebben ondertekend onder voorbehoud van bekrachtiging of goedkeuring.

  • 3 De Overeenkomst treedt in werking nadat zij is ondertekend door de Organisatie en nadat de Regeringen, wier gezamenlijk aandeel in de schaal, opgenomen in het Aanhangsel van Bijlage B ten minste 90% bedraagt, partij zijn geworden bij deze Overeenkomst overeenkomstig het bepaalde in het tweede lid van dit artikel.

  • 4 Ter uitvoering van het derde lid van dit artikel wordt het nederleggen van een verklaring van intentie deze Overeenkomst voorlopig toe te passen en haar zo spoedig mogelijk te doen bekrachtigen of goed te keuren, beschouwd als het nederleggen van een akte van bekrachtiging of goedkeuring.

  • 5 De Regering van een Lid-Staat van de Organisatie, die deze Overeenkomst niet vóór 1 januari 1969 heeft ondertekend kan na haar inwerkingtreding partij worden bij deze Overeenkomst indien

    • a. de Regeringen, die partij zijn bij deze Overeenkomst, hiermede instemmen, en

    • b. de betrokken Regering een akte van toetreding nederlegt bij de Regering van de Franse Republiek.

  • 6 Een Regering die partij wordt bij deze Overeenkomst na haar inwerkingtreding, dient een bijdrage te storten, gelijk aan het bedrag dat zij zou hebben bijgedragen indien zij partij zou zijn geworden bij de Overeenkomst op het tijdstip van haar inwerkingtreding. Voor het bedrag van deze bijdrage worden de andere Partijen naar evenredigheid gecrediteerd op de speciale rekening.

Artikel 10

  • 1 De Organisatie doet, na met hen overleg te hebben gepleegd, aan de Regeringen mededeling van het feit van de voltooiing van het Bijzondere Project overeenkomstig de bepalingen van deze Overeenkomst. Op het tijdstip van ontvangst van een zodanige mededeling wordt de Overeenkomst geacht te zijn beëindigd.

  • 2 Indien het uit hoofde van bijzondere omstandigheden noodzakelijk zou blijken de financiële limiet, genoemd in het tweede lid van artikel 3, te verhogen ten einde het Bijzondere Project te voltooien, dient de Organisatie zulks onmiddellijk ter kennis te brengen van de Regeringen, die met elkander overleg moeten plegen om te beslissen of de uitvoering van het Bijzondere Project voortgang kan vinden en zo ja, op welke basis.

  • 3 Deze Overeenkomst dient onverwijld te worden beëindigd indien er geen besluit kan worden genomen met betrekking tot de voortzetting van het Bijzondere Project. In dat geval dient een Protocol ter liquidatie van het Bijzondere Project te worden opgesteld.

Artikel 11

Nadat deze Overeenkomst in werking is getreden, doet de Regering van de Franse Republiek haar registreren bij het Secretariaat van de Verenigde Naties overeenkomstig artikel 102 van het Handvest der Verenigde Naties.

Artikel 12

De Regering van de Franse Republiek doet de Regeringen mededeling van alle ondertekeningen, bekrachtigingen, toetredingen en van de datum van inwerkingtreding van deze Overeenkomst.

TEN BLIJKE WAARVAN de ondertekenende vertegenwoordigers, daartoe behoorlijk gemachtigd, deze Overeenkomst hebben ondertekend.

GEDAAN te Parijs, de negende oktober negentienhonderd achtenzestig, in de Engelse en de Franse taal, zijnde beide teksten gelijkelijk authentiek, in een enkel exemplaar, dat zal worden nedergelegd in de archieven van de Regering van de Franse Republiek, die daarvan gewaarmerkte afschriften doet toekomen aan de Regeringen en aan de Organisatie.

Bijlage A. bij de Overeenkomst tussen zekere Lid-Staten van de Organisatie en de Organisatie inzake de uitvoering van een bijzonder TD-project

  • 1. AAN BOORD TE NEMEN EXPERIMENTEN

    De satelliet TD-1 is bestemd voor het in de ruimte uitvoeren van een zevental wetenschappelijke experimenten.

    Twee van deze experimenten zullen dienen voor de bestudering van het spectrum van harde solaire roentgenstralen. Hiertoe is het noodzakelijk dat een der assen van de satelliet voortdurend op de zon gericht blijft. Vier experimenten moeten binnen verschillende gedeelten van het electro-magnetische spectrum (ultraviolet en infrarood) de hemel aftasten ter bestudering van de uitstraling van sterren en andere galactische en wellicht extra-galactische krachtbronnen in verschillende gradaties van spectrale duidelijkheid en nauwkeurigheid van richting. Bij deze experimenten dient gebruik te worden gemaakt van de langzame en voortdurende roterende beweging van de naar de zon gerichte as van de satelliet. Eén experiment ten slotte dient voor het meten van de samenstelling van primaire kosmische deeltjes, afkomstig vanuit het heelal en de zon, van de van de zon afkomstige protongolven en van de protonen, vastgehouden binnen de Van Allengordels.

    Een opsomming van de aan boord van de satelliet te nemen experimenten luidt als volgt:

    Experimenten met solaire gamma- en roentgenstralen:

    • S.88 : Het aantonen van solaire gammastralen in de energie-zone van 50-300 mega-electronvolt

      • - Scintillator/fotomultiplicatorbuis

      • - Experiment te leveren door het Natuurkundig Instituut van de Universiteit van Milaan.

    • S.100 : Bestudering van solaire roentgenstralen in de energie-zone van 20-300 kilo-electronvolt

      • - Scintillator/ fotomultiplicatorbuis

      • - Experiment te leveren door het Laboratorium voor Ruimte-onderzoek van de Rijksuniversiteit te Utrecht.

    Experimenten met de ultraviolette straling van sterren:

    • S.1/2/68 : Het in verschillende golflengtegebieden aftasten van de hemel in de zone tussen 1000 en 3000 ångstrom en in de infrarode zone

      • - Telescoop van 30 cm middellijn met daaraan verbonden spectrometer/ fotometers/ infrarood-verklikker

      • - Experiment te leveren door de Universiteit van Luik en de Koninklijke Sterrenwacht te Edinburgh.

    • S.59 : Ultraviolet Sterspectrograaf

      • - Telescoop met 26 cm middellijn en daaraan verbonden spectrofotometer

      • - Experiment te leveren door het Laboratorium voor Ruimte-onderzoek van de Rijksuniversiteit te Utrecht.

    Experimenten met gamma- en roentgenstralen van sterren:

    • S.133 : Meting van gammastralen in de energie-zone van 70-300 mega-electronvolt

      • - Optische vonkenkamer/tellers/Vidicon televisieopname-apparatuur

      • - Experiment te leveren door het Natuurkundig Instituut van de Universiteit van Milaan tezamen met het Instituut voor natuurkunde der hemellichamen te München en het Nucleaire Studiecentrum te Saclay.

    • S.77 : Spectrometrie van de vanuit de kosmische ruimte afkomstige roentgenstralen in de energie-zone van 3-30 kilo-electronvolt

      • - Collimator voor roentgenstralen en proportionele tellers

      • - Experiment te leveren door het Nucleaire Studiecentrum te Saclay.

    Experiment met de verdeling van kosmische stralingsladingen:

    • S.67 A : Spectrometrie van primair geladen deeltjes:

      • - Semi-automatische verklikkers en Cerenkov-teller

      • - Experiment te leveren door het Nucleaire Studiecentrum te Saclay.

    De TD-1 satelliet dient zodanig te worden ontworpen, dat de uitvoering van de hierboven genoemde zeven experimenten mogelijk is. Indien tijdens de ontwikkeling van het project ernstige moeilijkheden het noodzakelijk maken de samenstelling van de nuttige lading te herzien, moet gehandeld worden volgens de normale procedure van de Organisatie betreffende wijzigingen van de nuttige lading, veroorzaakt door moeilijkheden gerezen tijdens de ontwikkeling van het project.

  • 2. KORTE BESCHRIJVING VAN HET RUIMTEVOERTUIG

    De satelliet bestaat in feite uit twee afdelingen, waarvan de eerste de experimenten bevat en het daaronder gemonteerde tweede compartiment de functionele uitrusting van de satelliet. De experimentenafdeling wordt opgebouwd rond de beide grote telescopen (S.l/2/68 en S.59) en de vonkenkamer (S.133). De uitrustingsafdeling bevat de uitrustingsstukken, nodig voor het functioneren van de satelliet, zoals bijvoorbeeld de secundaire hoogtemeter, het ontvangst- en decoderingstoestel voor afstandsbesturing, het secundaire systeem voor technische controle, het secundaire apparaat voor het opslaan en overbrengen van gegevens, de eenheden voor de transformatie, het opslaan en de distribuering van energie. De brandstof van de satelliet wordt geleverd door zonnecellen, gemonteerd op zonnepanelen, opgehangen aan de uiteinden van een der wanden van de satelliet. Deze wand wordt naar de zon gericht tijdens de omloopfase, waarin de satelliet door de zon wordt beschenen met een nauwkeurigheid van 1 boogminuut.

    Overbrenging van afstandsbesturing en afstandsmeting dienen plaats te vinden binnen de VHF-band door middel van een antenne, bevestigd aan het einde van een uitschuifbare arm.

    De afmetingen van de satelliet liggen in de orde van grootte van 1 x 0,9 x 2 meter. Zijn gewicht is ± 460 kg.

    De satelliet moet door een Thor Delta-raket in een vrijwel cirkelvormige baan op ongeveer 550 kilometer hoogte worden gebracht. De helling van de baan en het tijdstip der lancering worden zodanig gekozen, dat de omloopbaan van de satelliet evenwijdig is aan de schijnbare omloopbaan van de zon. De satelliet wordt zodanig ontworpen, dat zij alleen in bedrijf komt tijdens de periode, waarin zij door de zon wordt beschenen en een maximale levensduur heeft van zes maanden.

    Er dienen drie satellieten te worden vervaardigd:

    • - een eerste model (P1)

    • - een model ter goedkeuring (P2)

    • - het vliegmodel.

  • 3. GEBRUIK VAN KENNIS, GEGEVENS EN MATERIAAL, VERKREGEN UIT DE REEDS VERRICHTE WERKZAAMHEDEN IN HET KADER VAN HET VOORLOPIGE CONTRACT INZAKE DE SATELLIETEN TD-1 en TD

    Alle reeds in het kader van het voorlopige contract voor de satellieten TD-1 en TD-2 verzamelde kennis en gegevens, die zich hetzij bij de Organisatie, hetzij bij de contractant bevinden, worden, al naar mate zij van nut kunnen zijn voor de verwezenlijking van het onderhavige project, medegedeeld aan degenen, die verantwoordelijk zijn voor het TD-project. De reeds op basis van het voorlopige contract ontwikkelde apparatuur voor de satellieten TD-1 en TD-2 dient zoveel mogelijk te worden benut voor de verwezenlijking van het TD-project.

    Het TD-project wordt zodanig uitgevoerd, dat ten volle gebruik wordt gemaakt van de in het kader van het voorlopige contract voor de TD-1 en TD-2 satellieten verkregen kennis en ontwikkelde apparatuur.

  • 4. TIJDSCHEMA VOOR DE VOLTOOIING

    De uitvoering van het TD-project geschiedt zodanig, dat de vroegst mogelijke lanceringsdatum wordt aangehouden die een goede kans biedt op een zo succesvol mogelijk functioneren van de satelliet in zijn omloopbaan. In het globale tijdschema dient rekening te worden gehouden met een redelijk tijdsverloop tussen de beëindiging van de proeven met het eerste model (P1) van de satelliet en de datum van aflevering van experimenten en uitrusting, die in het goedgekeurde model (P2) worden geplaatst.

    In aanmerking genomen dat de satelliet zijn opdracht slechts kan vervullen indien de lancering plaatsvindt gedurende korte tijdvensters in de lente en de herfst van ieder jaar, moet worden gestreefd naar een lancering van de TD-satelliet in het voorjaar van 1972.

    De Organisatie tracht de betrokken wetenschappelijke groepen bij te staan bij het volgen van een zo scherp mogelijk gesteld tijdschema, gericht op een lancering in het voorjaar van 1972.

  • 5. METHODEN EN MIDDELEN VAN CONTROLE DOOR DE ORGANISATIE

    De Organisatie stelt zich ten doel een zo goed mogelijke controle uit te oefenen op het TD-project, zowel wat betreft de technische werkzaamheden als het tijdschema en de kosten.

    Te dien einde wordt door de Organisatie een projectgroep opgericht, samengesteld uit een voldoende aantal deskundigen op de betrokken gebieden. Deze groep maakt een integrerend deel uit van de ESTEC. Haar taak bestaat uit het toezicht op de onder verantwoordelijkheid van de hoofduitvoerder vallende werkzaamheden, het toezicht op de in het kader van de Organisatie ondernomen en rechtstreeks met de uitvoering van het project verband houdende werkzaamheden en het zorgen voor een goede aansluiting van de raakvlakken tijdens alle stadia van het project. De groep bestaat uit een vijftigtal personen die uitsluitend werkzaam moeten zijn bij het TD-project.

    De projectgroep geniet, waar nodig, operationele steun van de desbetreffende afdelingen van de Organisatie.

    Bij de uitvoering van het project dienen moderne en doeltreffende controlemethoden te worden toegepast. Deze methoden moeten de voor het project verantwoordelijke personen, zowel in de betrokken industrieën als in de Organisatie, in staat stellen op geregelde tijden een inzicht te verkrijgen in de voortgang van het totale project, wat betreft de technische vorderingen, het tijdschema en de kosten, ter vergelijking met het programma, voorzien in het contract van uitvoering. De toepassing van deze controlemethoden moet deel uitmaken van de contractuele verplichtingen, opgelegd aan de hoofduitvoerder, zijn medecontractanten en de directies van de toeleveringsbedrijven.

    De toe te passen controlemethoden dienen de gegevens te verschaffen, die vermeld moeten worden in de rapporten, bedoeld in paragraaf 4 van Bijlage B van deze Overeenkomst.

  • 6. CLAUSULE TER HERZIENING VAN DEZE BIJLAGE

    Indien om wat voor reden ook de toepassing van een of meer in deze Bijlage vervatte bepalingen onmogelijk zou blijken te zijn, dienen de Regeringen en de Organisatie onderling overleg te plegen over zodanige wijzigingen van deze bepalingen, dat de datum van lancering van de satelliet zo vroeg mogelijk wordt gesteld met een zo groot mogelijke kans op succes, tegen de laagst mogelijke kosten en zonder wezenlijke aantasting van de wetenschappelijke doelen van de opdracht.

Bijlage B. bij de Overeenkomst tussen zekere Lid-Staten van de Organisatie en de Organisatie inzake de uitvoering van een bijzonder TD-project

  • 1. Terug te betalen kosten

    De Regeringen vergoeden de Organisatie de door haar vanaf 23 april 1968 te maken kosten met betrekking tot en ten laste te brengen van het Bijzondere Project, zoals dit nader is omschreven in Bijlage A. Deze kosten zijn:

    • a) Personeelsuitgaven (hieronder begrepen de basissalarissen na aftrek van de interne belasting, ontheemdingstoelagen, gezins- en andere toelagen en de bijdragen van de Organisatie aan het Voorzieningsfonds na aftrek van de interne belasting en ten behoeve van de voorzieningen op het gebied van de Sociale Verzekering) ten behoeve van personeel, dat uitsluitend tewerkgesteld is bij het Bijzondere Project.

    • b) Aan het onder a) genoemde personeel in overeenstemming met het Personeelsstatuut te vergoeden reiskosten.

    • c) Honoraria en reiskosten van deskundigen.

    • d) Kosten van materiaal, uitsluitend bestemd voor het Bijzondere Project.

    • e) Kosten van door de Organisatie voor de verwezenlijking van het Speciale Project met derden gesloten contracten.

  • 2. Verdeling van de terug te betalen kosten en schaal

    De tot een begrotingsjaar behorende terug te betalen kosten worden over de Regeringen omgeslagen naar rato van hun bijdragen aan de begroting van de Organisatie voor dat jaar, berekend in overeenstemming met artikel XII van het Verdrag. De contributieschaal voor 1968 is neergelegd in het Aanhangsel van deze Bijlage.

  • 3. Bijzondere rekening

    De terug te betalen kosten wegens door de Organisatie verrichte uitgaven worden ten laste gebracht van een bijzondere rekening, te openen en te beheren door de Organisatie in overeenstemming met de ter zake dienende bepalingen van het Financiële Reglement, en in het bijzonder met de artikelen in Sectie IV en VI van Hoofdstuk III van dit Reglement, die betrekking hebben op de uitgaven en de boekhouding.

  • 4. Rapporten

    De Directeur-Generaal van de Organisatie is gehouden de nodige instructies te geven voor het opstellen van rapporten over de vorderingen en de geografische spreiding van de werkzaamheden, de contributieoproep, de verrichte uitgaven en de meest recente ramingen van de kosten van de voltooiing van het Bijzondere Project, in overeenstemming met de op het voeren van de boeken betrekking hebbende bepalingen van het Financiële Reglement van de Organisatie (Hoofdstuk III, Deel VI van het Financiële Reglement) en met door de Raad aanvaarde bepalingen betreffende de aan hem voor te leggen periodieke rapporten (document ESRO/C306, add, 2 rev. 1).

  • 5. Herzieningsclausule

    Indien om enigerlei reden de toepassing van de bepalingen van deze Bijlage onmogelijk zou blijken te zijn, plegen de Regeringen en de Organisatie onderling overleg ten einde deze bepalingen dienovereenkomstig te wijzigen.
